About this file
This justification document provides the rationale for awarding a modification to an existing contract with Northrop Grumman Systems Corporation for additional post-launch support services related to the Joint Polar Satellite System 2, 3, and 4 Spacecraft. Specifically, NASA Goddard Space Flight Center intends to increase the task order pool hours by 100,000 hours, for a total of 175,000 hours, to support special studies, analyses, process improvements, on-orbit anomaly resolution for JPSS-2, and minor hardware and software development. The value of the additional hours is estimated at $30 million. A synopsis was posted on June 29, 2023 with a response date of July 14, 2023, but no interested parties responded. The modification will be awarded on a sole-source basis to the incumbent contractor due to its unique expertise, facilities, proprietary data and models required to perform the specialized post-launch support activities.

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION
Goddard Space Flight Center (GSFC)
JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
(JOFOC)
For Joint Polar Satellite System (JPSS) 2, 3, and 4 Spacecraft Delivery Order
NNG15VE05D addition to the Special Studies hours pool
1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”
This document is a justification for other than full and open competition prepared by
National Aeronautics and Space Administration (NASA) Goddard Space Flight Center.
The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is Goddard Space Flight Center.
2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award a new work modification to the Joint Polar Satellite System (JPSS) 2, 3, and 4 Spacecraft Delivery Order NG15VE05D with Northrop Grumman Systems (NGS) Corporation for an increase in the post-delivery and post-launch support task order pool hours in accordance with Clause B.5 Rates for Non-Standard Services. In order to accomplish the post-launch and delivery support, it is necessary to add 100,000 hours to the task order pool.
3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the
Agency’s needs (including the estimated value):
The NASA/JPSS program requires an addition of 100,000 hours to the 75,000 existing task order pool for a total of 175,000 hours.
The non-standard services within this pool of hours include, but are not limited to, special studies, analyses, process improvements, and minor hardware and software development.
The JPSS-2 satellite has been launched, is in orbit, and operating nominally. The JPSS-2 satellite still requires anomaly support on an as needed basis through this special study task order pool.
The estimated value of this addition is for 100,000 hours with an estimated cost increase of $30,000,000.
The period of performance of this contract is 9 months following the launch of JPSS-4 Spacecraft.
4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition is 10 U.S.C. 2304(c) (1), as implemented by FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.
5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 10 U.S.C. 2304(c) (1) is only one responsible source and as described below:
The JPSS-2 spacecraft was built by NGS and the JPSS-3/4 spacecraft is being built by NGS.
The JPSS-3/4 instruments are being integrated and tested on the NGS built SC, by NGP, utilizing NGS facilities, personnel, and equipment. The models, software, databases, scripts, documents, drawings necessary to conduct additional studies towards analyses and inspections, updates, trades, are all owned wholly or partially by NGS Systems and subject matter expert support needed to conduct any risk reduction efforts is only available for JPSS- 2/3/4 missions only at NGS.
A third-party support is not feasible due to the unique and highly intricate design of the SC, due to the expertise and familiarity necessary specialized and skilled workforce, procedures, and institutional expertise and knowledge, special test equipment, test fixtures, and access to proprietary models, analyses, facilities, hardware and software required to perform special studies. No other company has the knowledge, experience, and understanding needed to carry out these studies other than the current SC supplier, NGS.
6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
A notice to the Government Point of Entry (GPE) website (Sam.gov) was published on June 29, 2023, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this sole-source modification to NGS Corporation. The results of this synopsis are summarized in Section 10 below.
7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the
Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable.
The Government will evaluate the NGS proposal for the post launch support efforts. As part of the evaluation, the proposal facets of cost, schedule and proposed scope of work will be assessed, and a summary proposal evaluation will be documented. This information will be used by the proposal team to negotiate the contract change for the government.
8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons a market research was not conducted:
Market research was not conducted because the Government seeks to procure the exact services from NGS as previously performed. Only NGS using its existing staff and facilities can support the highly specialized studies and post-launch support activities.
9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:
“None”
10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:
A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above). The Government posted a synopsis on June 29, 2023, with a response date of July 14, 2023. No interested parties submitted a response to the Government.
11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
The JPSS-2, JPSS-3, and JPSS-4 contract efforts will continue to utilize the current contractor. Any future architectures will be open competitions. Additionally, the Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
