JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
(JOFOC)
For Technical Information, Administrative and Logistics Services-2 (TIALS-2)
1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”
This document is a justification for other than full and open competition prepared by
National Aeronautics and Space Administration (NASA) Glenn Research Center (GRC).
The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is GRC.
2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award an extension to contract number NNC16CA11C, Technical Information, Administrative and Logistics Services-2 (TIALS-2), with Alcyon Technical Services (ATS), JV, LLC. These services support the NASA John H. Glenn Research Center (GRC), at both the Lewis Field (LF), and the Neil A. Armstrong Test Facility (ATF) locations.
The existing contract expires on 03/31/2023. An extension of up to twelve (12) months is requested to allow for procurement of several follow-on contracts, including the Glenn Logistics and Metrology (GLAM) contract at GRC, which will take over GRC logistics and metrology requirements after TIALS-2, and several other Enterprise-level consolidated services contracts at other NASA locations, which will take over other aspects of the current TIALS-2 scope of work. For example, the NASA Communications Services (NSC) contract was recently awarded and is expected to eventually assume certain Office of Communications (OCOMM) work that currently falls under TIALS-2, but there is a minimum 60-day phase-in that would have to occur first. Other OCOMM work currently provided under TIALS-2 is expected to transition to the Enterprise Multimedia and Integrated Technical Services (eMITS) contract, but the eMITS contract has yet to be awarded. Similarly, the forthcoming Glenn-Langley Administrative Support Services (GLASS) contract out of Langley Research Center (LaRC) eventually will take over GRC administrative and clerical work that is currently provided under TIALS-2, but the GLASS source evaluation team (SET) was only recently convened and requires time to complete the acquisition.
The anticipated structure of this extension would be a six (6) month base extension followed by six (6) optional one-month extensions. Extension periods are structured as follows:
Initial Six-Month Base Extension April 1, 2023-September 30, 2023 First Optional One-Month Extension October 1, 2023-October 31, 2023
Second Optional One-Month Extension November 1, 2023-November 30, 2023 Third Optional One-Month Extension December 1, 2023-December 31, 2023 Fourth Optional One-Month Extension January 1, 2024-January 31, 2024 Fifth Optional One-Month Extension February 1, 2024-Febuary 29, 2024 Six Optional One-Month Extension March 1, 2024-March 31, 2024
3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the
Agency’s needs (including the estimated value):
NASA requires continuing services from Alcyon Technical Services (ATS), JV, LLC on its NNC16CA11C Technical Information, Administrative and Logistics Services-2 (TIALS-2) contract. The TIALS-2 contract supports NASA’s goals and the Glenn Research Center’s (GRC) commitment to deliver on strategic promises for the Agency.
This base six (6) month extension is needed, and the six (6) optional one-month extensions shall be judiciously exercised to the minimum extent possible, which will allow only the necessary time for the completion of the requirements development team activities, deliverable hand-off, and the source evaluation board activity for the follow-on contract named the Glenn Logistics and Metrology (GLAM) contact, as well as completion of several other Enterprise-level consolidated services acquisitions that are expected to assume certain TIALS-2 services and which are in various stages of procurement. The scope under the TIALS-2 base operations contract is vast; the TIALS-2 contract contains numerous enterprise procurement strategies and product service lines (PSLs), as defined by the NASA Federal Acquisition Regulation (FAR) Supplement, Appendix A.
The TIALS-2 contract must remain viable for up to a twelve-month duration, and each PSL scope and Agency consolidation contract effort has a different timeframe for award, including the need for Agency and local source evaluation board (SEBs) to be completed.
The total contract value for a twelve (12) month extension on TIALS-2 is estimated to be $28,425,380.96. This estimate is based on the proposal provided from the incumbent contractor, ATS.
4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition is 10 U.S.C.
2304(c)(1), as implemented by FAR 6.302-1(a)(2)(iii), the supplies and services required are unique and are available from only one responsible source, Alcyon Technical Services (ATS), JV, LLC, and no other supplies or services will satisfy agency requirements. The current contractor will provide uninterrupted services without delays in fulfilling the Agency’s requirements and without substantial duplication of effort and costs that would otherwise be incurred if GRC were to award to another source in the interim period.
5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 10 U.S.C. 2304(c) (1) is that only Alcyon Technical Services (ATS), JV, LLC, has the knowledge and familiarity with the specialized requirements of TIALS-2 to continue delivering on them without substantial delays and duplication of costs pending award of the follow-on Glenn Logistics and Metrology (GLAM) contract and other Enterprise-level consolidated follow-on services contracts. ATS has demonstrated experience and performance completing the entire TIALS-2 statement of work, which covers an extremely broad range of enterprise procurement strategy produce service lines (PSLs) and complex services. The contractor’s performance assessment reporting system (CPARS) evaluations are at a sustained high level. Due to the Agency’s ongoing Mission Support Future Architecture Program (MAP) execution via PSL implementation and contract integration across NASA for institutional services, it’s imperative to maintain the continuity of services under the existing contract, without interruption, for the next six to twelve months until the follow-on contracts can be awarded and implemented. A consistency of contractor staff and TIALS-2 operations knowledge will likewise aide in the eventual transition to Enterprise contracts of knowledge capture and transfer, plus facilitate an anticipated retention of qualified workforce to sustain performance for mission support.
Because of ATS’s unique skills, knowledge, and experience and because of the criticality of maintaining the wide-ranging and essential TIALS-2 set of services, ATS is the only responsible source to continue providing these services pending award of GLAM and the other Enterprise follow-on contracts. The time and effort that would be required for any other contractor to transition into the TIALS-2 role for the period at issue would be neither practical nor feasible. Attempting to procure these services from any other source for that period would lead to substantial duplications of costs that are not expected to be recovered through competition. Likewise, attempting to procure these services from any other source for that period would lead to unacceptable substantial delays to the delivery of critical PSLs and ongoing MAP and contract integration initiatives. Accordingly, only ATS can provide the essential TIALS-2 services at issue without substantial interruptions and duplication of effort.
6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
A notice to the Government Point of Entry (GPE) website (Sam.gov) was published on March 15, 2023, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this extension to ATS. The results of this synopsis are summarized in Section 10 below.
7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor was required to and did submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable.
The NNC16CA11C contract was awarded as a Cost Plus Firm Fixed/Award Term Contract (CPFF/AT) contract. The price was determined to be fair and reasonable through comparison to the Independent Government Cost Estimate (IGCE) and SEB competition. For this proposed extension, the CO used historical information, recent option exercises, rebaseline and technical direction scope changes, and NASA 533 cost details. The proposal data submitted was assessed for consistency with existing contracts, pricing and market conditions for rates, hours, dollars, and labor skill mixes. In consultation with analysts from the Chief Financial Officer and the Contracting Officer Technical Representatives (COR) and Alternate COR (ACOR), from the Logistics and Technical Information Division (LTID), the Contracting Officer (CO) determined the fairness and reasonableness of the price for this action.
8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons a market research was not conducted:
Relevant market research was performed for the requirements development effort for GLAM, and the information was reviewed for reliability and applicability during this contract extension. This market research does not indicate that there are any responsible sources that could fulfill the Government’s requirements in the current timeframe and period of performance anticipated. In addition, the required synopsis was posted giving notice to potential offerors, and no responses were received to the Government Point of Entry (GPE) synopsis posting (on Sam.gov). At this time, the Government does not believe there are any responsible offerors other than ATS which are able to fulfill the Government’s needs without interruption of critical services.
9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:
As stated in Section 5 above, ATS has specialized knowledge of the required services, processes and procedures in support to of the TIALS-2 statement of work. If there were a lapse in service, it would be detrimental to NASA Glenn operations. It is not possible for a new offeror to provide the entire scope of services needed by the current contract end date of March 31, 2023, without there being a significant interruption of services.
10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:
A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above). No responses were received.
11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
The Agency will continue to conduct market research, communicate with industry, posting information about upcoming industry day and small business opportunities. The GRC team will conduct the local GLAM SEB and coordinate with other Centers, as GRC awaits the many awards expected from Agency source evaluation board and PSL contract consolidation activities.
