JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
(JOFOC)
For Vision Research S991 High-Speed Digital (HSD) Cameras/Purchase Requisition (PR)
1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”
This document is a justification for other than full and open competition (JOFOC) prepared by National Aeronautics and Space Administration (NASA) Information Technology Procurement Office.
The procuring agency is the National Aeronautics and Space Administration (NASA), and the contracting activity is Information Technology Procurement Office.
2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award a sole-source contract for Purchase Requisition with Vision Research Inc. for the purchase of six Vision Research S991 HSD Cameras. The cameras are required for use with the Camera Record and Control System (CRCS) on the Mobile Launcher during Artemis II.
3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the
Agency’s needs (including the estimated value):
Vision Research S991 HSD Cameras with film to digital transition are required to capture imagery for engineering analysis to meet Exploration Ground Systems (EGS) imagery requirements of high-speed imagery for Artemis II and future launches. The Vision Research S991 HSD Cameras must be delivered in May of 2024, to allow for integration and testing into the current systems prior to the final operational need date of May 31, 2025. The Vision Research S991 HSD Cameras will be delivered to Kennedy Space Center. The estimated value for six Vision Research S991 HSD Cameras is .
4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition for acquisitions using the procedures in FAR subpart 13.5 is 41 U.S.C. 1901.
5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 41 U.S.C. 1901 is unique and extensive hardware integration requirements as described below.
Vision Research S991 cameras are currently being used to meet Program imagery requirements on multiple locations of the Mobile Launcher (ML). Infrastructures and systems have already been built around the specifications of the S991 camera which includes cables, fiber, circuits, and camera housing designs. The Vision Research S991 HSD Camera are currently already integrated with the High-Speed Architecture that utilize the Mobile Launcher. The Government built the infrastructure/systems around this specific product, such as cables, fiber, circuits, and camera housing design for the S991 HSD Cameras. The impact to the Government if cameras are not purchased from Vison Research, Inc., would cause the Government to redesign the current High Speed Digital Imagery System to integrate another camera in the current architecture.
The procurement of additional S991 cameras is integral to the current infrastructure and system to allow the Government to integrate the cameras into the current High-Speed Architecture, mitigating financial impact and extensive design work for the Government. The manufacturer, Vision Research has exclusive proprietary knowledge of the cameras to provide maintenance agreements, support, repairs, and maintaining our current system.
The amount for the equipment (cameras, unfractured upgrades, equipment racks, recorders, etc.) invested into the Film to Digital Transition utilizing S991 cameras from Vision Research is approximately . This includes training for use and maintenance of the S991 cameras and associated system components for approximately 4 years during the design phase of the associated projects during Artemis I launch, and to support current operations.
Vision Research Inc. owns the Full Proprietary Right to the Phantom Cameras and Vision Research Inc. designed accessories (including the CineMags) and has not and has no intention to sell this technology to anyone else. Vision Research Inc. has provided a Sole Source Confirmation letter dated November 29, 2023, that has been attached to the Purchase Requisition (PR). The Vision Research S991 HSD Camera is not available through GSA or SEWP. Phantom cameras are Commercial Off-the-Shelf (COTS), but proprietary.
6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
A notice to the Government Point of Entry (GPE) website (sam.gov) was published on April 30, 2024, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this sole-source contract to Vision Research Inc. The results of this synopsis are summarized in Section 10 below.
7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a quote analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. The quoted costs will be evaluated for fairness and reasonableness by comparing the quoted costs to historical information for similar products from previous contracts and based on other information that is available regarding current market prices. The Contracting Officer will ensure inputs from the Contracting Officer’s Representative and/or technical representatives are incorporated, as well as other information that may be available to the Government at the time of receipt of the contractor’s quote.
8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted:
On November 29, 2023, Vision Research Inc. provided a letter to NASA affirming to be the original equipment manufacturer (OEM) and sole source provider of the Visions Research S991 HSD Camera with no authorized resellers. On April 18, 2024, market research was conducted by the Contracting Officer on GSA e-Library and SEWP. No matches were found for the S991 HSD Camera verifying the letter provided by Vision Research Inc.
9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:
NONE
10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing.in the acquisition:
A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above). This intent to sole source was posted for 15 days from the effective posting date of May 15, 2024. No responses were received.
11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
In order to remove or overcome barriers to competition in the future acquisitions for this requirement, the Government will continue to utilize the SEWP online Market Research Tool to assist in the market research process and assess industry capability to meet compatibility and performance needs for future imagery requirements.
