JOFOC NO. FY21-08

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION

Armstrong Flight Research Center (AFRC)

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

(JOFOC)

For Facilities Operations & Maintenance Services/NND13AD53C

1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”

This document is a justification for other than full and open competition prepared by

National Aeronautics and Space Administration (NASA) Armstrong Flight Research Center (AFRC):

The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is Armstrong Flight Research Center.

2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:

This justification provides the rationale for contracting by other than full and open competition to award a time extension modification to contract NND13AD53C with Helix Management Services (HMS), JV who performs Facilities Operations and Maintenance (O&M) Services. The current and final option period expires on May 31, 2021.

3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the

Agency’s needs (including the estimated value):

The contractor performs all facility operations, maintenance, repair, janitorial services, grounds-keeping services, and other directly related services for all facilities (buildings, utilities, structures and related systems) and assets (equipment and utility infrastructure) at NASA AFRC located in Edwards, CA and Palmdale, CA.

The period of performance for this extension is from June 1, 2021, through December 31, 2021, with three 2-month options. If all options are exercised the period of performance would expire on May 31, 2022. This extension will be awarded with a FAR and NASA FAR deviation.

The estimated value of this action is approximately

4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:

The statutory authority permitting other than full and open competition is 10 U.S.C.

2304(c)(1), as implemented by FAR 6.302-1 Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:

The rationale supporting the use of 10 U.S.C. 2304(c)(1) is based upon HMS, JV’s unique qualifications and is necessary due to the specialized nature of the work performed under this contract that must be sustained while the follow-on competitive procurement is ongoing. For this short term extension, a new contract would not result in efficiencies that would outweigh the benefits of extending the existing contract. An interruption and restart of the contract requirements, with a contractor that is unfamiliar with the existing requirements, would greatly jeopardize the AFRC mission and its success. HMS, JV has the combined personnel, training, experience, and expertise necessary to provide uninterrupted continuation of Facilities and Operations Maintenance Services. HMS, JV is responsible for responding to facility emergency actions, such as plumbing and electrical incidents, that could cause significant damage to the AFRC facilities if service is unavailable due to a disruption in service.

6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

A notice to the Government Point of Entry (GPE) website (beta.sam.gov) was published on

May 21, 2021, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this sole-source extension to HMS, JV. The results of this synopsis are summarized in Section 10 below.

7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. The Contracting Officer will perform price analysis to ensure the proposed firm fixed price is fair and reasonable.

8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons a market research was not conducted:

Although there is a possibility there may be other sources capable of providing these services at AFRC for the proposed extension, it is not in NASA’s best interest to award a competitive contract to bridge the performance period identified without substantial disruption in services and significant impact to the AFRC mission. Continuity of services is imperative in meeting the ongoing AFRC Facilities and Operations Maintenance Services requirement to mitigate impact to the Center’s daily operations.

9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:

The contractor’s performance has been characterized as satisfactory during the latest evaluation period.

10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:

A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (beta.sam.gov) per FAR Subpart 5.2 (See Section 6 above) on May 21, 2021. Eight responses were received from interested vendors. A thorough review of the capabilities statements provided found none that could perform the Facilities Maintenance requirement at AFRC without having a substantial disruption of services, which would create a significant impact to AFRC’s mission.

11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

Previous competition for the Facilities and Operations Maintenance Services at AFRC has been adequate. The proposed extension is due solely for the need to continue the requirement’s critical services at AFRC while the follow-on competition is on-going.

Therefore, there are minimal actions the Agency needs to take to remove or overcome any barriers to competition.
