About this file

This is a Justification and Approval (J&A) document for Other Than Full and Open Competition submitted by the Department of Veterans Affairs, Health Service Area (HSA) 4.3, located in Duncanville, Texas, in support of the VA Healthcare System in Temple, Texas.

The procurement seeks a one-time buyout of 115 Pyxis ES Medstations and associated components currently leased from CareFusion Solutions LLC. The equipment is installed at VA medical centers in Waco and Temple, as well as Central Texas Clinic Based Outpatient Clinics (CBOCS), and is used to dispense medications and controlled substances for patient care. The requirement is for a firm fixed price contract with a total estimated cost of $3,897,830.00, representing a cost savings of $147,660.00 compared to the remaining lease obligation of $4,045,490.00. Equipment to be purchased includes multiple Medstation ES units (ranging from 2-drawer to 6-drawer configurations), Pyxis Anesthesia Systems, Smart Cubie Drawers, software licenses, servers, and associated components. The procurement will convert leased equipment to VA-owned assets, eliminating yearly leasing costs, with the equipment expected to remain functional for 15 to 20 years. Purchase is requested no later than September 30, 2026, and the current lease option year one expires November 30, 2026.

The J&A justifies sole-source procurement under 41 USC §3304(a)(1) (Only One Responsible Source), as CareFusion Solutions LLC is the sole manufacturer and legal owner authorized to sell, transfer, or convey ownership of the leased equipment. Market research conducted from May to June 2026 identified 86 potential vendors through Small Business Search, but none were authorized to offer the buyout lease. No similar lease buyout contracts were found in the Federal Procurement Data System. An Intent to Sole Source notice was posted under 36C25726Q0616 from June 2-16, 2026, with no responses received indicating alternative sources. The approved justification will be posted within 14 days after award in accordance with posting requirements.

4. Statutory Authority Permitting Other than Full and Open Competition:

( X ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy

Agency Requirements per 41 USC §3304(a)(1) as implemented by RFO 6.103-1;

( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by RFO

6.103-2;

( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or

Expert Services per 41 USC §3304(a)(3) as implemented by RFO 6.103-3;

( ) (4) International Agreement per 41 USC §3304(a)(4) as implemented by RFO 6.103-4 ( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by RFO

6.103-5;

( ) (6) National Security per 41 USC §3304(a)(6) as implemented by RFO 6.103-6;

( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by RFO 6.103-7;

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

The Pyxis ES Medstation equipment is currently leased by CTVHCS facilities. This highly specialized equipment is used to dispense medications and controlled substances for patient care to the clinical areas and outpatient clinics.

This requirement is unique because the Pyxis Medstations and associated components are currently leased to the Government and remain the sole property of CareFusion Solutions, LLC. Only CareFusion Solutions, LLC, is legally authorized to sell, transfer, or convey ownership of the leased equipment. The buyout includes all accessories and software licenses with these units. No other vendor can provide a buyout of these specific units.

The Pyxis system is fully installed, configured, and integrated with clinical workflows.

Clinicians rely on Pyxis for rapid and safe medication retrieval. If the system is replaced or unavailable, workflows revert to manual process, resulting in delayed medication access and compromised patient care. Replacement with a different system would require removal of current equipment, substantial new purchases, installation, and multiple interface changes.

This transition would involve significant disruption to patient care, increased costs, and potential delays.

Therefore, the procurement is inherently sole source, as the Government cannot obtain the leased equipment from any alternate source.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): An Intent to sole source was posted in the Contract Opportunities under 36C25726Q0616 June 2, 2026, to June 16, 2026. No responses were received that can provide the equipment. A proprietary letter dated May 21, 2026, was provided by Becton Dickinson (BD). BD states that their subsidiary, CareFusion Solutions, LLC (Large Business), is the only company that can support the buyout of the leased equipment. Furthermore, in accordance with the Justification for Other Than Full and Open Competition posting requirements, the approved justification will be posted within 14 days after award.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and

Reasonable: The anticipated cost will be considered fair and reasonable by comparing similar CareFusion Solutions, LLC procurements and existing leasing terms vs. buyout.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: Market research was conducted from May 2026 to June 2026 to identify potential sources capable of meeting the Government’s requirement. This included reviewing recent market research undertaken to fulfill similar or identical needs, querying Governmentwide database contracts, and procurement instruments intended for cross-agency use, and analyzing records in Federal Procurement Data System

(FPDS), Small Business Search (SBS), and Analytics, Data and Decision Support Unified Platform (ADDS UP).

Market Research results:

SBS- 86 Vendors, There are Services-Disabled Veteran-Owned Small Businesses (SDVOSB) capable of supplying the equipment. However, none of them are authorized to offer the buyout lease. The equipment is currently leased from CareFusion Solutions LLC, and they are the only contractor authorized to sell, transfer, or convey ownership of the leased equipment.

ADDS UP- 16 active contracts for Pyxis ES Medstations for supplies and/or services with CareFusion Solutions, LLC.

Searched FPDS: No similar lease buy-out contracts found.

Currently, the required equipment is installed at the facility under leasing contract

. Based on prior procurements and an extensive review of available sources, it has been determined that the equipment can only be provided by CareFusion Solutions.

This is further supported by a proprietary letter from BD, confirming that CareFusion Solutions, LLC, a BD subsidiary, is the exclusive provider of this equipment.
