About this file
This is a Justification for Other Than Full and Open Competition (JOFOC) document for a sole-source contract award.
The National Oceanic and Atmospheric Administration (NOAA) Acquisition and Grants Office proposes to award a firm-fixed-price and firm-fixed-price level-of-effort hybrid contract to The Boeing Company for long-term engineering anomaly support of the Geostationary Operational Environmental Satellite (GOES) N, O, and P series spacecraft bus. The contract will provide engineering support including maintaining spacecraft operations through decommissioning and reorbit activities, recommending remediation for operational deficiencies, researching root causes for on-orbit anomalies, developing operational alterations to minimize performance degradation, and conducting research and development directed by NOAA. The period of performance consists of a one-year base period beginning September 21, 2026, followed by four one-year option periods extending through September 20, 2031. The total estimated contract value for the base period and all options is redacted in the document.
The justification for sole-source award is based on 41 U.S.C. 3304(a)(1), with Boeing identified as the only responsible source. Boeing is the original manufacturer and sole possessor of proprietary information and algorithm design documents for the GOES-NOP spacecraft; no other vendor possesses the technical expertise, personnel knowledge, or authorization to support these specific spacecraft. Market research conducted included review of mandatory sources (AbilityOne), NOAA blanket purchase agreements, and posting a Notice of Intent to SAM.gov from March 19 to April 3, 2026, which yielded no capable alternative sources. A Notice of Intent to sole source was previously posted for the prior contract in October 2019 with identical results. Fair and reasonable pricing will be determined through price/cost analysis comparing similar contracts, the Independent Government Cost Estimate, and DCMA labor recommendations. NOAA will continue conducting market research for future acquisitions should market conditions change or Boeing authorize third-party licensing of proprietary information.

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (JOFOC)
Geostationary Operational Environmental Satellite (GOES) N, O, and P (NOP) Series Spacecraft Bus
Anomalous Behavior Support
Identification Number: Requisition
1. Identification of the agency and contracting activity.
The National Oceanic and Atmospheric Administration (NOAA) Acquisition and Grants Office (AGO) Satellite and Information Acquisition Division (SIAD) located in Silver Spring, MD, proposes to enter into a contract on the basis of other than full and open competition in support of the Geostationary Operational Environmental Satellite (GOES)-NOP series spacecraft operation under the NOAA National Environmental Satellite, Data, and Information Service (NESDIS) Office of Satellite Products and Operations (OSPO).
2. The nature and/or description of the action being approved.
NOAA intends to award a contract to The Boeing Company (herein referred to as Boeing) on a sole source basis. This acquisition is to provide long-term engineering support for the GOES-NOP series Spacecraft Bus which were built, tested, delivered, and launched by Boeing under National Aeronautics and Space Administration (NASA) Goddard Space Flight Center under contract number NAS5-98069. NASA transferred the post-launch GOES-NOP series spacecraft activities to NOAA in April 2020 under the NOAA sole source support contract number 1332KP20CNAAA0067 which has since expired. A firm-fixed-price (FFP) and firm-fixed-price level of effort (LOE) hybrid type contract is contemplated for award.
3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).
This requirement is to provide long-term engineering anomaly support for the GOES-NOP series Spacecraft Bus for a period of performance of five years. The contractor will provide engineering support which consists of:
maintaining the GOES-NOP series spacecraft operations through spacecraft decommissioning and reorbit activities;
providing recommendations for remediation to deficiencies found in spacecraft operations;
researching root causes for on-orbit anomalies on the spacecraft bus;
developing alterations to spacecraft bus operations to minimize spacecraft bus performance degradation due to on-orbit anomalies; and conducting research and development as directed by NOAA to improve operation of the spacecraft bus.
This support will allow NESDIS/OSPO to operate the GOES-NOP series spacecraft to provide geosynchronous weather data for five years. Since these are severable services, the period of performance will consist of a base period of one year and four (4) one-year option periods. The specific dates for each period are below:
Base Period September 21, 2026 to September 20, 2027 Option 1 September 21, 2027 to September 20, 2028 Option 2 September 21, 2028 to September 20, 2029 Option 3 September 21, 2029 to September 20, 2030 Option 4 September 21, 2030 to September 20, 2031
The total estimated contract value including base and all options is estimated at .
Base Period Option 1
Option 2 Option 3 Option 4

4. An identification of the statutory authority permitting other than full and open competition.
The statutory authority permitting other than full and open competition is 41 U.S.C. 3304(a)(1) as implemented by Revolutionary Federal Acquisition Regulation (FAR) Overhaul (RFO) Subpart 6.103-1 entitled Only one responsible source and no other supplies or services will satisfy agency requirements.
5. A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires using the authority cited.
Vendor Name and Address: UEI:
The Boeing Company 900 N. Pacific Coast HWY
M6BRZ1FHEZQ1
El Segundo, California 90245-2710
Boeing is uniquely qualified to provide GOES-NOP series spacecraft operations to NESDIS based upon the following facts:
Boeing is the original manufacturer of the GOES-NOP series spacecraft.
Only Boeing possesses the proprietary information for the GOES-NOP series spacecraft. The GOES- NOP series spacecrafts were developed utilizing Boeing’s proprietary technology that was developed at Boeing’s cost and provides the Government the algorithm design document (ADD), or the human readable version of the software. Such proprietary information enables Boeing to provide the recommended operations procedures (ROPs) that guide all NOAA command sequences to the GOES- NOP series spacecraft. Boeing does not license such proprietary information to a third-party vendor. No other vendor is capable of sending the proper command and control instructions that would be needed to address anomalous behavior(s).
Only Boeing has access to the obscure/minute facets of the instruments’ designs, builds and sufficient expertise to interpret and properly correlate anomalous behavior to failure modes to restore operations and minimize mission degradation due to failure. As such, no other vendors understand the instruments’ overall build or the instruments’ algorithm, only Boeing has the capability to perform the anomalous engineering support for this requirement.
Only Boeing has personnel responsible for designing, building, testing, and maintaining the GOES- NOP series spacecraft. Boeing personnel has over twenty years of supporting the GOES-NOP program including under the prior NOAA anomaly support contract 1332KP20CNAAA0067. Since no other vendor has personnel who thoroughly understands the spacecraft’s overall build or the spacecraft’s algorithm, only Boeing has the capability to perform the anomalous engineering support.
If NOAA does not pursue this work via a contract with Boeing, then no contract can be awarded for this work at all. There has been a break in service on the performance of this contract due to fiscal budgeting constraints and the introduction of new contractual approval processes. However, the Government, and specifically U.S. Space Force, still has a need for this requirement and a continued lack of contractual support for this work would pose a negative mission impact. The period of performance for the previous contract ended on October 2, 2025. A lack of resolution of anomalous behavior may result in a high impact risk of on-orbit spacecraft failure. Success of the GOES-NOP series spacecraft operations is crucial to NOAA’s mission of obtaining geosynchronous weather data.
6. A description of efforts made to ensure that offers are solicited from as many potential sources as possible, including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies.
NOAA conducted thorough market research and found there is only one source available that can meet the Government’s requirement. IAW RFO 5.101(a), a Notice of Intent (NOI) to sole source this requirement was posted for 15 days to the System for Award Management (SAM.gov) website on March 19, 2026. The NOI posting closed on April 3, 2026 and in response the Government received a marketing email from which did not provide any information related to its capability to perform the work.
7. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.
Based upon the estimated contract cost, Certified Cost or Pricing data is not anticipated to be required for this acquisition. However, a price/cost analysis will be performed and documented to sufficiently determine that the cost to the Government will be fair and reasonable. The Contracting Officer (CO) will make a determination of fair and reasonable pricing in the Business Clearance Memorandum via comparison to similar contract actions, comparison to the Independent Government Cost Estimate (IGCE), DCMA forward price recommendations for labor and overhead, and/or reliance on subject matter expertise as it pertains to the proposed levels of effort and/or other direct costs. If needed, the CO will negotiate with Boeing to maximize the NOAA’s ability to obtain the best value to the Government. Therefore, the contracting officer determines that the anticipated cost to the Government will be fair and reasonable.
8. The market research conducted (see RFO Part 10) and the results or a statement of the reason market research was not conducted.
Market research was conducted by the NOAA/NESDIS/OSPO/Mission Operations Division (MOD) Engineering Branch (Program Office) and the Satellite and Information Acquisition Division to identify available sources and to evaluate the availability of the marketplace to meet the requirement as follows:
A review of the mandatory source for services IAW RFO 8.102 (AbilityOne) determined these services are not available through this mandatory source for services. A review of NOAA’s Blanket Purchase Agreement (NOAA Mission Information Technology Services (NMITS)) and Indefinite-Delivery Indefinite Quantity contract (ProTech) found that these services either do not fall within the scope of the BPA (NMITS) or the sole source vendor, Boeing, is not a ProTech contract holder. A Notice of Intent (NOI) to sole source the requirement was posted to the System for Award Management (SAM) on March 19, 2026. The NOI posting closed on April 3, 2026 and in response the Government received a marketing email from which did not provide any information on capabilities to perform the work.
Based upon the market research conducted the CO determined there have been no changes to the market conditions, or indication of Boeing licensing proprietary information to a third party or programmatic needs that enable a different vendor to perform this requirement. On June 2, 2026, Boeing provided written confirmation that it does not authorize any third-party vendors to perform the GOES-NOP series Spacecraft Bus anomaly support work. Boeing is the only source available to provide the services for this requirement.
These services are unique and highly specialized to Boeing. The CO and the Program Office searched mandatory sources IAW RFO 8.102, reviewed NOAA’s BPAs, reviewed previous identical acquisitions, and interviewed knowledgeable Government subject matter experts such as the Contracting Officer Representative who is also the GOES-NOP series spacecraft Payload Engineer. Based upon the results of this market research the CO determined there are no other sources available that can provide these services. Boeing is the only source for these services as Boeing has the proprietary space data and the subject matter expertise required to satisfy the Government’s requirement.
In addition, after discussions with a NOAA Small Business Specialist, it was determined that there have been no changes to the market conditions or the requirement since the market research conducted for the prior contract 1332KP20CNAAA0067. The market research conducted for 1332KP20CNAAA0067 included posting a Synopsis on Federal Business Opportunities (FedBizOpps) fromOctober 29, 2019 to November
