JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
(JOFOC)
For
Geospatial Support Services 2 Contract No. 80LARC21F0001
1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) - Identification of the agency and the contracting activity, and specific identification of the document as a "Justification for other than full and open competition."
This document is a justification for other than full and open competition (JOFOC) prepared by National Aeronautics and Space Administration (NASA) Langley Research Center (LaRC).
The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is LaRC.
2. FAR 6.303-2(b)(2) - The nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award an extension through November 30, 2024, to the Geospatial Support Services 2 (GSS2) contract, 80LARC21F0001, with Genex Systems LLC. The current period of performance is June 1, 2021, through May 31, 2024. The GSS2 contract provides geospatial products and services to facilitate the maintenance , operation and enhancement and facilitation of the GSS data and decision support enabled environment to support mission related programs and projects to both LaRC and Johnson Space Center (JSC). In April 2023 a Requirements Development Team (RDT) was appointed to identify the most efficient and appropriate acquisition strategy to go from a GSA Task Order award for two Centers to an enterprise contract that would be available for use by the entire Agency. An extension of the current contract for 6 months in accordance with FAR Clause 52.217-8 , Option to Extend Services is required for a successful competition and transition to the enterprise contract while ensuring a continuation of support services.
3. FAR 6.303-2(b)(3) - A description of the supplies or services required, to meet the
Agency's needs (including the estimated value):
The GSS2 contract is a fixed priced GSA Task Order award that supports LaRC and JSC.
GSS2 provides geospatial products and services to facilitate the maintenance , operation, and enhancement of the GSS data and decision support enabled environment. The contract facilitates accurate and effective data utilized for managing: property and boundaries ;
geodetic control; buildings, structures and uti lities; environmental; safety and first responders; and facility construction, maintenance , operations, and demolition; and survey and measurement of: wind tunnels, models and other scientific equipment to support mission related programs and projects.
Due to the complexity of the new requirement, more time is required to complete the follow-on contract than is remaining on the existing contract. As a result, the current contract needs to be extended six (6) months through November 30, 2024, to meet Agency needs and avoid an interruption in service. The extension is within scope of the contract.
The current value of the contract is $7.3M. The extension has an estimated value of$ l .2M, which is based on the GSA schedule rates under the contract. The Contracting Officer intends to extend the current contract by issuing a bilateral modification for a 6-month period as allowed by the clause.
4. FAR 6.303-2(b)(4)-An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition is 10 U.S.C.
3204(a)(l), as implemented by FAR 6.302-l (a)(2)(iii), only one responsible source and no other supplies or services will satisfy Agency requirements.
5. FAR 6.303-2(b)(5) - A demonstration that the proposed contractor's unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 10 U.S.C. 3204(a)(l) is that the services needed are available only from one responsible source and no other type of service will satisfy the needs of the Agency as described below.
In accordance with FAR 6.302-1(a)(2)(iii), services may be deemed to be available from only the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition or unacceptable delays in fulfilling the Agency's requirements.
When considering the specialized requirements as described above in paragraph 3, the incumbent contractor, Genex Systems LLC, is the only contractor that can provide uninterrupted services without substantial duplication of effort or costs that would otherwise be incurred if NASA LaRC and JSC were to attempt to procure a new contract for these services under this bridge extension request. Further, transitioning specialized service in such a short time would be highly disruptive to ongoing services resulting in major impact to facility operations. Market research identified no existing or planned contracts (except the follow-on to this contract) that could accommodate Genex' s specialized services. The cost of competing, awarding, and administering a contract would create a substantial duplication of cost to the Government that is not expected to be recovered through competition. Competing and awarding a new contract to a new contractor or expending the resources to add the work into an existing contract for a 6-month period is not in the best interest of the Government.
An extension to the GSS2 contract will allow time for NASA to complete the competitive process to transition from a GSA Task Order to an Agency-wide Enterprise contract without disruption in service.
6. FAR 6.303-2(b)(6)-A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
The extension will be exercised in accordance with FAR 52.217-8. This action will not be synopsized based on the exception identified in FAR 5.202(a)(l 1): The proposed contract action is made under the terms of an existing contract that was previously synopsized in sufficient detail to comply with the requirements of FAR 5.207 with respect to the current proposed action. Based on the information described in paragraph 5 of this document , it is in the Government' s best interest to extend the current contract to avoid substantial duplication of cost. The follow-on acquisition will be competed on a small business set-aside basis on sam.gov.
7. FAR 6.303-2(b)(7)- A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
In accordance with FAR Clause 52.217-8, continued services will be at the prices specified in the current contract. The current contract was competed as a small business set-aside on GSA with prices already determined per the Contractor' s schedule. At the time of contract award, prices were determined to be fair and reasonable based on competition and market research. The Contracting Officer will verify the costs will be fair and reasonable.
8. FAR 6.303-2(b)(8) - Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted:
Extensive market research was conducted in accordance with FAR Part 10 for the original acquisition and prior to the exercise of the option year under the contract. The rates were found to be fair and reasonable both times. This extension will be in accordance with FAR 52.217-8 Option to Extend Services, which will cause the current rates on the contract to be extended. NASA recognizes that market research would produce offerors capable of providing the necessary services, however, as discussed above, it is not practical, feasible, or cost effective to conduct a competition at this time.
9. FAR 6.303-2(b)(9) - Any other facts supporting the use of other than full and open competition:
None.
10. FAR 6.303-2(b)(10) - A listing of the sources, if any, that expressed an interest in writing in the acquisition:
None.
11. FAR 6.303-2(b)(11) - A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
The Agency is currently working on the follow-on competitive procurement. This extension will allow the continuity of service until a new contract is awarded. Market research conducted for the follow-on indicates that there are many companies interested in competing for the follow-on acquisition. The Government anticipates issuing a solicitation in Spring 2024 and does not anticipate any barriers to competition.
