About this file

This Justification for Other Than Full and Open Competition (JOFOC) document details a $5 million ceiling increase for NASA Langley Research Center's Facility Assurance, Inspection, Monitoring and Occupational Safety II (FAIMOS-II) contract with Mission Technology, Inc. The contract modification expands support services to include the Goddard Space Flight Center, increasing the total contract value from $37,572,532 to $42,572,532. The services encompass a comprehensive range of safety and mission assurance activities, including institutional safety, occupational safety, industrial hygiene, facility safety, construction inspection and management, emergency response, and radiation protection.

The modification is being executed to ensure continuity of specialized support services until the follow-on Joint Safety Health Institutional Facilities Team (JSHIFT) contract is awarded. NASA determined that competing and awarding an interim contract would be impractical and cost-ineffective, and market research confirmed no alternative existing contracts could provide the required expertise. The current contract runs from May 2020 through April 2025, with a base year and four one-year options, and has already utilized approximately 85% of its original ceiling. The sole-source justification was approved by the NASA Langley Research Center's Competition Advocate, with the contract modification designed to support mission-critical requirements at both Langley and Goddard Space Flight Centers.

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION

LANGLEY RESEARCH CENTER (LARC)

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

(JOFOC)

for Facility Assurance, Inspection, Monitoring and Occupational Safety II

(FAIMOS-II)

Contract No. 80LARC20D0005

1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”

This document is a justification for other than full and open competition prepared by

National Aeronautics and Space Administration (NASA) Langley Research Center (LaRC).

The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is LaRC.

2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:

This justification provides the rationale for contracting by other than full and open competition to award a modification to contract number 80LARC20D0005 with Mission Technology, Inc. for a ceiling increase in the amount of $5M. The FAIMOS-II contract provides safety and quality assurance services that support the development, implementation, and management of a comprehensive safety and mission assurance program and management of maintenance and facility inspection quality assurance and construction management support for LaRC. Additionally, the FAIMOS-II contract began providing support for the Goddard Space Flight Center (GSFC) industrial hygiene, occupational safety, and radiation safety in August 2024 as part of the NASA FAR Supplement Strategies, Appendix A-102.21, Safety and Mission Assurance (SMA) Support Services. While the contract’s Performance Work Statement (PWS) includes ordering for support services at other NASA Centers, the original ceiling estimate did not anticipate the level of support to absorb of the full scope of the GSFC support contracts. This increase will bring the maximum contract value from $37,572,532.00 to $42,572,532.00 and is requested to cover estimated future work under FAIMOS-II, which includes LaRC and GSFC.

This increased value is essential to enable continuation of the specialized support services provided by Mission Technology under the FAIMOS-II contract until the follow-on contract, Joint Safety Health Institutional Facilities Team (JSHIFT) is awarded. LaRC has concluded that it is not reasonable nor cost effective to conduct another procurement separate from the ongoing JSHIFT source selection in order to meet existing FAIMOS-II requirements.

Therefore, LaRC is issuing this JOFOC to ensure continuity in the performance of these essential services until JSHIFT is awarded.

3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the

Agency’s needs (including the estimated value):

The FAIMOS-II contract is a single-award firm-fixed price base contract with an Indefinite- Delivery Indefinite-Quantity (IDIQ) component to issue both firm-fixed price and cost-plus fixed-fee task orders. The FAIMOS-II contract provides core support services for the Safety and Mission Assurance Office (SMAO) at both LaRC and GSFC as well as the LaRC Center Operations Directorate (COD). These technical services include:

Institutional Safety Occupational Safety and Industrial Hygiene Facility Safety and Assurance Materials Analysis and Quality Assurance Laboratory Life Safety and Fire Alarms/Protection Equipment Construction Inspection Construction Management Construction Cost Estimating Facilities Monitoring Support Emergency and Incident Response Services Support Radiation Protection

The contract has a period of performance (PoP) from May 01, 2020 through April 30, 2025.

This PoP includes a one-year base and four (4) one-year options. The estimated value for this proposed ceiling increase is $5M, which will increase the contract value from $37,572,532.00 to $42,572,532.00. This increase represents an 13% increase to the overall contract which consists of 8% associated with sustaining efforts that will cover through the anticipated award date of the JSHIFT contract and additional 5% for unanticipated mission critical requirements (e.g., IDIQ efforts) at both LaRC and GSFC locations. The FAIMOS-II contract has utilized ~85% of its current ceiling, and the approval of this requested increase is crucial to enable NASA’s mission critical work to continue through the award of the follow-on JSHIFT contract.

4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:

The statutory authority permitting other than full and open competition is 10 United States Code (U.S.C.) 2304(c)(1), as implemented by FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy Agency requirements.

5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:

The rationale supporting the use of 10 U.S.C. 2304(c)(1) is that the services needed are available only from one responsible source and no other type of service will satisfy the needs of the Agency as described below.

In accordance with FAR 6.302-1(a)(2)(iii), services may be deemed to be available from only the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition or unacceptable delays in fulfilling the Agency’s requirements.

In considering the diverse and specialized requirements as described in paragraph 3 above, the prime contractor, Mission Technology, Inc., is the only contractor that can provide uninterrupted services without substantial duplication of effort or costs that would otherwise be incurred if NASA LaRC were to attempt to procure a brand-new contract for these services. Competing and awarding an interim (bridge) contract to a new contractor until the award of the JSHIFT contract is not practical nor in the best interest of the Government. The cost of competing, awarding, and administering a brand-new bridge contract would create a substantial duplication of cost to the Government that is not expected to be recovered through competition. Additionally, transitioning the specialized support services in an ad-hoc manner and/or twice in a short time period would be highly disruptive to the current mission workforce. Market research conducted by the Contracting Officer determined there is no other existing enterprise contract to provide the necessary expertise required under the FAIMOS-II contract.

6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

A notice to the Government Point of Entry (GPE) website (Sam.gov) will be published in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this sole-source modification to Mission Technology, Inc. The results of this synopsis are summarized in Section 10 below.

7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. In addition, LaRC will leverage cost data available from the prior years of performance under the contract to support the Contractor’s cost and pricing for all services.

8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted (e.g., urgent, and compelling requirement):

NASA recognizes that market research would produce offerors capable of providing the necessary FAIMOS-II support services. However, as discussed in detail in paragraphs 5, it is not practical, feasible, or cost effective to conduct a competition at this time to onboard a brand-new contractor, and satisfactorily ensure performance of a bridge contract without great risk of disruption or degradation of the mission.

Market research determined that there are no existing Agency-wide or government-wide contracts to perform the entirety of the FAIMOS-II support services requirement in a more economical manner for the short duration remaining on this contract. Further research in the form of sources sought or a Request for Information were not conducted for this ceiling increase because only one responsible source is available to perform the actions necessary under this increased capacity. However, substantial market research has been conducted related to the follow-on JSHIFT procurement which identified several qualified interested parties and the IDIQ ceiling is also being evaluated for increased capacity.

9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:

None.

10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:

A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above).

11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

LaRC is currently examining the market under JSHIFT and the Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
