About this file

This is a Memo to File documenting the justification for a lease extension without full and open competition. The lease in question (LMO01017) is scheduled to expire on September 14, 2026, and the government requires a 12-month extension. The estimated net annual rent falls within the Simplified Lease Acquisition Threshold (SLAT), allowing the extension to proceed without competitive bidding. The extension is justified under GSAR 570.405, with the primary rationale being that the occupying agency is experiencing unexpected delays in preparing alternate Federally controlled space for occupancy.

The contracting officer has selected the cost-based rationale for this action, citing that lease extensions serve as necessary short-term contracting actions to protect the government's occupancy rights when the agency cannot vacate by the existing contract expiration date. The cost-based approach emphasizes that extensions avoid holdover tenancy expenses and that the government cannot reasonably recover relocation costs through competitive procurement of a separate short-term lease. The document was approved by Frank Whiting, the Lease Contracting Officer, on Project Number 6MO0286. The mission-based rationale section remains incomplete in the document.

The government encounters unexpected delays outside of its control in acquiring replacement space

The government is consolidating various agencies and the contracting officer needs to extend the terms of some leases to establish a common expiration date

The agency occupying the space has encountered delays in planning for a potential relocation to other federally controlled space due to documented organizational, financial, or other uncertainties

This extension for a lease below the simplified lease acquisition threshold is necessary as:

Cost based rationale

Lease extensions represent short-term contracting actions which are necessary to protect the occupancy rights of the government when the government cannot vacate the premises by the expiration of the existing contract term.

Extensions avoid the costs associated with holdover tenancies. Additionally, the government cannot reasonably expect to recover the costs associated with relocation of the tenant agency through full and open competition of a separate short-term lease to cover the term of this extension.
