About this file

This is a Sole Source Justification under Simplified Procedures for Commercial Items issued by the Department of Veterans Affairs (VA), Network Contracting Office (NCO) 17, in support of the Amarillo VA Healthcare System (AMA).

The procurement seeks continued rental of a mobile laboratory (2 modules) for a period of performance from September 1, 2026 through August 31, 2027, including options, with an estimated total value of $350,850.20. The requirement includes mobile laboratory rental (6 months), a refundable security deposit (1 unit), freight lab rental (2 units), and lab rental decommissioning (2 units). The vendor will provide a trailer with cleanroom facilities where AMA's Pathology Laboratory Medicine Service will operate VA-owned equipment to perform laboratory testing services. Competition is restricted under FAR 12.102-2(b) based on "Unusual and Compelling Urgency." The current mobile laboratory is provided by Lab-Pro, Inc., a small business, under a recently terminated construction contract (36C25722C0093). Discontinuing this service would require approximately 68.4 days to remove existing trailers, deliver new ones, and reinstall equipment, causing complete laboratory work stoppage that would delay patient care or require expensive third-party testing services. Market research identified four small businesses and one large business capable of providing mobile laboratory rentals via internet search; however, competing the requirement was determined impracticable due to time constraints and operational continuity needs. The CO determined pricing will be fair and reasonable by comparing Lab-Pro's pricing to an independent government estimate. A Sources Sought Notice was not issued. The requirement is intended only for the duration of the AMA laboratory construction project.

DEPARTMENT OF VETERANS AFFAIRS

SOLE SOURCE JUSTIFICATION UNDER SIMPLIFIED PROCEDURES FOR CERTAIN COMMERCIAL

ITEMS IN ACCORDANCE WITH FAR 12.102(b)

Acquisition Plan Action ID: 36C257-26-AP-4548 RPOW JOFOC Tracking Number: FY26-NCO 17-2073

1. Contracting Activity:

Department of Veterans Affairs (VA), Network Contracting Office (NCO) 17, located at 5441 Babcock Rd., Ste 302, San Antonio, TX 78240, in support of the Laboratory and Pathology Laboratory Medicine Service (P&LMS), Amarillo VA Healthcare System (AMA), 6010 Amarillo Blvd. W, Amarillo, TX 79106.

Purchase Request Number: 504-26-4-6132-1271

2. Nature and/or Description of the Action Being Processed:

This procurement is for mobile laboratory rentals in accordance with FAR 12.102-1 Simplified Procedures for Commercial Items and, specifically FAR 12.102, where acquisitions conducted under Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6, but still requires a justification using the format of FAR 6.303-2.

This requirement is for the continued use of a mobile laboratory rental for AMA while the laboratory is under construction. This service was being provided by a subcontractor, Lab-Pro, Inc., under construction contract 36C25722C0093. However, the contract was terminated for default in May 2026. To ensure that the hospital remains operational and patient care is not delayed, a contract for continued services is required.

This requirement will be a new, firm fixed price contract.

3. Description of Supplies/Services Required to Meet the Agency’s Needs:

The vendor is to provide a trailer with a cleanroom where the AMA P&LMS will use with VA-owned equipment to perform laboratory testing services.

The period of performance for this requirement will be from 9/1/2026 to 8/31/2027, including options.

The estimated value, including options, is $350,850.20.

Effective Date: 12/30/2025 Page 2 of 5

Acquisition ID#: 36C257-26-AP-4548

4. Statutory Authority Permitting Restricted Competition:

FAR 12.102-2(b), Restricting Competition. The statutory authority for applying the Simplified

Procedures for Commercial Items is 41 U.S.C. § 1901 and is implemented by FAR 12.102-2 for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:

( ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

(X) Unusual and Compelling Urgency ( ) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert

Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

The vendor currently provides the mobile laboratory rental services under the recently terminated construction contract, 36C25722C0093. The vendor’s mobile lab currently has electrical, fire suppression, and water supply connections to the AMA facility to allow testing to be performed at AMA without interruption.

If procured through competition, there would be a complete work stoppage for the lab, causing unacceptable interruptions and delays in patient testing and substantial duplication of costs. The table below estimated the time required to replace the existing mobile laboratory trailers after award.

Replacement Step Estimated Time (Hours)

Estimated Time (Days)

Remove Equipment 72 3

Disconnect Water Supply 8 .3

Disconnect Fire Suppression System 16 .7

Disconnect Electrical 4 .2

Delivery of New Trailers 504 21

Preparation and Decontamination 336 14

Connection of Electrical 4 .2

Connection of Fire Suppression System 16 .7

Connection of Water Supply 8 .3

Installation of Equipment (Includes Calibration and Validation)

672 28

Total Estimated Time 1,640 68.4

Based on the table above, if this requirement was competed, after award, there would be a complete stoppage for the lab for about 68.4 days. This means that patient testing would either need to be sent to a third-party at a significantly higher cost or all patient appointments that require laboratory testing would be delayed. By using the rental mobile laboratory currently in place by Lab- Pro, Inc., testing would not be required to be sent to a third-party and there would be no delays in patient care since the mobile labs would not require to be uninstalled and then reinstalled.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:

Market research was conducted to determine if there were other vendors that could meet the requirement. However, due to the need to minimize the downtime of in-house testing, the CO determined that competing this requirement would only cause unnecessary delays and potential hospital operation stoppages. This requirement is intended to be used only while the new construction contract is recompeted and executed. When the remodel is complete, there will be no additional need for this requirement.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:

The CO believes that pricing will be fair and reasonable as a new requirement would also include delivery and set-up costs. The pricing provided by Lab-Pro, Inc., would be compared to the IGE.

There are no contracts for this specific service found to be awarded by the VA to which this requirement could be compared.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons

Market Research Was Not Conducted:

Market research was conducted in accordance with RFO part 10 and VAAR part 810.

The following sources were searched/reviewed: Small Business Administration (SBA) Small Business Search Tool, General Services Administration (GSA) eLibrary, Ability One, Federal Prison Industry (UNICOR), the Internet, and a recent construction contract which used these services. The System for Award Management (SAM.gov) was used to verify business sizes for those not found on the SBA Small Business Search Tool.

NAICS Code 532120 was searched on the SBA Small Business Search Tool for all small businesses.

This resulted in zero (0) vendors. As this resulted in no vendors, and a search for all small businesses includes Service-Disabled Veteran Owned Small Businesses (SDVOSB)/Veteran Owned Small Businesses (VOSB), no search specifically for SDVOSBs and VOSBs was searched.

GSA eLibrary and Ability One were searched for “laboratory rental” which provided no results.

A search of PSC Code W066 was conducted on the UNICOR site, which provided no results.

An Internet search for “mobile laboratory rental” resulted in four (4) small businesses and one (1) large business. One of the small businesses has had an inactive SAM.gov registration since September 2021; all other businesses have an active SAM.gov registration.

Previous contract 36C25722C0093 was for an $8.3 million construction project to renovate the AMA Lab. This included all the equipment, materials, and labor required to complete the project while a temporary (mobile) laboratory was used to prevent a stoppage of hospital operations. The current laboratory rental is performed by SB, Lab-Pro Inc.

A Sources Sought Notice was not issued for this requirement. To prevent delays in patient care, this requirement cannot be competed as the lead times as described in the table under section 5 above would cause a delay in patient care as laboratory processes would be halted for the period that the trailer currently in place would be replaced by a trailer provided by a third party.

Effective Date: 12/30/2025 Page 4 of 5

Buy American Act (BAA)/ Trade Agreement Act (TAA): The BAA and TAA do not apply to this requirement. There are no incidental supplies to be acquired. This requirement is for the rental of the mobile laboratory, which will be removed completely upon completion of the construction project.

Market research recommends that, if time were available, to solicit on the open market as a small business set-aside. However, with the time constraints, it is recommended that a contract be awarded directly to Lab-Pro, Inc., a small business.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition:

None.

10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:

Lab-Pro, Inc.

11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to

Competition before Making subsequent acquisitions for the supplies or services required:

At this time, there are no actions that could be taken to overcome the barriers to competition for this specific requirement. In the future, if a mobile laboratory rental is required for a construction project, the Contracting Officer recommends that a separate contract for mobile laboratory rentals be made as market research shows that there are multiple small businesses that appear to be capable of providing the mobile laboratory rental.

12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide
