About this file
This Justification for an Exception to Fair Opportunity is a federal contract modification document for a Financial Management Support Task Order from the Department of Commerce's National Oceanic and Atmospheric Administration (NOAA). The modification involves extending the period of performance for Financial Management Data Services (FMDS) from the current contractor, Data Networks, Inc. (DNC), from December 30, 2025, through February 17, 2026, to bridge a gap until a recompete can be awarded. The extension is a hybrid Time-and-Materials and Firm-Fixed-Price task order issued under the ProTech Indefinite Delivery, Indefinite Quantity (IDIQ) Satellite domain.
The primary purpose is to maintain critical financial management services for NOAA's satellite acquisition programs, with FMDS serving as a centralized data platform that integrates and visualizes complex financial datasets. The modification will include exercising an option period, extending FMDS services, and increasing the task order ceiling. NOAA anticipates conducting a competitive small business set-aside procurement for both FMDS and Financial Management Support (FMS) services under the ProTech Satellite Domain IDIQ, with awards expected prior to the current task order's expiration.

JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY
FOR AN ORDER EXCEEDING THE SIMPLIFIED ACQUISITION THRESHOLD
(AUTHORITY: FAR 16.505(b)(2)(i)(C))
Financial Management Support Task Order Bridge Period of Performance Extension
1. Agency and contracting activity.
Department of Commerce (DOC), National Oceanic and Atmospheric Administration (NOAA) Acquisition and Grants Office (AGO), Satellite and Information Acquisition Division (SIAD) and NOAA National Environmental Satellite, Data, and Information Service (NESDIS).
2. Nature and/or description of the action being approved.
This is a justification for an exception to fair opportunity for a modification to a logical follow-on under FAR 16.505(b)(2)(i)(C). This task order is a hybrid Time-and-Materials (T&M) and Firm- Fixed-Price Task Order (TO) issued off the Professional, Scientific, and Technical Services Program (ProTech) Indefinite Delivery, Indefinite Quantity (IDIQ) Satellite domain. The award was issued to Data Networks, Inc. (DNC). The modification workspace number for this action is
This modification will consist of three parts, listed below, but this JEFO is for the FMDS extension and resulting task order ceiling increase, parts b and c below, respectively.
a) Exercise Option Period 1, CLIN’s 1001, 1002, and 1003 in accordance with FAR 52.217-9 in the amount of with a period of performance from December 30, 2025 through March 29, 2026;
b) Extend the period of performance for only the Financial Management Data Services (FMDS) services from December 30, 2025 through February 17, 2026* in the amount of in accordance with FAR 52.217-8; and
c) Increase the task order ceiling by to allow for the extended FMDS work.
*Note: AGO anticipates having the award in place for the FMDS recompete by February 17, 2026.
3. Description of the supplies or services required to meet the agency’s needs (including the estimated value).
NOAA/NESDIS requires continued Financial Management Support (FMS) to sustain its mission of understanding and protecting natural resources, monitoring global weather and climate, and supporting U.S. economic vitality. NESDIS is responsible for operating NOAA’s satellite systems and delivering accurate, timely environmental data. These systems support essential services tied to national security, environmental monitoring, and economic development. This justification for exception to fair opportunity, however, is limited only to the continued performance of the Financial Management Data Services (FMDS) requirements necessary to bridge the gap until the recompete is awarded. Specifically, FMDS serves as the centralized data platform and technical infrastructure that enables the broader FMS functions by integrating and visualizing the complex financial datasets required for NESDIS satellite acquisition programs. To ensure uninterrupted support of these mission-critical operations, NESDIS requires a period of performance extension for both the FMS and FMDS services. The scope includes:

As mentioned above, to overcome the need for a sole-source award, NOAA is actively pursuing a competitive procurement for the follow-on requirements. Both the FMDS and FMS recompetes will be solicited as a competitive small business set-aside under the ProTech Satellite Domain IDIQ. ProTech is the vehicle of choice based on a successful track record of sourcing contractors to meet previous requirements. This current follow-on action is necessary solely to maintain continuity of critical services until the competitive awards can be made. The acquisition planning and requirements development for the competitive actions are underway, and awards are anticipated by (for FMDS) and (for FMS), respectively, prior to the expiration of this bridge task order.
