JUSTIFICATION FOR AN
EXCEPTION TO FAIR OPPORTUNITY
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Nature and/or Description of Action Being Approved.
Pursuant to Federal Acquisition Regulation (FAR) 16.505(b)(2)(i)(B), this Justification for an Exception to Fair Opportunity (JEFO) authorizes and approves, on a sole source basis, awarding AAR Aircraft Services, Inc (AAR) Indianapolis, IN a modification to Order N0001920F0337 under Indefinite Delivery Indefinite Quantity Contract (IDIQ) N0001918D0111 because AAR is the only awardee capable of providing the services required at the quality level required. The order currently procures Age Exploration Planning Depot (AEPD) inspections and depot level maintenance and repair of six P-8A Poseidon aircraft. The instant modification will procure the same services for one additional aircraft.
3. Description of the Supplies or Services Required to Meet the Agency’s Needs (including the estimated value).
The Maritime Patrol and Reconnaissance Aircraft program office (PMA-290) requires one additional P-8A aircraft undergo the following depot-level maintenance activities: AEPD inspection, over-and-above (O&A) maintenance and repair, depot engineering support, incorporation of Technical Directives (TDs), and the removal of engines and subsequent reinstallation of those engines after a third party contractor coats the engines with SermeTel. The estimated value to fulfill the requirements is [REDACTED] as detailed in the following table.

4. Identification of the Justification Rationale (see FAR 16.505(b)(2)) and, if applicable, a Demonstration of the Proposed Contractor's Unique Qualifications to Provide the Required Supply or Service.
Pursuant to FAR 16.505(b)(2)(i)(B), the contract action must be issued on a sole-source basis since only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized. As a result of competitive Solicitation N00019-15-R-2004, on 1 February 2018 AAR Aircraft Services, Inc was one of two awardees for P-8A Poseidon Airframe Depot Maintenance and Repair IDIQ contracts.
The other awardee was The Boeing Company (Boeing). Each of the IDIQ contracts includes seven fiscal year ordering periods (i.e., Base Period and Option Periods 1 through 6). The IDIQ contracts provide for the contractors to annually compete against each other to be selected as the primary awardee resulting in obtaining orders to fulfill the majority of Government requirements for the ordering period. Relevant to fulfilling the requirements at hand, AAR was selected as the primary (REDACTED) awardee for Option Period 2. The Government did not exercise Boeing’s IDIQ Option Period 2 Option Items [REDACTED]. Concurrently with executing AAR’s IDIQ contract’s Period 2 Option Items, the Government issued Period 2 Order N0001920F0337 to AAR pursuant to the IDIQ contract’s Fair Opportunity Ordering Procedures clause. The order procures depot-level maintenance and repair for six P-8A aircraft including, for each aircraft, an AEPD inspection, incorporation of TDs, O&A maintenance and repair, depot engineering support, maintenance concurrent with AEPD, material concurrent with AEPD, and engine removal and replacement. The instant modification will procure the same services for one additional P-8A aircraft.
[REDACTED]. In addition to the requirement for established Ground Flight Risk procedures (per DCMA Instruction 8210.1C), the contractor requires access to and utilization of P-8A technical data in order to fulfill the unique and highly specialized nature of the depot maintenance and repair requirements. [REDACTED]. As a result, only AAR is capable of providing the supplies or services required.
5. A Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable.
For the Firm Fixed Price (FFP) Contract Line Item Numbers (CLINs), each unit price will equal the unit price established as a result of adequate competition during the Period 2 competition between the two IDIQ contract holders. Each Time-and-Materials (T&M) CLIN has a single labor hour rate and material mark-up rate that were established during the overarching competitive IDIQ contract source selection process.
6. Any other Facts Supporting the Justification.
None
7. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers that Led to the Exception to Fair Opportunity before any Subsequent Acquisition for the Supplies or Services is Made.
As previously stated, the two IDIQ contracts include a base period and six option periods. Each option period is subject to competition between the two IDIQ contractors. The contracts provide for the requirements covered by this document to be included in the Option Period competitions to determine the primary awardee for those periods.
