JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
This Justification and Approval (J&A) authorizes and approves the sole source award of a modification to the existing Sea-Based Joint Precision Approach and Landing System (JPALS) Engineering and Manufacturing Development contract with Raytheon Company (hereinafter referred to as “Raytheon”), Fullerton, CA. This modification will procure up to three additional site trips to support Boresight at-sea for Engineering Development Model (EDM) installation and Inertial Measurement Unit (IMU) maintenance. The modification will also procure associated technical data.
3. Description of Supplies/Services.
This procurement includes services required for additional JPALS Boresight at-sea efforts consisting of initial boresighting following EDM system installation and boresighting as part of IMU maintenance when two or more IMUs need replacement at sea. Boresight efforts include updating IMU alignment values in the JPALS System.
The total estimated value of these additional requirements is $ and is expected to be funded with Fiscal Year 2020 Research, Development, Test, and Evaluation funds.
4. Statutory Authority Permitting Other Than Full and Open Competition.
The statutory authority permitting other than full and open competition is Title 10 United States Code, Section 2304(c)(1) as implemented by Federal Acquisition Regulation 6.302-1: "Only one responsible source and no other supplies or services will satisfy agency requirements."
5. Rational Justifying Use of Cited Statutory Authority.
Raytheon is the original designer and developer of Sea-based JPALS including the JPALS Performance Model (JPM) and JPALS Technical Data Package (TDP). The Government procured the JPM and TDP in 3QFY2019; however, the JPM and TDP are representative of JPALS production units and not pre-production EDM’s. Therefore, Raytheon as the only JPALS manufacturer is the only known source that has the unique knowledge, experience and special skills required to perform JPALS Boresight at-sea for pre-production JPALS EDM systems.
In accordance with FAR 6.302-1(a)(ii)(A), award to a source other than Raytheon would result in substantial duplication of costs that is not expected to be recovered through competition. Raytheon has been the Prime Contractor for JPALS since its inception in 2008 and has completed the baseline development work and testing. It would be cost prohibitive to obtain the required level of knowledge, experience, special tools, and skills from another contractor for the Boresight at-sea effort. NAVAIR AIR-4.2 estimates that this effort, if awarded to a source other than Raytheon, would result in $ of duplicative costs. These costs include non-recurring efforts to design and qualify boresighting procedures, as well as added costs to develop expertise to complete boresighting on non-productionized EDM systems.
In accordance with FAR 6.302-1(a)(ii)(B), award to any other source would also result in an unacceptable delay in fulfilling Navy requirements to support F-35B operational deployments. JPALS is the primary landing aid for F-35Bs and schedule delays would require F-35Bs to deploy without shipboard JPALS capability. Raytheon has been the only Contractor performing JPALS boresighting at sea to date. Approximately one year would be required to award a contract to a company other than Raytheon. A new source would require approximately 12 months after contract award to develop and qualify boresighting procedures to enable them to perform JPALS Boresight at-sea. The Navy must begin JPALS Boresight at sea by December 2020 in order to meet F-35B operational requirements. In order to avoid $ of duplicative costs and a schedule impact to F-35B, the Government position is that Raytheon is the only responsible source capable of providing supplies and services to satisfy Navy requirements.
6. Description of Efforts Made to Solicit Offers from as Many Offerers as Practicable.
A market survey conducted by NAVAIR on July 28, 2020, indicated that no other source could perform the JPALS Boresight at-sea effort. This is because no other contractors have the experience to complete the effort without costly non-recurring effort required to develop requisite tools/procedures necessary to apply the algorithm performance specifications to the IMU. A waiver of DFARS PGI 206.302-1, Request for Information/Sources Sought Requirement was approved by V23. In accordance with FAR Subpart 5.201, this requirement was synopsized on the betaSAM.gov website on June 26, 2020. No responses were received. Any future responses will be evaluated by the Procuring Contracting Officer prior to award.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer determined the anticipated costs to the Government associated with the supplies and services covered by this J&A are fair and reasonable. In accordance with FAR 15.402(a), the Contracting Officer shall ensure that all supplies and services authorized under this J&A are procured at a fair and reasonable price. Adequate information exists to determine fair and reasonable prices in accordance with FAR 15.402(a). The Contractor will submit cost or pricing data in accordance with FAR 15.403-4. Analysis of the proposals will be performed by engineers supporting the Program Office and contract specialists, with the assistance of the Defense Contract Management Agency, and the Defense Contract Audit Agency, as necessary. The Contracting Officer will analyze various cost elements that are presented in the proposal and requests for information, and use data from the existing contract for comparison. The Contracting Officer will utilize cost and price analysis findings as the basis for negotiating fair and reasonable prices.
8. Actions to Remove Barriers to Future Competitions.
For the reasons set forth in paragraph five, NAVAIR has no plans at this time to compete future contracts for any subsequent acquisition for the supplies required. If another potential source emerges, NAVAIR will assess whether competition for future requirements is feasible. Because this is a modification for supplies previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(i), the prior J&As were provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(ii).
