About this file

This is a Justification for Other Than Full and Open Competition (OTFAOC) document for a sole-source bridge contract action. The Defense Information Systems Agency (DISA), through its contracting activity DISA/Defense Information Technology Contracting Organization (DITCO) PS61, is awarding a firm fixed-price bridge contract to the incumbent contractor GCR-Dean, LLC for Building Operations Support (BOS) Services at DISA Headquarters located at Fort Meade, Maryland. The contract covers a six-month initial performance period from November 2, 2026 through May 1, 2027, with a potential six-month extension from May 2, 2027 through November 1, 2027 if additional support is required. The procurement is justified under 10 U.S.C. 3204(a)(1) and FAR 6.103-1 based on the determination that only one responsible source exists and no other supplies or services will satisfy agency requirements.

The justification emphasizes that any gap in service would be unacceptable and would result in a full mission stop for DISA, as the facility comprises approximately 1.07 million gross square feet of high-tech, multi-story administrative and laboratory space housing vital national security assets including a Network Operations Center, IT laboratories, and extensive SCIF space. Without continued BOS maintenance, the agency faces critical operational consequences including systemic IT shutdown due to failure of mission-critical cooling systems, loss of security accreditations for classified processing spaces, vulnerability to threat actors, emergency failure risks to life safety systems, and uninhabitable working conditions. The Cost and Pricing team reviewed the proposal and determined the price to be fair and reasonable following contractor negotiations. The recompete requirement will be a competitive action on General Services Administration (GSA) OASIS+. Prior procurement history shows this requirement has been competitively awarded three times since 2010. The Procuring Activity Competition Advocate approved this justification as accurate and complete.

JUSTIFICATION FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

Federal Acquisition Regulation (FAR) Part 6 Justification & Approval (J&A), Supporting Procurements under FAR Part 12 and FAR Part 15

CSS Tracking Number: 6152675584 Funding Document Number: HC109127P0FFL301 Contract Number: HC104727C0021 Task/Delivery Order Number: N/A Procurement Title: Building Operations Support (BOS) Services Estimated Value:

Regulatory Authority: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

J&A Number: JA27-05

1. REQUIRING AGENCY AND CONTRACTING ACTIVITY:

Requiring Agency: Defense Information Systems Agency (DISA), J4 Contracting Activity: DISA/Defense Information Technology Contracting Organization

(DITCO) PS61

2. NATURE/DESCRIPTION OF ACTION(S):

Type of Action: Bridge Type of Contract: Firm fixed price (FFP)

3. DESCRIPTION OF SUPPLIES/SERVICES:

This is a follow-on requirement for BOS Services for the DISA Headquarters (HQ) facilities located at Ft Meade, Maryland. DISA HQ buildings are high-tech, multi-story, state-of-the-art administrative/laboratory complex incorporating the latest developments in technology and are approximately 1,070,000 gross square feet.

The contract action will provide BOS Services with a total cost of for a six-month period of performance beginning 02 November 2026 through 01 May 2027. Should DISA require additional support on this bridge contract beyond 01 May 2027, the FAR 52.217-8 clause will be included for a total cost of for the period of performance beginning 02 May 2027 through 01 November 2027. This will allow J423 to accomplish its mission of providing operations and maintenance support to DISA HQ.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

J&A: Building Operations Support (BOS) Services

Page 2 of 4 Pages

The United States Code (U.S.C.) and FAR reference permitting other than full and open competition: 10 U.S.C. 3204(a)(1), FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE

NATURE OF THE ACQUISITION REQUIRED:

The incumbent contractor is GCR-Dean, LLC. Due to the fact the follow-on cannot be awarded and services transitioned prior to the current task order expiration GCR is the only source that can fulfill this requirement without risk of a substantial break in service/support to DISA. In accordance with FAR 6.301-1, a sole-source action is necessary to ensure continued performance until the award of the follow-on contract.

This is a critical requirement. The DISA HQ buildings at Fort Meade are a high-tech, multi-story, 1.07-million-square-foot facility housing vital national security assets—including a Network Operations Center, IT laboratories, and extensive SCIF space—failing to fund this follow-on contract would have severe, cascading impacts on national security, mission readiness, and life safety. BOS Services is the fundamental backbone that allows a facility of this scale and sensitivity to function and the following areas would be impacted without this bridge contract:

Operational Consequences of No Funding, Systemic IT Shutdown: These high-tech spaces rely on mission-critical Uninterruptible Power Supplies (UPS), backup generators, and specialized HVAC/cooling systems. Without BOS maintenance, failure of cooling systems will cause rapid equipment overheating, leading to unplanned network outages and disabling DISA's ability to maintain global DoD Information Network (DoDIN) operations.

Loss of Security Accreditations: SCIFs require specialized doors, Acoustic Security measures, and strict physical security controls to maintain Intelligence Community Directive (ICD) 705 compliance. Without specialized BOS maintenance for physical security infrastructure (intrusion detection, access control systems, and special doors), these spaces will immediately fall out of compliance, legally forcing the halt of all classified processing and the relocation of sensitive military programs.

Vulnerability to Threat Actors: Neglecting specialized structural and technical systems (such as Electromagnetic Interference shielding and Antiterrorism/Force Protection physical barriers) directly degrades the facility's defenses against electronic eavesdropping, physical intrusion, and standoff threats, severely elevating force protection risks to the workforce.

Emergency Failure Risk: Lack of routine testing, inspection, and maintenance for fire alarms, sprinklers, and generator fuel systems violates basic building codes and safety regulations. A single failure of the fire suppression or fuel storage systems could result in immediate facility closure by safety authorities, as well as catastrophic damage in the event of a fire.

Uninhabitable Working Conditions: The immediate loss of custodial services, trash removal, building control management (Energy Management Control Systems), and plumbing maintenance will result in mold growth, water damage, and sanitary hazards. This would quickly make the facility uninhabitable for its thousands of daily operational personnel.

6. DESCRIPTION OF THE EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY SOURCES AS POSSIBLE:

In accordance with DISA Procurement Procedures Part 6, the Head of the Contracting Activity has waived the requirement to publish a Request for Information or Sources Sought Notices for Bridge contract actions.

7. DETERMINATION OF FAIR AND REASONABLE COST:

The Cost and Pricing team was utilized to review the proposal submitted by the contractor. This analysis helped ensure the price obtained is fair and reasonable. The cost and price team reviewed the proposal and brought to light some questions that needed to be answered before a fair and reasonable price could be determined. After negotiation with the contractor and a final review from the cost and pricing team, the proposal was deemed fair and reasonable.

8. MARKET RESEARCH:

In accordance with DISA Procurement Procedures Part 10, Bridge Contract Actions do not require market research however; ongoing market research was conducted during the life of the order and validated every option period renewal.

9. ANY OTHER SUPPORTING FACTS:

Any gap in service would be unacceptable as it would lead to a full mission stop for DISA. In competing this requirement at this time, the time it would take to onboard a new contractor would cause a breakdown in service and shut daily function of the facility down. Therefore, this sole source Bridge action is necessary. With BAS Maintenance Services consolidation into the BOS Services contract, delays have been caused by the PWS revisions. The recompete requirement will be a competitive action on General Services Administration (GSA) One Acquisition Solution for Integrated Services + (OASIS+).

10. LISTING OF INTERESTED SOURCES:

This contract action will bridge the existing contract until award of the follow-on contract can be resolved.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS
