About this file

This document is a Justification & Approval (J&A) for an Exception to Fair Opportunity for a Consolidated Top Secret (TS) Cloud task order to be issued to Microsoft Corporation under the Joint Warfighting Cloud Capability (JWCC) contract. DISA requires virtual desktop services and data services for Top Secret networks, with Microsoft being the sole provider capable of meeting the government's specific requirements due to its native integration with the Office 365 TS platform. The market research, conducted from July 15 to August 20, 2025, confirmed that Microsoft is the only Cloud Service Provider (CSP) capable of providing multi-tenant virtual desktop infrastructure with seamless collaboration capabilities, identity management, and interoperability across DoD/Intelligence Community tenants.

The task order will have a performance period from September 25, 2024 to September 24, 2025, with an estimated value that was redacted. Other cloud service providers (Google, Oracle, and AWS) either declined to respond or did not demonstrate the capability to meet the government's requirements. The justification emphasizes Microsoft's unique ability to provide a virtual desktop solution with native integration to Office 365 identities, ensuring secure collaboration, document processing, and cross-organization information sharing while maintaining the government's security posture. The Procuring Activity Competition Advocate, Andrea Horstmann, approved the exception since the justification does not exceed $15 million.

3. DESCRIPTION OF SUPPLIES/SERVICES:

DISA requires virtual desktop services and data services for customers on TS networks, supporting the integration and consolidation of DISA TS enterprise services for the Department of Defense (DoD).

4. SUPPORTING RATIONALE, INCLUDING A DEMONSTRATION THAT THE

PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE NATURE OF THE

ACQUISITION REQUIRES USE OF AN EXCEPTION TO FAIR OPPORTUNITY:

(a) Exception to Fair Opportunity.

FAR 16.505(b)(2)(i)(B) - Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

(b) Description of the Justification.

Microsoft is the only viable Cloud Service Provider (CSP) that is capable of providing a virtual desktop infrastructure with native integration into the Office 365 TS platform.

DISA’s user base is currently integrated within the Microsoft environment, so native federation for identity access management and collaboration between tenants of the Microsoft Office 365 TS platform is required to meet the Government’s minimum requirements. DISA’s security posture is heavily at risk in pursuance of another CSP solution as this would require operating in a multi-cloud environment without native, out-of-the-box integration. Microsoft’s Azure Virtual Desktop aligns with the agency’s service delivery model utilized on both the unclassified and secret fabrics. The consistent user experience, standardized delivery model, and standardized operations model is a cornerstone of operational procedures, and risk management strategies.

(c) Justification.

(1) Minimum Government requirements.

DISA requires a multi-tenant virtual desktop infrastructure utilizing a shared gateway mechanism. This cloud service offering must seamlessly integrate collaboration services, encompassing secure email, synchronized file storage, document processing, real-time document collaboration, and persistent chat/collaboration features, with a unified Identity Access Management (IAM) framework to ensure compliance with agency-specific security policies and procedures. These services must be engineered for secure and reliable interoperability within other DoD/Intelligence Community (IC) tenants, facilitating seamless identity federation, attribute-based access control, and cross-organization collaboration while preventing unauthorized data access or exfiltration.

(2) Proposed sole source contractor.

Microsoft Corporation

(3) Discussion regarding the cause of the sole source situation.

The only source capable of providing multi-tenant virtual desktop capabilities with native integration into the Office 365 TS platform is Microsoft. In addition to Microsoft’s native integration of Microsoft Office 365 services into the virtual desktop, there are specific office collaboration and identity federation requirements that are uniquely specialized to Microsoft. Introducing another solution into the design at only one classification level would force the Government to redesign the already established architecture, resulting in a duplication of efforts, schedule delays, and would be cost prohibitive. This would not meet the Government’s minimum needs.

(4) Demonstration of unique source.

Microsoft uniquely fulfills DISA’s requirement due to its native integration into the existing Office 365 TS platform, which is essential for seamless identity federation and collaboration within classified environments, and interoperability with other DoD and IC tenants already leveraging Microsoft’s secure cloud offerings. Replicating this level of integration through another CSP would require complex custom development, which significantly increases security risks while having security certifications potentially rejected during reviews. The other three CSPs lack this inherent integration, mandating costly and less secure workarounds simply to attempt the same functionality. Microsoft’s Azure Virtual Desktop further aligns with DISA’s established service delivery model, providing a unified, secure solution that avoids these risks. Microsoft’s Virtual Desktop is the only solution that meets the Government’s minimum requirements.

(5) Procurement discussion.

Based on Market Research conducted in August 2025, the only CSP that is currently capable of meeting the needs of the Government is Microsoft. Through multiple conversations with both civilian and contractor personnel from the National Security Agency (NSA), who directly support the NSA sponsored Office 365 fabric, Microsoft is the only CSP with native integration to identities supplied by the Office 365 fabric. DISA also requested responses for Additional Research to Support an Exception to Fair Opportunity to all four JWCC CSP’s on September 2, 2025.

(6) Impact.

Establishing an architectural solution outside of the Microsoft Office 365 TS platform would create an inability to directly collaborate with other DoD/IC partners.

Additionally, the lack of a virtual desktop component natively integrated into the Microsoft Office 365 TS collaboration suite would require the proliferation of segmented

and siloed TS networks, leading to a lack of information sharing and communication breakdowns between different DoD/IC components and partners.

5. COST/PRICE FAIR AND REASONABLE DETERMINATION:

A determination that the price is fair and reasonable will be based on a comparison of the contractor’s proposal to the independent government cost estimate and the JWCC Catalog pricing, including any discounts, which was previously found to be fair and reasonable and based on the contractor’s commercial pricing.

6. MARKET RESEARCH:

DISA conducted market research from July 15, 2025 – August 20, 2025, by reviewing the specific capabilities in the JWCC Contracts and it was determined that the Microsoft Corporation is the only source capable of fulfilling the Government’s requirement. Beginning July 31, DISA has met multiple times with both civilian personnel and contractor personnel from the NSA who directly support the NSA-sponsored Microsoft Office 365 TS fabric. On September 2, 2025, DISA issued Additional Research to Support an Exception to Fair Opportunity to all four JWCC CSPs.

Upon conclusion of the market research techniques described above, it was determined that Microsoft is the only CSP capable of meeting the Government’s needs. Discussions held with NSA personnel supported this conclusion as it was clear that the Office 365 fabric is the only multi-tenant collaboration solution which supplies mail services, document processing services, and other collaboration capabilities. Microsoft is the only CSP capable of providing a virtual desktop solution which has native integration to identities supplied by Office 365 fabric, which is an essential feature of the Government’s requirement. Additionally, Microsoft was the only CSP to respond to this request with a crosswalk of services and roadmap indicating that they were capable of fulfilling the requirement. Google responded that they would not be submitting a formal response, while no responses were received from Oracle or Amazon Web Services

(AWS).

7. ANY OTHER SUPPORTING FACTS:

None.

8. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FAIR OPPORTUNITY:

(a) Procurement History:

Incumbent Contractor: Microsoft Corporation Contract Number: HC105023D0003 Task Order Number: HC105024F0039 PoP: September 25, 2024 - September 24, 2025 Competitive Status: Other than full and open competition

Page 5 of 6 Pages

Business Size: Large business

(b) To address the technical limitations hindering fair competition, the DoD and Intelligence IC will collaborate with and/or sponsor individual CSPs to develop equivalent collaboration capabilities within their respective service environments or re-evaluate the current DoD365 standardization directive and consider alternative collaboration and identity management solutions that fully meet integrated government requirements.

To support HC105024F0039, a justification and approval (J&A) for an exception to fair opportunity was signed on September 17, 2024, by the PACA. The previous J&A was based on Microsoft’s interoperability, identity federation, and collaboration capabilities with other DoD/IC tenants within the Office 365 TS platform. To overcome this barrier, DISA requested responses to Additional Research to Support an Exception to Fair Opportunity from all four JWCC CSPs prior to pursuing this new task order. As indicated in the market research, the only CSP that responded with the ability to fulfill this requirement was Microsoft. Google’s response indicated that they would not be formally submitting a technical response and neither Oracle nor AWS responded to this request.

As such, an additional exception to fair opportunity is required because Microsoft remains the only CSP capable of native integration with the existing Office 365 TS platform across DoD/IC tenants.
