About this file

This is a Justification for Other Than Full and Open Competition (JOFOC) document for a sole-source award to Centurion Consulting LLC for SCIF Assembly and Support services. The contract will be a firm-fixed price single award indefinite delivery/indefinite quantity (IDIQ) vehicle with a five-year period of performance starting March 1, 2025, with no options.

The requirement covers 10 task areas including SCIF design, assembly, HVAC/electrical systems, monitoring, disassembly, transportation, storage, furnishing, and maintenance. Centurion Consulting LLC is being selected as the sole source because they hold proprietary rights to the Centurion Secure Vault Series modular SCIF panels and are the only contractor with expertise to assemble/disassemble these SCIFs without voiding warranties or accreditation. The government currently has five Centurion SCIFs deployed (four residential locations and one military facility). The SCIFs must meet or exceed ICD 705 standards, STC 56 rating, and TEMPEST requirements. Previous market research included reviewing four potential vendors (Centurion, SCIF Solutions Inc., Strategic Solutions Unlimited Inc., and Squadron Defense Group), but only Centurion could provide customizable panel heights and had full TEMPEST certification. The government posted a Sources Sought notice on November 4, 2024, which received one response from BHPE LLC that was deemed not capable of meeting requirements. The contract will be awarded to Centurion Consulting LLC (DUNS: 8SLW7), a Small Disadvantaged Business located in Chantilly, VA.

3. DESCRIPTION OF SUPPLIES/SERVICES: The purpose of this effort is to establish a contract vehicle to support the requirements for the aforementioned entities that align with the performance task areas as explained below. Centurion Secure Vault Series Modular SCIFs are currently installed at four (4) residential locations and at one (1) military facility in the Continental United States (CONUS).

a. Specific taskings issued under this contract will be consistent with the following performance task areas.

• Task Area 1: Task Order Management (FFP). Includes coordination and management of task orders issued under the SASI contract, planning and coordination of timelines, coordination of suppliers and service providers to ensure efficient implementation of the task orders from design through accreditation.

• Task Area 2: SCIF Design (FFP). Includes design to ensure SCIFs meet or exceed Intelligence Community Directive (ICD) 705 standards, Sound Transmission Class (STC) 56 rating, and Transient Electromagnetic Pulse Emanation Standards (TEMPEST). Includes customization of SCIF size, to include ceiling height.

Includes scaling up and down of current SCIFs as the Government requirements change over time. Includes review of existing drawings, equipment configurations, and conditions, as well as a site survey to evaluate site conditions.

Includes the following: determine compatibility, specific requirements, and critical paths; create schedule, power integration plan, site specific design, and preliminary drawings; participate in reviews with the contracting officer’s representative, Government security officials, trades, and report any issues as they are detected; provide drawings and submittals; and coordinate with the Government for any security concerns and develop a project specific standard operative procedure.

• Task Area 3: SCIF Assembly (FFP). Includes all labor, materials, tools, and equipment required for initial delivery and assembly of physical components, reassembly as part of the reutilization of an existing SCIF, repair/replacement of existing finishes damaged by contractor personnel, and soft copies of all project documents. Project documents include any documents used or created during design, construction, and installation of the SCIF. Includes Radio Frequency and STC Testing following installation to validate performance.

• Task Area 4: Heating, Ventilation, Air Conditioning (HVAC) and Electrical Systems (FFP.) Includes connections to existing building systems/utilities. These systems shall include, but not be limited to: Electrical HVAC systems. All connections must comply with ICD 705, and local building codes as required by law. Includes soft copies of system documents used or created during the design, construction, and installation of the SCIF, including, but not limited to receipts, schematics, blueprints, and warranties.

Page 5 of 11 Pages as transportation, storage, and maintenance throughout the lifecycle of these Government assets.

(b) Justification.

(1) Minimum Government requirements.

(a) SCIF Technical Requirements

(i) Modular SCIF panels with height customization.

(ii) Non-mechanical panel locking design which extends the life of the components, as there are no mechanical parts to deteriorate over time.

(iii) Design specifications shall meet or exceed ICD 705 standards, STC 50 rating, and TEMPEST.

(b) SCIF Support Requirements

(i) Contractor shall have knowledge and experience in assembly and disassembly of Centurion Secure Vault Series modular SCIFs.

(ii) Contractor shall be able to procure proprietary Centurion Secure Vault Series modular SCIF components (such as panels) and parts for SCIF scalability or replacement due to damage.

(iii) Contractor shall be able to provide accreditation and warranty on new and existing SCIF components and installed systems, such as HVAC and electrical systems.

(iv) Contractor shall be able to respond to service calls on SCIF components and installed systems, such as IDS, HVAC, and electrical systems.

Only the contractor that has installed these systems will have the required knowledge to service these while not voiding the warranty or accreditation.

(2) Proposed sole source contractor.

(a) Centurion Consulting LLC, 8SLW7, Small Disadvantaged Business

(b) Centurion Consulting LLC has installed five (5) Centurion Secure Vault

Series modular SCIFs in support of DISA, , , and since 2021. Each Centurion Secure Vault Series modular SCIF cost approximately

. If the Government is unable to redeploy these units, it would face the duplicative cost of replacing those units at approximately .

(c) Only Centurion’s installation team have the experience and knowledge to disassemble and reassemble its Centurion Secure Vault Series modular SCIFs.

More importantly, Centurion provides the accreditation and warranty for the modular SCIFs which are critical aspects of this effort. Any other vendor would require installation training from Centurion Consulting LLC and would permanently void the warranty on the existing components and potentially require reaccreditation following support services. Centurion Consulting LLC’s guarantees accreditation and service provided on currently deployed SCIFs by their team would not require reaccreditation.

(d) Based on previous quotations for the redeployment of existing SCIFs, to include disassembly, transportation, and reassembly, the timeline to redeploy existing facilities within the District of Columbia, Maryland, and Virginia

Page 6 of 11 Pages region can be accomplished within days. The timeline for a new SCIF, to include the lead time for the components can be

(e) Centurion Consulting LLC has proprietary rights to their Centurion Secure Vault Series modular SCIF components, as they worked with its manufacturer to design the physical components utilizing their personal knowledge and ongoing experience. Centurion has the sole capability to procure components

– either for replacement of damaged panels, scaling up of existing SCIFs, or the deployment of new SCIFs.

(f) Procuring additional systems that are not compatible with the five deployed Centurion Secure Vault Series modular SCIFs, would result in the Government having to repurchase the entire suite of modular SCIFs when the locations or sizes required change in the future. By utilizing a single source, the Government has the ultimate flexibility to deploy SCIFs as required to maintain critical support to the , , and no-fail missions.

(g) New Centurion Secure Vault Series modular SCIFs come with a one-year warranty, and Centurion has an extended warranty on the SCIF components/replacement parts. The use of a different vendor to service these SCIFs would void that warranty.

(h) In March 2022, DISA procured its first Centurion Secure Vault Series modular SCIF via a competitive procurement. Three quotes were received.

Centurion Consulting LLC was awarded that contract based on Lowest Price Technically Acceptable evaluation methodology, in response to a small business set-aside solicited via the GPE, after unsuccessful attempts as a small business set-aside via GSA eBuy and unrestricted via GSA eBuy.

(i) In the initial SCIF effort ( ), this was competed and was awarded using a Lowest Price Technically Accepted methodology. Odin Security was thrown out for not meeting the administrative requirements.

Therefore, it was not evaluated. Centurion was the next lowest price and found technically acceptable. In accordance with the solicitation, Eniwetok was not evaluated. For each subsequent procurement, a Notice of Intent to Sole Source – Sources Sought was posted to the GPE and no other contractors have been identified as capable to meet the requirement.

(3) Discussion regarding cause of the sole source situation.

The Government has previously procured five (5) modular SCIFs from Centurion Consulting LLC. The has four (4) SCIFs currently deployed, and one of those reutilized components from a previously deployed SCIF provided by Centurion Consulting LLC. In March 2022, the Government conducted a competitive acquisition for a modular SCIF in the area with similar compatibility requirements. The result of that acquisition was an award to Centurion Consulting LLC using Lowest Price Technical Acceptable evaluation methodology.

An additional component of this requirement is task areas to allow for the disassembly, transportation, storage, and reassembly, as well as reaccreditation of the currently deployed and active Centurion Secure Vault Series modular SCIFs. While the Government has reviewed alternative systems and sought out additional sources, Page 7 of 11 Pages

Centurion Consulting LLC is the only vendor able to procure compatible replacement components, and with the expertise to disassemble and reassemble the current SCIFs without damaging the components or systems or voiding the warranty, as they did the initial installation and accreditation.

(4) Impact.

If Centurion Consulting LLC is not used for this requirement, the Government will be unable to redeploy its existing Centurion Secure Vault Series modular SCIFs.

Furthermore, the Government would not be able to acquire compatible components for modifications and/or repairs to existing units with compatible hardware and structures. If another contractor is used for this requirement, additional costs will be incurred as Centurion Consulting LLC will be required to provide training on assembly and disassembly of the existing SCIFs. Furthermore, service on existing SCIFs by another contractor would void the warranty and possibly void the accreditation, which is essential to this requirement, and ultimately disrupt the no-fail missions of , , and .

6. CONTRACT OPPORTUNITIES ANNOUNCEMENT/POTENTIAL SOURCES: The Government posted a Notice of Intent to Sole Source – Sources Sought, in accordance with (IAW) FAR 5.201, on November 4, 2024. This notice yielded one response from BHPE LLC.

However, the contractor did not provide a capabilities statement. After research of the company using their website, the Government identified that BHPE offers a variety of goods and services, primarily operating under NAICS 336413 - Other Aircraft Parts and Auxiliary Equipment Manufacturing. BHPE did not provide any information as to its ability to provide Centurion Secure Vault Series SCIF components or the ability to knowledgably assemble or disassemble those types of SCIFs. Furthermore, BHPE did not provide any information on its ability to transport or store SCIFs. The Government determined that BHPE is not capable of meeting the requirements of this effort.

7. DETERMINATION OF FAIR AND REASONABLE COST: IAW FAR 12.209, the Government intends to establish price reasonableness IAW FAR 13.106-3(a)(2), utilizing a comparison of the proposed price with prices found reasonable on previous purchases and comparison to an independent Government estimate.

8. MARKET RESEARCH: Market research was conducted by the Acquisition Program Manager, , beginning September 2024 through November 2024. This market research included a review of the DISA Market Research Repository, market research reports for similar acquisitions, review of DISA-wide and Government-wide Acquisition contracts, a Notice of Intent to Sole Source – Sources Sought notice, and conversations with knowledgeable persons in Industry.

In October of 2024, the team identified two results in the Market Research Repository that included keyword “Modular SCIF”. The first was signed in August 2022 and the second was signed in March 2023. Both previous MRRs yielded a sole source decision to Centurion Consulting LLC (Centurion). The team also reviewed market research for DISA awarded

Page 10 of 11 Pages part of its market research, the Government discussed with Centurion Consulting LLC who has access to procure the components of the Centurion Secure Vault Series SCIFs. As of November 2024, only Centurion Consulting LLC can acquire these components from its manufacturer, as they were involved in the development of the components. Furthermore, the Government discussed the ability for other contractors to assemble and disassemble Centurion Secure Vault Series SCIFs. Centurion explained that only Centurion personnel have the expertise and knowledge on assembly and disassembly of Centurion Secure Vault Series SCIFs. Centurion compared it to how their personnel would not have the expertise to assemble or disassemble another contractor’s SCIF. After review of the actions taken, it is determined that a sole source environment still exists.

(c) The previous requirement, which resulted in contract , was a stand-alone action, which is why it was competed. Two SCIFs completed in September 2022 via and single SCIF contract awarded in April 2023 added to this support structure. This requirement continues to expand support of the entire suite of modular SCIFs under the purview and management of and DISA.
