About this file

This document is a Limited Source Justification and Approval (J&A) for a sole source task order award to Computer World Services Corporation (CWS) for continued Transition Support Team (TST24) services under the Networx to Enterprise Infrastructure Services (EIS) contract transition.

The Defense Information Systems Agency (DISA) plans to award a firm-fixed-price task order to CWS, the incumbent contractor, for a one-year base period with two six-month option periods. The estimated value is $7,354,970.60. CWS is the only source capable of providing the necessary transitional support services without disrupting the critical timeline for completing the Networx to EIS migration by the mandated May 2025 deadline. Transitioning to a new contractor would result in unacceptable delays and service disruptions. The J&A outlines the reasoning for the limited source justification, including CWS's specialized knowledge of processes, policies, and requirements from working closely with over 40 mission partners during the transition. No other contractors could meet the Government's schedule requirements.

J&A Number: JA24-131

Upon the basis of the following justification, I, as Procuring Activity Competition Advocate, hereby approve this limited source justification pursuant to the authority of FAR 8.405- 6(a)(1)(i)(B). The acquisition referenced herein is conducted under the Statutory Authority of the Multiple Award Schedule Program, 41 U.S.C. 152(3).

1. REQUIRING AGENCY AND CONTRACTING ACTIVITY:

Requiring Agency:

Contracting Activity:

DISA/DITCO/PS8222

2. NATURE/DESCRIPTION OF ACTION(S): The purpose of this action is to negotiate a new sole source contract with Computer World Services Corporation (CWS) for continuation of the Networx to Enterprise Infrastructure Services (EIS) Transition Support contract (herein after referred to TST24). The Government intends to issue a firm fixed price task order against GSA’s MAS, using Defense Working Capital Funds, consisting of a one-year base period and two, six-month, option periods. IAW FAR 52.217-8 a six-month option to extend is also included in the estimated value.

c. Justification:

(1) Minimum Government requirements. The primary objective of this acquisition is to provide continued support for the Networx to EIS transition. Since the current completion schedule for transition is already on a critical path, schedule interruptions must be avoided.

(2) Proposed sole source contractor. CWS is the only source available that can provide adequate and continued transitional support services without a negative impact to the transition schedule. DITCO is obligated to comply with GSA’s deadline (May 2025) for full transition. The current transition is on a tight schedule and any delays associated with transitioning to another contractor would result in a loss of critical telecommunications services. CWS is the incumbent contractor and has all the necessary technical assets to timely support the transition services. The Government intends to utilize CWS until all services have been removed and/or transitioned from the Networx contract. Due to the short duration remaining on the Networx contracts, it is critical to maintain the current level of support provided by CWS. It is not feasible to transition to a different contractor at this time, as this would result in unacceptable delays and duplication of cost to the Government that would not be expected to be recouped through competition. Continuing with the sole source acquisition with CWS represents the highest likelihood of success with the lowest program risk and is in the best interest of the Government.

(3) Discussion regarding cause of the limited source situation. During the initial planning of the Networx transition effort, previous experiences with the Federal Telecommunications System 2001 contract transition was considered and it was determined that an experienced transition team was necessary to move services from one contract to another. CWS was awarded the current contract and has since worked closely with the DITCO PMO to transition services. The size, complexity, and current phase of the transition effort will not allow a new vendor to continue transition activities without significant delays that would be detrimental to the completion of the transition by mandated deadlines. Although GSA extended the Networx contract to May 2025, transition milestones are still required to be met. It is imperative that services continue to be transitioned at a rapid pace to prevent a loss of mission critical telecommunication services. To select a new vendor would create unacceptable scheduling delays resulting in economic hardships to an already delayed contract transition.

(4) Demonstration of limited source. Other MAS holders cannot meet the current requirements since it is necessary for DITCO to maintain an expeditious transition schedule due to the GSA’s enforced deadline. A new vendor would not be familiar with current policies, processes, and standards required to meet the transition deadline. As demonstrated above, the incumbent is the only source capable of meeting the critical transition schedule established by GSA and closely monitored by the Office of Management and Budget. Transitioning to another vendor involves significant risk of not meeting established milestones and possible loss of service upon expiration of Networx.

(5) Procurement discussion. The largest constraint to the transition process is the schedule requirement. The Networx transition process has been extended due to numerous external delays, including delays in contractors obtaining required Authority to Operate status, which has resulted in a now critical path to completion; a new transition support contractor would greatly escalate the risk to the timeline. CWS has made exceptional progress in overcoming and reducing setbacks in the current contract schedule. The processes implemented and used by CWS for administrative support have been effective and a new contractor being introduced presents scheduling setbacks and a loss of efficiency. CWS is conducting business and operations with over forty DITCO Mission Partners (MP) at different junctures of the transition process. Each MP has a unique set of requirements that are vetted, translated, and conveyed in contract support documentation by CWS. It is imperative that CWS continue this effort. While other contractors may be able to provide the services, it has been determined that none of those contractors would be able to provide the required services at a level that would satisfy the Government schedule requirements as they would require extensive time to meet with each unique MP, understand their individual requirements at the various junctures, and then develop their customized transition plans to assume the work.

(6) Impact. If this J&A is not approved the Networx-EIS transition would be at great risk of not transitioning telecom services by the mandated deadlines. There are over 40 MPs are various phases of transition, not approving the J&A would introduce risk of critical telecom service disruptions, potentially leading to mission failure.

5. BEST VALUE DETERMINATION: GSA has already determined that prices of supplies, fixed-price services, and rates for services offered at hourly rates are fair and reasonable for the purpose of establishing the schedule contract. However, the Contracting Officer will make a determination of fair and reasonable pricing, using the proposal analysis techniques at FAR 15.404-1. This analysis will include comparison with Independent Government Cost Estimates, historical pricing proposals, prices paid on previous contracts, and prices obtained through market research for the same or similar items. The complexity and circumstances of the acquisition should determine the level of detail and analysis IAW FAR 8.404(d) for acquisitions under FAR 8.405-2(d).

6. MARKET RESEARCH: Market research efforts have revealed that no other available commercial service is able to provide the continuity of services CWS can provide in a timely manner. The Government conducted reviews of GSA, commercial databases, industry literature, and existing contracts for possible alternatives to a sole source award. No data was found to suggest any source other than CWS is currently fully capable of fulfilling the Government’s needs.

Based on current market research, dated March 2024 it has been determined that only CWS can fully support the Government’s need. This requirement is for technical and administrative support and no competitive replacement exists in the market at this time to meet the Government's need. Once full transition is complete there will be no need for additional
