About this file

This Justification and Approval (J&A) document from the Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst authorizes a sole source fixed-price delivery order with Bell-Boeing Joint Program Office for redesigned V-22 Tube Benders. The procurement includes one redesigned Land Based Tube Bender for MV-22B Japan Foreign Military Sales, an option for 21 hardware upgrade kits for existing I-Level V-22 Tube Benders, and options for four additional redesigned Tube Benders (three Land Based for CMV-22 and one Ship Based for MV-22).

The total estimated contract value is $8,600,000.00. The redesign addresses parts obsolescence by upgrading components including replacing an obsolete touch screen monitor, updating to Windows 10, replacing the Programmable Logic Controller Board, improving software tolerances and user interface, and installing more reliable proportional valves. Multiple market research efforts between 2019-2021, including Request for Information and synopsis postings, yielded no alternative sources, leading NAWC-AD to determine Bell-Boeing as the only qualified vendor with the necessary technical data and expertise to perform the upgrades.

DEPARTMENT OF THE NAVY

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION LAKEHURST

ROUTE 547

JOINT BASE MDL NEW JERSEY 08733

J&A Number: 22-0009

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst, NJ

2. Description of Action being Approved.

This justification and approval authorizes and approves on a sole source basis a fixed price delivery order under Basic Ordering Agreement N00019-17-G-0002 with Bell-Boeing Joint Program Office (Bell-Boeing JPO), Commercial and Government Entity (CAGE) code 3B1R2, located in Amarillo, Texas for the procurement of redesigned Land Based and Ship Based Tube Benders as well as hardware kits to upgrade current Intermediate-Level (I-Level) V-22 Tube Benders. The redesign includes upgrading the operating system to Windows 10 per Navy mandate.

3. Description of Supplies/Services.

The V-22 Joint Program Office has a requirement for I-Level V-22 Peculiar Support Equipment Tube Benders to support new site stand-ups due to parts obsolescence. Several components within the Tube Bender must be re-designed or replaced with form fit and function parts. These items include an obsolete touch screen monitor that will be replaced with a touch screen and separate computer (laptop) that will also comply with DoD Windows 10 Cybersecurity mandates. This change will require hardware and software changes. The obsolete Programmable Logic Controller Board will be replaced/redesigned as part of the computer update and software will be re-written for these changes as well as to tighten some loose tolerances while bending tubes, improve user interface, and correct tube bending procedure steps. In addition, new and more reliable proportional valves will replace what is existing and several optional upgrades will be proposed (i.e., quick disconnect connection for calibration of gauges).

This procurement is to accomplish the work described above as well as provide a quantity of one

(1) redesigned Land Based Tube Bender for MV-22B Japan Foreign Military Sales, an option for a quantity of 21 hardware kits to upgrade current I-Level V-22 Peculiar Support Equipment Tube Bender Part Number (P/N) 110-49-445-51 in the fleet, and the options for four (4) redesigned Tube Benders: three (3) Land Based for CMV-22 and one (1) Ship Based for MV-22. A few relatively minor design improvements to the Ship Based and Land Based Tube Benders are also required to meet the configuration changes. The estimated total value (including options) is $8,600,000.00 and will be funded as set forth in the table below.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C.2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements as implemented by Federal Acquisition Regulation (FAR) 6.302- 1(a)(2)(ii)(A).

5. Rationale Justifying Use of Cited Statutory Authority.

Bell-Boeing is the original system integrator for the Tube Bender. The existing Tube Benders were procured through Bell-Boeing with the subcontractor Ajax Tocco Magnethermic Corporation, doing business as (d/b/a) Pines. Bell-Boeing will be tasked to design, qualify, and test the work described in paragraph 3 as well as provide retrofit kits for fielded Tube Benders.

Boeing, as part of the Bell-Boeing JPO, has limited data rights of drawings and software for the Tube Bender system. Ajax Tocco is the original manufacturer of the system and has all data rights for software and hardware for the system. This requirement has been designated under Acquisition Method Code (AMC) 3. AMC means to "Acquire directly from the actual manufacturer, whether or not the prime contractor is the actual manufacturer." As the original system integrator for the Tube Bender, Bell-Boeing is the subject matter expert. Based on historical data, it would cost approximately with increases in recurring costs to develop and test the design changes by reworking a U.S. Government provided Ship-Based Bender, i.e. Government furnished equipment, into its new configuration to serve as the test unit along with Bender Rework Hardware Kits. The scope of work will create a new P/N for the Tube Bender, impacting the level of change to the logistic deliverables, including a full re-write of the Interactive Electronic Technical Manual for a test unit. Therefore, award of a contract to any other source would result in substantial duplication of costs that are not expected to be recovered through competition.

6. A Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

A Request For Information was posted on 14-MAY-2019 and closed on 29-MAY-2019 which yielded three responses. All three companies were offering a new Tube Bender system and not an upgrade to the current system that is in the fleet and were notified that they were unable to meet the Government requirement. No further responses were received. A synopsis was posted on the FEDBIZOPPS website on 11-JULY-2019 and closed on 26-JULY-2019 in which no responses were received. In an effort to identify competitive interest, the NAWC-AD Lakehurst, Rotary Wing Peculiar Support Equipment Section, conducted additional market research but no other sources were identified. As such, the market research conducted and assessed that Bell- Boeing is the only source that has the technical data for the Tube Bender and has been verified.

The proposed contract action was re-synopsized on the Beta.SAM.gov website on 03-MAY- 2021 and closed on 18-MAY-2021. No responses were received. Any future responses will be reviewed by the Contracting Officer prior to award.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons sets forth in paragraph 5, NAWC-AD Lakehurst has no plans at this time to compete future contracts for the type of supplies covered by this document. If another potential source emerges, NAWC-AD Lakehurst will assess whether competition for future requirements is feasible.
