About this file
This document is a justification and approval for a sole-source modification to an existing contract. The U.S. Army Contracting Command - Aberdeen Proving Ground awarded a firm fixed price modification to IAP Worldwide Services Inc. to extend the period of performance of an existing contract to procure additional warehouse space and include an optional program management period. The modification provides three additional months of warehouse storage and kitting of equipment in support of Phase II of the Integrated Communications and Sensor System for the Tajikistan Border Guard. The total value of the modification is $120,000, increasing the existing contract value from $4,902,667.20 to $5,022,667.20. The justification cites IAP's experience with Phase I and work already performed as the basis for its determination that only IAP can meet schedule requirements to complete Phase II without unacceptable delays or cost increases.

Reviews
I have reviewed this justification and find it adequate to support other than full and open competition.
Program Manager:
Justification and Approval for Other than Full and Open Competition – FAR Part 6
1. Contracting Activity: U.S. Army Contracting Command - Aberdeen Proving Ground
(ACC-APG), Division D, CCAP-SCD, 6515 Integrity Ct., Building 4310, Aberdeen Proving Ground, MD 21005-1846
2. Description of Action: The Communications-Electronics Command (CECOM) Security Assistance Management Directorate (SAMD) requests a modification to Firm Fixed Price (FFP) Contract W911QY-20-C-0118 with IAP Worldwide Services Inc.
(IAP), 7315 N Atlantic Ave., Cape Canaveral, FL 32920. The Government projects award of this modification no later than 31 Mar 2023. Fiscal Year (FY) 2023 Title 10 Foreign Military Sales (FMS) funds will be used for this effort via FMS case NV-B-BDA.
An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).
3. Description of Supplies/Services: The proposed action is to lengthen the period of performance to procure warehouse space necessary for the storage and kitting of equipment in support of the completion of the integration, installation and testing of ICSS equipment, and to include an option period for Program Management (PM) support during the extended contract performance. This modification will require the contract estimated amount to increase by approximately $120,000.00 (from $4,902,667.20 to $5,022,667.20). The period of performance (PoP) will be extended by three (3) months, from 31 Mar 2023 to 30 Jun 2023.
This Phase II contract provides program management, design, engineering, installation/integration, testing, training and Field Service Representative (FSR)/maintenance support for the ICSS. The ICSS includes an unattended ground sensor (UGS) system, centralized control and operational capacity of deployed Border Guards units and communication architecture and infrastructure.
Under previous delivery of the ICSS Phase I system in 2019, the Department of Border Guards received a wireless border surveillance network for the Khatlon region of the Tajik-Afghan border to improve operational capability in the fight against illicit drug trafficking, narco-terrorism and related cross-border crime. The Phase I ICSS effort provided the Tajikistan Border Guard (TBG) with an integrated unattended ground sensor (UGS) system, centralized control and operational capacity of deployed Border Guards units and communication architecture and infrastructure to support these systems. The TBG identified several concerns they wanted resolved within the Phase II effort.
efforts already being performed. IAP can seamlessly continue with Phase II progress, thus eliminating any unacceptable delays and additional costs which would be required for another contractor to meet the requirement.
Any period of delay on the current Phase II scheduling, resulting from an award to a contractor other than IAP, would be unacceptable as it will lead to substantial negative impacts on Tajikistan’s current need to protect its borders and prevent the TBG from utilizing existing platforms to perform the mission the ICSS was intended to facilitate. If this justification is not approved, the ICSS will not be fully mission capable and will put the Security Assistance mission at risk, as well pose a potential threat to the security of the host nation.
6. Efforts to Obtain Competition:
a. Effective competition. Because this is a sole source action, effective competition is not applicable. As required by FAR 5.201, the Contracting Officer published a notice on SAM.gov on 15 Feb 2023 for a total of 15 days of the intent to award a sole-source modification to IAP. In accordance with FAR 5.207(c)(16)(ii), the posting included a statement that all responsible sources may submit a capability statement that shall be considered by the agency.
b. Subcontracting competition. The contractor was required to submit a subcontracting plan as part of their current contract. The subcontracting plan was evaluated and is monitored to ensure the contractor is maximizing subcontracting opportunities and focused on subcontracting to small and small disadvantaged businesses.
7. Actions to Increase Competition: The ICSS is a continuously operated security system that creates an on-going sustainment need. As such, CECOM SAMD continues to monitor market availability for products and services to address the evolving lifecycle needs of the ICSS. At this stage, Phase I contains proprietary software to IAP and the in-progress Phase II will not be formally delivered to the Government under the contract until mid-2023. After formal delivery of Phase II, the Government plans to increase competition for any future acquisitions through market research and exploration of alternate solutions to determine if any other sources can meet requirements.
8. Market Research: CECOM SAMD conducted recent market research in Aug 2022 that is still relevant and applicable to this action. The research included a market survey of industry partners knowledgeable and familiar with the Tajikistan Border Security Program (TBSP), to garner information and industry feedback regarding market capabilities to meet specified requirements. The Government contacted three (3) industry partners regarding market capabilities to meet requirements and concluded that only IAP could meet the requirements to complete the effort successfully and without schedule delays. Additionally, a notice of intent to award a sole-source contract to IAP time, which will not be formally delivered under the current contract to the Government until mid-2023.

13. Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable based on price analysis, Independent Government Estimate (IGE), and negotiations. Additionally, certified cost or pricing data will not be required, as this is a commercial requirement, and an exception in accordance with FAR 15.403(b)(3) applies.
