JUSTIFICATION AND APPROVAL (J&A)

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

2. Description of the Action Being Approved

The use of other than full and open competition to award a sole source contract to Ascent Vision Technologies, LLC (Ascent), 90

Aviation Lane, Belgrade MT 59714-9384, for CM262U optic software applications and software maintenance, and upgrade and modification services in support of the Marine Air Defense

Integrated System (MADIS) Increment I system.

3. Description of Supplies/Services

MADIS is an Acquisition Category II (ACAT II) program under

Program Manager (PM) Ground Based Air Defense (GBAD), which has evolved from Central Command (CENTCOM) Joint Urgent Operational

Need Statements (JUONS) risk reduction prototyping efforts to

Counter-Unmanned Aircraft Systems (C-UAS). The resultant production system will consist of existing hardware and modified command and control software integrated onto Joint Light

Tactical Vehicles (JLTV).

During the Joint Urgent Operational Need phase, existing Mk1 and

Mk2 components are being integrated onto Mine Resistant Ambush

Protected (MRAP) All-Terrain Vehicles (MATVs) and Engineering

Development Model (EDM) JLTVs. The MATV units are being tested prior to deployment to satisfy initial Universal Statement of

Need (USON) requirements.

The CM262U is a commercial optic system that has been modified to meet the Marine Corps MADIS requirements. The proposed contract action provides the software lifecycle management

J&A No. 20056 support activities needed to test and sustain the CM262U applications within the MADIS software baseline and requirements. These activities include engineering services and associated software updates and software documentation deliverables. Additionally, this contract action provides for the procurement of licenses, software maintenance, and modifications to the core CM262U software to support MADIS integration and test and evaluation program activities.

Based on the Independent Government Cost Estimate (IGCE), the estimated dollar value for the CM262U optic software applications and software maintenance, and upgrade and modification services is . The funding profile is illustrated in Table 1 by fiscal year (FY). Research Development

Test and Evaluation funds will be used for this effort.

4. Statutory Authority Permitting Other Than Full and Open

Competition

The statutory authority permitting use of other than full and open competition for this action is 10 United States Code

(U.S.C) Section § 2304(c)(1), as implemented by the Federal

Acquisition Regulation (FAR) 6.302-1(a)(ii), "Only One

Responsible Source and No Other Supplies or Services Will

Satisfy Agency Requirements."

5. Rationale Justifying Use of Cited Statutory Authority

Ascent is the Original Equipment Manufacturer (OEM) of the

CM262U Commercial Off-The-Shelf optic system. Ascent retains the rights needed to modify the CM262U source code and remains the only source available to provide software lifecycle support.

This optic system provides the primary track and identification and secondary detect capability for the MADIS Increment 1 based on the rapid kill chain sequence of “detect”, “track”, “identify”, and “defeat”. Over the course of MADIS development, these optic systems have been integrated with other tactical components to enable MADIS to fully meet the kill chain sequence requirements. Due to the extent of development, integration and testing of these applications within the MADIS, replacement or use of other applications to meet the MADIS Increment I requirements is neither practicable nor cost effective.

6. Description of Efforts Made to Solicit Offers from as Many

Offerors as Practicable

A request for information, M67854-19-I-0017, was posted to

FedBizOpps on 6 December 2018 to assess industry’s capability to provide an optic for the MADIS. Five responses were received. In addition to Ascent, four other responses were received from

FLIR, IEC Infrared Systems, Liteye, and Raytheon.

Representatives of the Program Office reviewed these responses and found the following:

1) FLIR – TacFLIR-380 HD – Identification range is significantly shorter than existing optic solutions (does not meet requirements).

2) IEC – IEC CUAS System – a system weight of +100 lbs which is too heavy for MADIS system. Peak power draw of ~1900 W which is more than MADIS system can support. Estimated costs at which is higher than existing optic solutions that can meet MADIS requirements.

3) Liteye – AUDS – optic solution proposed required purchasing of an entire C-UAS system to include systems GBAD did not require (i.e. radar and EW defeat systems). Inadequate information on optic solution to evaluate against other RFI responses.

4) Raytheon – AAS-53- a system weight of +100 lbs which is too heavy for MADIS system. Estimated costs at which is higher than existing optic solutions that can meet MADIS requirements.

Based on the Government’s assessment of the RFI responses received, the Government determined that Ascent Vision is the only known source able to design, manufacture, and deliver the optics. Ascent Vision retains the rights needed to modify the

CM262U source code and remains the only source available to provide software lifecycle support.

Additionally, the Government posted a synopsis on 10 January

2020, stating the intent to sole source to Ascent for the services described in this J&A and no responses were received.

The Ascent Vision CM262 optic system was selected for use in

MADIS through the evolvement of prototype systems non-traditionally fielded to support the Urgent Statement of Need for Modification of United States Central Command JUON CC-0558 for C-UAS. The CM262 optic system was the only optic that met the technical performance requirements of target track and identification, weight and power consumption while also being available in the quantities required to meet the JUONS, without significant modification.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer will utilize FAR 15.404, Proposal

Analysis to make a determination prior to award that the anticipated cost to the Government of the services covered by this J&A are fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For reasons set forth in paragraph five (5), Program Executive

Officer Land Systems (PEO LS) has no plans to compete the CM262U optic system software lifecycle management support.

A TDP for the CM262U optic system is not currently available to facilitate competition. If future procurements of the services described herein are necessary, and if another potential source emerges, PEO LS will assess whether competition for future requirements is feasible. Any future actions will be reviewed by

PEO LS to offer competition to the greatest extent possible.
