FAR Part 16 Exception to Fair Opportunity Justification Under Multiple Award Indefinite Delivery Contracts
For Actions Exceeding the Simplified Acquisition Threshold (SAT)
1. Contracting Activity: U.S. Army Mission and Installation Contracting Command – Fort Sam Houston (MICC-FSH), 2205 Infantry Post Road, Fort Sam Houston, TX 78234.
2. Description of Action: The United States Army Audit Agency (USAAA) has a need to sole source a firm fixed price task order to General Dynamics Information Technology, Inc. utilizing the contractor’s CHESS ITES-3S IDIQ vehicle W52P1J-18-D- A086. The Government projects award for February 02, 2021 and fiscal year 2021, Operations and Maintenance, Army funds will be used. An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).
3. Description of Supplies/Services: The United States Army Audit Agency (USAAA) has a sole source requirement to re-procure and extend the information technology services to support, maintain, and sustain operations for internal IT, interconnected networks and technical solutions, but also continue to support the transition of five hundred and twenty-six (526) users and network into the Army Network Enterprise until the decommission of USAAA’s network which is scheduled in May of 2021. The contractor’s work will be performed at the USAAA Operations Center located in Fort Belvoir, VA and eighteen (18) USAAA’s field offices located in CONUS and OCONUS locations per the performance work statement (PWS).
Period of Performance: 02 FEB 2021 – 01 AUG 2021

5. Reason for Authority Cited:
a. The current task order (W91QUZ-06-D-0012-2T03) was awarded on 03 August 2018 to General Dynamics Information Technology (GDIT) and is currently managing and sustaining USAAA’s information technology infrastructure while providing support during the convergence and transition of its network. USAAA is a top-level organizational unit (OU) within the Army domain that received a range of technical solutions from the Joint Service Provider (JSP) Pentagon and critical network services from the HQDA Enterprise Network (HEN) OU. The HEN OU has been decommissioned and per directive from the CIO/G6, ARCYBER, and NETCOM, USAAA has to migrate its data and IT resources into enterprise level data centers to include moving all network connections and resources provided by JSP Pentagon to alternate service providers. The objective is to retain some of the subject matter expertise under the current task order for an additional 6 months to complete this ongoing transition between networks. Retaining the current subject matter expertise with the knowledge, understanding and familiarity of the current hybrid network will be critical in facilitating and accelerating the implementation of the new network architecture.
b. At the time of task order award, USAAA anticipates four (4) out of (18) eighteen field offices and estimate sixty-five (65) of the five hundred and twenty-six (526) users will have completed the convergence into the Army Network Enterprise, therefore reducing and de-scoping the level of work for GDIT. The de-scoping of work will continue over the duration of the contract thus USAAA needs the majority of end users to be migrated into the Army Network Enterprise between the months of January through March of 2021. Although the actual transition is currently in its initial stages, USAAA and GDIT started planning the reengineering and architecting of USAAA’s network about 15 months ago. The current task order allows for a 30 day phase out period however, due to the long term extensive coordination and planning between USAAA and GDIT, it is highly unlikely that a successful transition will occur between contractors in a 30 day period if the new task order was awarded to a contractor other than GDIT. Thus, it will greatly benefit and is logical for the Government to have GDIT continue and finalized the transition between networks to ensure that the convergence and transition plan stays on schedule for a timely and smooth transition into the Army Network Enterprise.
c. Impact if justification not approved. USAAA’s network is one of the few remaining Organizational Network (ORGNET) within the Army Enterprise currently undergoing convergence. If this justification is not approved USAAA is at high risk of not making the successful transition between networks before the decommission of its own network on May 2021. USAAA’s ability to receive technical IT services and support from Army Enterprise service providers would be impacted if the convergence is not completed on schedule, thereby impacting

USAAA’s ability to conduct its auditing mission in CONUS and OCONUS locations.
6. Actions to Increase Competition: This requirement has previously been competed through CHESS. According to the Federal Procurement Data System – Next Generation (FPDS-NG) and the Contract’s Action Report (CAR) the current task order was solicited through CHESS as an unrestrictive acquisition on February 2, 2018 and fair opportunity was given to all contract holders in IAW FAR 16.505 however, the solicitation received only one (1) offer submitted by GDIT.
7. Market Research: Market research details are included below; however, full market research details are documented on the Market Research Report.
a. The Army’s Computer Hardware, Enterprise Software and Solutions (CHESS) program is the mandatory source for commercial information technology (IT) services IAW HQDA (Under Secretary of the Army) memo dated 01 December 2020 and AFARS 5139. A search within CHESS revealed that the Information Technology Enterprise Solutions – 3 Services (ITES-3S) Base IDIQ contracts scope of work is able to provide the IT services for this requirement. However, due to USAAA’s current circumstances, this requirement/task order will not be competed amongst the ITES-3S contractors due to the exception to fair opportunity described and authorized under FAR 16.505(b)(2)(i)(C). Market research was able to identify only one source available (GDIT) that is able to meet the ongoing needs of this requirement.
b. The current and potential sole source contractor, GDIT, has performed with great satisfaction and in accordance to the terms and conditions of the current task order.
Therefore, the Government faces little to no performance risk with GDIT as their prime contractor due to their extensive and relevant past performance experience with this requirement. Additionally, an assessment report search through Contractor Performance Assessment Reporting System (CPARS) also shows 736 reports as having very good, satisfactory and exceptional ratings. GDIT also has an active System for Award Management (SAM) record and shows no active exclusions, or any other adverse action record under Federal Awardee Performance and Integrity Information System (FAPIIS). Based on the above information, GDIT has proven to be a responsible and highly qualified contractor thus it is the Government’s intent to consider GDIT for task order award for this follow on requirement.
c. The Government will procure this requirement using the procedures outlined in FAR Part 16, Types of Contracts in conjunction with AFARS Part 5139 and will acquire this requirement as a commercial item under FAR Part 12, Acquisition of Commercial Items.
Pursuant to the these facts the Government has determined to sole source this requirement to General Dynamics Information Technology by utilizing NAICS 541519 through a firm fix price task order vehicle.
