About this file
This document is a Justification & Approval (J&A) for an exception to fair opportunity for a sole-source modification with CACI International Inc. for the Defense Personal Property System (DPS) Increment 3. The United States Transportation Command (USTRANSCOM) requires CACI to continue developing and sustaining the MilMove system through September 30, 2028, to replace the legacy DPS for managing military household goods relocation. The modification covers critical activities including development of international shipment capabilities, system availability, security engineering, and concurrent management of both DPS and MilMove systems.
USTRANSCOM justifies the sole-source approach based on CACI's unique expertise and intimate knowledge of both systems, arguing that changing developers would create unacceptable risks of service disruptions for military families. The modification requires CACI to develop comprehensive system documentation, implement modular design principles, establish clear interface definitions, and provide technology updates to facilitate potential future competition. USTRANSCOM will reassess the development requirements in 2027-2028 to determine the appropriate acquisition strategy for the post-2028 period, potentially including full and open competition.

JUSTIFICATION & APPROVAL
UNITED STATES TRANSPORTATION COMMAND (USTRANSCOM)
DIRECTORATE OF ACQUISITION (TCAQ)
JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY
DEFENSE PERSONAL PROPERTY SYSTEM (DPS) INCREMENT 3
25-44
1. CONTRACTING ACTIVITY.
United States Transpo1tation Command (USTRANSCOM), Directorate of Acquisition, IT Programs & Suppo1t Services Division (TCAQ-D), 508 Scott Drive, Scott AFB, IL 62225.
2. NATURE AND/OR DESCRIPTION OF ACTION BEING APPROVED.
USTRANSCOM Defense Personal Property Management Office (TCJ9) requires an exception to fair oppo1tunity for a sole-source modification to the existing Defense Personal Property System (DPS) task order (HTC711-21-F-D086) with CACI International Inc. (CACI) for continued MilMove system development and sustainment through the end of the DPS contract period (30 September 2028). This action is necessa1y to improve Government oversight of transpo1tation service providers, sunset DPS on schedule, and ensure unintenupted service to militaiy members and their families throughout the critical transition from DPS to MilMove.
MilMove is a key component of the Depaitment of Defense's (DoD) initiative to modernize and improve the household goods relocation process for service members and their families.
MilMove will eventually replace DPS, the legacy system cmTently used for managing personal prope1ty shipments. While both systems are cmTently operational, CACI is the incumbent developer for both under a single overarching task order (awarded via J&A 23-40 in 2023; see Attachment 1) and possesses intimate knowledge of both programs.
This modification will extend MilMove development and sustainment suppo1t under the DPS task order from 01 October 2025 to 30 September 2028, aligning with the end of the DPS contract period.
3. DESCRIPTION OF SERVICES REQUIRED TO MEET THE AGENCY'S NEEDS
(INCLUDING ESTIMATED VALUE).

The estimated value of this modification is for the period from 01 October 2025 to 30 September 2028.
4. IDENTIFICATION OF THE EXCEPTION TO FAIR OPPORTUNITY AND
SUPPORTING RATIONALE.
This sole-somce modification with CACI is justified under FAR 6.302-2, "Circumstances permitting other than full and open competition," specifically the justifications outlined in FAR 16.505(b )(2)(i)(B) and FAR 6.302-1 (a)(2)(iii)(B) and documented in accordance with DF ARS PGI 216.505(b)(2). USTRANSCOM has assessed available options, including recompetition of the MilMove development effo1i, and detennined that these options present unacceptable risks to the timely delive1y of services to milita1y members and their families. Specifically, USTRANSCOM has detennined that only one awardee is capable of providing the supplies or services required at the level of quality required because the services ordered are unique and highly specialized due to the complexities of the MilMove system and the specialized skills required for continued development and sustainment during the critical transition from DPS to MilMove.
The complexity and the criticality of the transition timeline and the potential negative impact of disrnptions on militru.y families necessitate this sole-somce approach. The implementation of critical featmes requires continuity of development and intimate knowledge of both the MilMove and DPS systems. Any disrnption would negatively impact thousands of militru.y families relying on these services.
CACI is uniquely positioned to provide these services throughout the extended period due to the following factors:
• Intimate MilMove and DPS System Knowledge: CACI has been directly involved in MilMove development since its transition from the previous contractor in 2023 and has been the DPS developer since its inception. They possess a deep understanding of both systems' ru.·chitectmes, codebases, interfaces, and existing functionalities. This comprehensive dual-system expe1iise is crncial for managing the complex interaction between MilMove and DPS. The MilMove codebase includes complex interactions with multiple systems and specialized knowledge that would require significant time for a new contractor to master, creating unacceptable risk to the implementation timeline.

Concurrent System Operations: CACI's expertise in both MilMove and DPS is essential for managing the complexities of operating both systems concurrently during the extended transition period. They possess the unique ability to ensure smooth data flow and minimize disruptions as functionalities are migrated from DPS to MilMove.
This dual-system expertise is particularly critical during the international expansion phase and subsequent enhancements when both systems will be handling different aspects of the household goods movement process.
This implementation and stabilization schedule cannot accommodate the disruption that would result from changing developers. The risk of delays and service interruptions would persist throughout the entire implementation period, making a change of developers impractical until the system is fully implemented and stabilized.
Past Performance Challenges: USTRANSCOM has determined that the risk of development delays with a new contractor is unacceptably high, and introducing another transition during this critical development phase would create similar or greater risks.
USTRANSCOM's assessment indicates that maintaining CACI as the developer through the end of the DPS contract period is the only viable approach to mitigate risk and ensure uninterrupted service to military families during this critical period. At the end of this period, USTRANSCOM will reassess the MilMove development requirements and determine the appropriate acquisition strategy for future MilMove sustainment and enhancement.
5. DETERMINATION BY THE CONTRACTING OFFICER THAT ANTICIPATED
COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE.
A cost analysis IAW FAR 15.404-1(c)(2)(iii) will be conducted to ensure the cost of this modification is fair and reasonable. This analysis will leverage historical cost data from CACI's existing DPS and MilMove work, as well as industry benchmarks and parametric estimation techniques. Data supporting this analysis is on file with the Defense Contract Audit Agency (DCAA) and Defense Contract Management Agency (DCMA). Certified cost or pricing data will be required IAW FAR 15.403-4.
The Contracting Officer will compare proposed labor rates with those currently being paid under the existing task order, analyze any proposed increases, and evaluate the proposed labor mix against the specific requirements of the extended period. This analysis will ensure that the Government receives fair and reasonable pricing for the entire period.
6. ANY OTHER FACTS SUPPORTING THE JUSTIFICATION.

FAIR OPPORTUNITY BEFORE ANY SUBSEQUENT ACQUISITION FOR THE
SUPPLIES OR SERVICES IS MADE.
When J&A 23-40 was executed in May 2023, the Government had explored options for transitioning away from the cmTent method of development and transitioning to a low code development process but determined the risk associated with the transition to be too prohibitive.
As a result, no planned actions to overcome ban-iers were identified at that time. Due to CACI's successful stabilization of the development effo1i since then, the Government has developed a plan to overcome baniers for subsequent actions. As paii of this modification, USTRANSCOM will require CACI to:
1. Develop comprehensive documentation of the MilMove system architecture, interfaces, and codebase to facilitate potential future competition.
2. Implement modulai· design principles that would enable po1iions of the system to be competed sepai·ately in the future if appropriate.
3. Establish clear interface definitions and API documentation to support potential future integration with other systems or components.
4. Provide regular technology refreshes and updates to ensure the system remains cmTent and suppo1iable.
These requirements will be incorporated into the task order to ensure that USTRANSCOM has the flexibility to pursue various acquisition strategies at the end of the DPS contract period.
USTRANSCOM will reassess the MilMove development and sustainment requirements in 2027- 2028 to determine the appropriate acquisition strategy for the post-2028 period, including the potential for full and open competition if deemed appropriate at that time.
