About this file
This is a Justification for Other Than Full and Open Competition (JOFOC) document for the Momentum On-Demand Release Enterprise Financial Accounting System (eFAS) Support (MORES) requirement by the Defense Information Systems Agency (DISA). The document justifies a sole-source award to CGI Federal for continued software support services for their proprietary Momentum software version 7.9.4, which reached end of life for support on June 30, 2024.
The requirement is for a Firm Fixed Price Level of Effort contract with a 1-year base period and two 1-year options to provide extended support services, technical defect fixes, and cybersecurity patches for the classified accounting system. CGI Federal is identified as the only viable source since they are the original software developer with exclusive intellectual property rights. DISA conducted market research through NASA SEWP, ENCORE III, and SETI contract vehicles between May 14-21, 2024, receiving zero responses from alternative sources. The justification notes that failure to obtain this support would cause a 2-year program delay and impact the planned initial deployment in June 2025 and full deployment in December 2025. Mission partners would be forced to remain on current systems that lack required security capabilities, potentially exposing them to vulnerabilities.

Momentum On-Demand Release eFAS Support (MORES)
Page 2 of 5 Pages solution will allow the complete and timely development and successful implementation of a classified accounting system
3. DESCRIPTION OF SUPPLIES/SERVICES:
DISA Business Systems Division (S2) requires continued support services to Momentum software, to meet sensitive budget and accounting needs of Mission partners and Department of Defense (DoD) stakeholder requirements. The MORES solution is to provide continued extended support services for the Momentum software that reached the end of its support period on 30 June 2024, and now requires on-demand break fix service support to mitigate any issues identified in the version currently utilized by the government. The Government cannot migrate to newer software due to testing requirements and deployment timeline of the newer software version.
The support cannot be procured by any other means, as CGI Federal is the original software developer, and has not authorized any other vendor to provide extended support on their intellectual property (IP).
CGI Federal has exclusive data and IP rights. The unique services are available only from CGI Federal.
The period of performance includes (1) year base, with two (1) year option periods.
The estimated lifecycle ceiling of this procurement is $
4. IDENTIFICATION OF STATUTORY AUTHORITY:
Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.
3204(a)(1) (FAR 6.302-1/DFARS 206.302-1).
5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:
Momentum Software is currently used to develop the eFAS solution and has been determined to be the only approved software for the solution after the government has reviewed other proposed solutions in response to a posted Request for Information (RFI). The solutions provided by other vendors lack the necessary classification requirements that the Government requires. Meanwhile, the eFAS solution provided by CGI Federal meets all of the government’s required capabilities. CGI Federal is the sole IP owner and maintains exclusive data rights to the software and has not authorized other vendors to provide the required extended support.
The Government is currently utilizing Momentum software in its development of the eFAS solution. The solution is being developed on a higher-level classification contract (i.e., HC1046-19-D-9001) and requires CGI Federal's Momentum software support to continue to meet agency needs. The solution developed on contract HC1046-19-D-9001 does not have the scope to encompass the required continued software support of the Momentum software.
(a) Description of events.
Current Momentum software being utilized for the eFAS solution has an atypical short lifecycle support of three years. During the development and implementation phases of the eFAS financial capability, the Momentum Enterprise Resource Planning (ERP) software release version support came to an end at the end of its lifecycle in June of 2024. Prior to the expiration, S2 explored various routes of renewing and acquiring continued service through multiple contract vehicles and other vendors. S2 discovered the only option was to procure extended service support directly for Momentum. The current Momentum software version
Page 3 of 5 Pages being developed and deployed by S2 needs to be postured to provide fixes to technical defects and cybersecurity patches. Without the ability to make changes to the source code to resolve the technical defects and meet cybersecurity requirements, the eFAS solution will be rendered non-deployable and non-operational. Not having the CGI Federal support services would result in delays and have negative impact on to the initial deployment of the eFAS solution in June 2025, and the full deployment of the eFAS solution in December 2025.
(b) Justification.
(1) Minimum Government requirements. DISA is currently developing a system using CGI Federal Momentum 7.9.4 software. Due to the software no longer having support, the government needs to obtain extended support services from the product owner, CGI Federal.
Not obtaining the support would put DISA 2-years behind program schedule.
(2) Proposed sole source contractor. CGI Federal is the product owner, and developer of the Momentum software, and therefore, is the only vendor that can provide the extended support services the DISA requires.
(3) Discussion regarding cause of the sole source situation. The Momentum software version
(7.9.4) currently being developed and deployed recently reached end of life for support on June 30, 2024. CGI Federal is the only option to obtain extended support services to resolve technical defects and cybersecurity. This is a new requirement and competition would not be feasible because the extended support services must come from the company who developed the ERP solution, which in this case is the Momentum software developed by CGI Federal.
As determined by our market research, no other company would be able to provide the technical support services required since the source code of the ERP solution would require modification in the event of a technical defect or cybersecurity requirement. The need for the extended support services is required due to the short and atypical 3-year lifecycle of the Momentum software and the minimum 2-year development timeline for a newer version of the software. The 2-year development timeline of the newest version would not meet the DISA’s required system deployment date.
(4) Impact.
If a sole source cannot be allowed to the vendor, this would cause a delay in the development and implementation of the eFAS solution. Mission partners that are sunsetting their current programs to migrate to the eFAS solution would not be able to sunset properly and be forced to stay on their current system which lacks the security requirements and policies enacted by the DoD. This would put the mission partners programs at risk due to security vulnerabilities that our adversaries can exploit.
6. CONTRACT OPPORTUNITIES ANNOUNCEMENT/POTENTIAL SOURCES:
The agency made the following effort to ensure offers were solicited from as many potential sources as practical, by using an Office of Management and Budget authorized multi-award Government-wide Acquisition Contract (GWAC) vehicle, focused on Information and Communications Technology products and services. The requirement was solicited on the National Aeronautics and Space Administration (NASA) Solutions for Enterprise-Wide Procurement (SEWP) online Quote Request Tool and Simplified Request for Information tool, which request availability and pricing information from over 140 pre-competed Contract Holders.
Page 4 of 5 Pages
A Request for Information (RFI) was posted to NASA SEWP and requested for “Software Support Services for CGI’s Momentum Software”. Tracking ID number: 308801, published May 14, 2024, through May 21, 2024, Open Bid Status, to SEWP Contract holders’ potential sources, returned “zero” responses (i.e., bidder quotes) to the advertised contract opportunity.
DISA Premier Vehicles ENCORE III and SETI were reviewed but returned “zero” available, responsible Vendors, capable of supporting the contract opportunity.
7. DETERMINATION OF FAIR AND REASONABLE COST:
The Contracting Officer will evaluate the contractor’s price/cost proposal using one of more of the methods described in FAR 15.404 to determine the price/cost as fair and reasonable.
8. MARKET RESEARCH:
The agency conducted market research by soliciting as many potential sources as practical, GWAC vehicle, ENCORE III, and SETI. The government does not anticipate any competition for this procurement, because there is currently only one responsible source available and no other supplies or services will satisfy agency requirements, 10 U.S.C. 3204(a)(1) (FAR 6.302-1/DFARS 206.302-1).
A RFI was posted to NASA SEWP with for software support services for CGI’s Momentum software.
Additionally, the PMO engaged with, and interviewed the SETI and ENCORE III Point of Contacts and reviewed the General Services Administration Multiple Award Schedule, and Alliant vehicles and found this requirement to be out of scope for each of these contracts. This requirement is for proprietary product support and no competitor functional replacement products exist in the market currently to meet the Government's need. Based on current market research, dated May 14, 2024, through May 21, 2024, it has been determined that only support for Momentum software, provided by CGI Federal, can fully meet the Government’s need.
9. ANY OTHER SUPPORTING FACTS: N/A
10. LISTING OF INTERESTED SOURCES:
No source other than CGI Federal has expressed interest or responded to notices regarding this contract opportunity. A synopsis will be published prior to issuance of solicitation or contract award.
11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS THAT LED
TO THE EXCEPTION TO FULL AND OPEN COMPETITION:
The actions the agency will take to remove barriers and avoid future exceptions to full and open competition will be to continue reviewing the agency’s requirements to determine current and future agency needs. The Government will continue to conduct market research to determine if there are changes in the marketplace that would enable future competitive actions, i.e., there are similar products and/or product support in the marketplace that provides the same functionality, the original equipment manufacturer releases ownership rights of the product, or it is economically feasible to procure a new system.
