About this file

This Justification and Approval document requests authority for a sole source contract to Parsons Government Services Inc. for the production, integration, and sustainment of the proprietary Zeus III Laser System and associated equipment for the Recovery of Airbase Denied by Ordnance program. The Air Force Life Cycle Management Center seeks to award a firm-fixed-price, time-and-materials, and cost-reimbursement contract over a six-year period from September 2018 to September 2024, with a basic period of three years. Market research in the form of requests for information found that while other companies offer laser neutralization systems, only Parsons' Zeus III Laser System meets the technical and proprietary requirements. The contracting officer determined that costs would be fair and reasonable based on certified cost data and Defense Contract Audit Agency review.

The contracting activity for this procurement is AFLCMC/ WNKAC. The purchase request (PR) number supporting the contracting action FD2060-18-30289.

II. Nature and/or description of the action being processed.

Due to the circumstances described herein, the activity requests authority to acquire the services and supplies for the Recovery of Airbase Denied by Ordnance (RADBO) system listed in this J&A document using Other Than Full and Open Competition (OTF&OC) prescribed by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. This will be a new definitive contract that will include Firm-Fixed Price (FFP), Time and Materials (T&M), and Cost Reimbursement-No Fee (CRNF) contract line item numbers (CLINs). The contract will include a three (3) year basic period and three (3) one year unpriced option periods, to be negotiated (TBN). The overall PoP has an estimated start date of September 2018 and end date of September 2024, should all options be exercised. The PoP for this J&A is specifically associated with the Basic Period of 36 months, September 2018 through September 2021, as the Basic Period will be priced and negotiated prior to contract award.

This acquisition will be sole source to:

III. Description of supplies/services required to meet agency needs.

The RADBO system is comprised of three main components: the Mine Resistant Ambush Protected (MRAP) Cougar Vehicle, the Zeus III Laser System, and an Interrogation Arm. The intent of this acquisition is to procure the production, integration and sustainment of the Zeus III Laser System onto 13 Mine Resistant Ambush Protected (MRAP) Cougar Variant Vehicles along with 13 interrogation arms.

The Zeus III Laser System is a proprietary system whose intellectual rights are retained by the Original Equipment Manufacturer (OEM), Parsons, including repair parts and major components. The Zeus III Laser System provides the warfighter with the ability to effectively identify, disarm, and clear Unexploded Ordnances (UXO) on an airfield while seated inside of a MRAP Cougar vehicle with little to no collateral damage. This is beneficial to the Explosive Ordnance Disposal (EOD) community from the standpoint of returning an airfield back to fully functional status after an attack, as well as maintaining operator safety.

FOR OFFICIAL USE ONLY14 Nov 2017

In addition to the duplication of cost discussed and the anticipated delay in mission should another source be considered, there are currently only two Zeus III Laser System units available for government use. These units are currently being utilized for developmental testing (DT) to address Zeus III laser chiller and software major issues discovered in Phase II of DT. Due to the unavailability of the Zeus System at this time the government cannot undertake a reverse engineering effort in order to determine adequately the return on investment (ROI).

Accordingly, Parsons is the only firm capable of providing the supplies and services described in Section III above without the U.S. Air Force experiencing substantial duplication of cost that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirements.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

The Government issued two Sources Sought (SS) / Request for Information (RFI) synopsis on the Federal Business Opportunities (FedBizOpps) website. The SS/RFI requested responses from potential sources interested in the Zeus III Laser integration and Laser Neutralization Systems. The first SS/ RFI, solicitation number FA8534-17-R-0014 was originally posted on 15 Aug 2017 and updated on 13 Sep 2017. It solicited responses from interested sources for the integration of the Zeus III Laser System, Interrogation Arm, and MRAP Cougar Variant Vehicle. The second SS/RFI, solicitation number FA8534-17-R-0014A was originally posted on 21 Aug 2017 and updated 13 Sep 2017. It solicited responses from interested sources of laser neutralization systems. Nine (9) responses were received and reviewed for both SS/RFIs by the RADBO Integrated Product Team (IPT). None of the respondents, other than Parsons, were shown to have tested and/or fielded laser systems that meet the specific RADBO attributes and parameters, therefore were determined not capable.

The requirement will be synopsized in FedBizOpps in accordance with FAR 5.201. It is anticipated that sources having an interest in subcontracting may be identified through synopsis. Any source who responds to the Government as a result of this synopsis will be identified to the prime contractor as a potential subcontracting possibility.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The overall cost of this acquisition will be fair and reasonable to the Government. In accordance with FAR 15.403-4, the contractor will be required to submit certified cost or pricing data to be used in supporting the Government's evaluation of the proposed cost. The proposed skill mix of labor, labor hours, type and quantities of material, other direct costs, and direct/indirect rates will be negotiated by the Government based on recommendation from the Defense Contract Audit Agency (DCAA), Navy Price Fighters (NPF) and/or Defense Contract Management Agency (DCMA), and expert technical

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market Research was conducted pursuant to FAR Part 10.001 and 10.002 and was completed on 21 Dec 17. The Market research techniques used are as follows:

SS/RFI (FA8534-17-R-0014) was originally posted to FedBizOpps on 15 August 2017 and updated 13 Sep 2017. It requested responses from potential companies with the capability of integrating the Zeus III Laser System onto the MRAP Cougar CAT 1 A1 Vehicle with an Interrogation Arm. The RADBO Program Office received four responses, including a response from Parsons. The companies most familiar with integrating the Zeus III Laser System onto a MRAP Cougar Vehicle is Yulista and Parsons. However, Yulista was determined not capable because they are not involved with the development or integration of the Zeus III Laser System and lack access to the necessary proprietary data to successfully meet this requirement. The integration efforts Yulista led involved the brackets and components needed to mount the Zeus III Laser System onto the Cougar vehicle. Parsons was the only vendor determined to be a capable source due to the proprietary data associated with the development, integration and sustainment of the Zeus III Laser System.

SS/RFI (FA8534-17-R-0014A) was originally posted to FedBizOpps on 21 Aug 2017 and updated on 13 Sep 2017. It requested responses from potential companies with capable Laser Neutralizations Systems to meet the Government requirement. Four responses were received, including a response from Parsons. Each company provided specific capabilities related to Laser Neutralization Systems as a whole. With the exception of Parsons, each respondent lacked necessary proprietary data and developed products with lower technology readiness levels which were deemed unacceptable for this requirement. Parsons' Zeus III Laser System was the only system capable of meeting the Government requirement involving the RADBO program. This was due to the proprietary data associated with the system as well as the ability to meet the Governments schedule and performance requirements.

The Internet Google searches performed for this acquisition effort included Laser Neutralization Systems and Laser Weapon Systems. Links from the Google search led to the following laser entities web sites: (1) Thor-High Energy Laser IED Neutralization System, a 700W Laser system developed in Rafael, Israel; (2) Mobile High Energy Laser, a 2 kW laser undergoing testing with the Army currently; (3) Avenger laser for Air Defense and a manned laser, LEOS, developed by Boeing (4) a high energy laser developed by L3 Brasher, and (5) a single man carry laser designed by Applied Research Associates. In evaluating these laser systems, none of them met the KPPs and KSAs associated with the RADBO requirement.

These items/services do not meet the definition of a Commercial Item as defined by FAR Part 2 and are therefore not considered commercial. They are not sold commercially.

The market research concluded Parsons is the only capable source for this instant acquisition for the production, integration, and sustainment of the Zeus III Laser System associated with the RADBO

FOR OFFICIAL USE ONLY

FOR OFFICIAL USE ONLY14 Nov 2017 system due to proprietary rights associated.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

None.

X. List of any sources that expressed, in writing, an interest in the acquisition.

See Section VI above.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

The Government contacted Parsons through email on 14 Aug 2017 about the possibility of selling the Zeus III Laser System data rights in which Parsons responded that they have no intentions of selling the data rights. As previously stated, the Government participated in the development of the Zeus III Laser System, however no contract provisions were included to buy the rights to the technical data as Parsons was unwilling to allow for this in any of the acquisition efforts.

In order to break barriers to competition, the market research will be revalidated by the RADBO Program Office every 18 months and if alternative vendors are identified for sustainment support, the Government will evaluate the feasibility of competing the remaining sustainment in lieu of exercising out-year option(s). In addition, the RADBO Program Office will request purchasing the Zeus III Laser technical data or data rights from Parsons on an annual basis. If Parsons agrees to sell the technical data, the offer will be evaluated and if economically feasible, action will be taken to obtain funding for acquisition of the data. Additionally the government will look into the feasibility of reverse engineering the Zeus III Laser System once the systems become available after development testing. A determination will be made in regard to ROI and whether an RE effort is economically viable.

XII. Certification by the Contracting Officer.

As evidenced by his/her signature, the contracting officer has determined this document to be both accurate and complete to the best of his/her knowledge and belief.

XIII. Certification by the technical/requirements personnel.

As evidenced by their signatures, the technical and/or requirements personnel have certified that any supporting data contained herein, which is their responsibility, is both accurate and complete.
