JUSTIFICATION AND APPROVAL (J&A)
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity:
Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City.
2. Description of the Action Being Approved:
Award of an Indefinite Delivery Indefinite Quantity (IDIQ) Requirements contract, on a sole source basis, to Textron Systems (formally AAI Corporation)(hereinafter referred to as Textron), 124 Industry Lane Hunt Valley MD 21030-3342, for In Service Engineering Agent (ISEA) and Organizational, Intermediate, and Depot level support of the Mine Countermeasures Unmanned Surface Vehicle (MCM USV) Craft, Mine Sweep Payload (including MAGNUS upgrade), and Mine Neutralization Payloads hereafter referred to as the MCM USV.

4. Statutory Authority Permitting Other Than Full and Open Competition:
10 U.S.C. 3204(a)(1); FAR 6.302-1- Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority:
MCM USV is a long endurance, semi-autonomous, diesel-powered, all-aluminum surface craft that supports the employment of various MCM payloads. Leveraging a mature craft design developed under the ACAT III Unmanned Influence Sweep System (UISS) program, the MCM USV program employs multiple Payload Delivery Systems (PDSs) to include the Minesweeping PDS, Minehunting PDS and PDSs for future payloads, including Mine Neutralization, all of which integrate to the base MCM USV craft. This acquisition is sole source for the following reasons.
a. Textron Systems is the prime integrator and original source for the MCM USV and the Mine Sweep Payload System. These items were originally developed by Textron under contract N00024-14-C-6322. Contract N00024-14-C-6322 was originally awarded to AAI Corporation which was acquired by Textron.
Modification P00077 dated 31 May 2021 changed the contractor name from AAI to Textron. Under the contract, Textron had been the prime integrator and original source for approximately ten years for all labor, materials, and facilities to design, fabricate, procure, assemble, integrate, test (including Developmental Testing (DT) support) and deliver a fully functional UISS, now called
MCM USV.
b. This is a follow-on contract to N00024-14-C-6322 for the continued provision of highly specialized services within the meaning of FAR 6.302-1(a)(2)(iii). Textron has been the prime integrator and original source developing, fabricating, documenting, and training on the MCM USV for approximately ten years. The Government estimates that it would take approximately 24 months for another contractor to obtain the required authorizations and certifications before they can begin to perform the required fabrication, repair and overhaul, as well as build the specialized knowledge and skill sets necessary to support the Fleet under this requirement. Textron is currently the only responsible source that can support the requirement in the timeline needed without unacceptable delay to the Fleet.
Textron produced the TDP and has the specialized experience to provide this critical initial deployment and “train the trainer” phase of this MCM USV system. Additionally, access to a MCM USV to build a knowledge base will not be available due to the deployment schedule. Lastly, key support equipment required to troubleshoot, repair, and train has lead times in excess of a one year.
c. Such delays would be unacceptable to the Government because the MCM USV is critical to Fleet mine sweeping operations and overall naval mine warfare strategy based on the current geo-political environment. The MCM USV is a system within the Mine Countermeasures Mission Package (MCM MP).
This MCM MP capability is being delivered to the Fleet immediately due to the current state of legacy MCM ships that have reached end of life and must be replaced to maintain the MCM capability within the Fleet.
The
Government must leverage Textron’s specialized knowledge and experience as the prime integrator and original source.
Additionally, given the current need to further improve these systems in parallel to the deployments, Textron is the only contractor with the specialized skills and knowledge base to support this contract in the timeline needed. Given the deployment schedule and need to expedite this coverage, Textron is the only responsible source capable of supporting this requirement without unacceptable delay.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable:
In accordance with DFARS PGI 206.202-1, Only one responsible source, NSWC PCD published sources sought notice on 27 December
2023, under N61331-24-SN-Q07, for “Repair, Overhaul, and Depot Maintenance for Mine Countermeasures Unmanned Surface Vehicles (MCM USV)” on the Government point of entry SAM.gov. This sources sought notice was to search for possible competitors to the incumbent to contract N00024-14-C-6322, in order to promote full and open competition. At the time of the closing on 12 January 2024, three sources responded to the announcement:
Science Applications International Corporation (SAIC), DMR Consulting and Peraton. The Government followed up with each company and requested additional information. All three companies provided the Government with additional information.
The Government thoroughly reviewed the information and determined that none of the three companies are technically capable to meet the Government’s requirements because none of the companies possess the specialized knowledge as specified in paragraph 5, above, to prevent unacceptable delays to the Government.
Additionally, the proposed contract action was synopsized in the Government point of entry SAM.gov on 16 February 2024 in accordance with FAR 5.2. The synopsis expressed the Government’s intent to award on a sole source basis to Textron.
The synopsis was posted for 15 days, closed on 4 March 2024. No companies responded to this synopsis. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Textron Systems to provide the support.
7. Determination Of Fair And Reasonable Cost:
The Contracting Officer has determined that the anticipated cost to the Government for the supplies/services covered by the J&A will be fair and reasonable.
8. Actions Taken To Remove Barriers To Competition:
For the reasons set forth in Paragraph 5, NAVSYSCOM has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NAVSYSCOM will assess whether competition for future requirements is feasible.
