About this file

This document is a Sole Source (Including Brand Name) Justification for an Enterprise License Agreement (ELA) for MATLAB software. The Aerospace Systems Directorate (AFRL/RQ) requires a license allowing users across three sites (Wright-Patterson AFB, Edwards AFB, and Arnold AFB) access to MATLAB and Simulink, along with all MATLAB toolboxes across classified and unclassified networks. The contract is a firm fixed-price award with a base 12-month period and two 12-month option periods, funded by FY26 3600 (RDT&E) funds.

Market research confirmed MathWorks as the sole source, with no viable alternatives identified through searches of government-wide acquisition contracts or a sources sought notice. The justification emphasizes the critical nature of MATLAB for the directorate's research and engineering tasks, highlighting that switching to alternative software would require costly and time-consuming code conversion, potentially disrupting mission-critical work. The Enterprise License Agreement provides centralized access, enhanced collaboration, and full technical training across the organization, with an estimated funding level between $750K and $15M for the contract period.

Sole Source (Including Brand Name) Justification - Simplified Procedures for Certain Commercial Items

The ELA model provides verifiable cost avoidance and administrative savings compared to an "à la carte" transactional licensing model. Based on the Q2 2025 MathWorks Usage Data Report:

2. The ELA model consolidates licensing into a single agreement, eliminating the estimated administrative overhead of processing significantly reducing government man-hours dedicated to procurement and license management.

The nature of AFRL/RQ's work, the integrated use of MATLAB/Simulink across the DoD, and the prohibitively high cost of converting the validated code libraries demonstrate that MathWorks is the only source that meet AFRL/RQ's mission-critical requirements without unacceptable delays, significant additional costs, and loss of functionality.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

Capabilities available under existing Government-Wide Acquisition Contracts (GWACs) DoD ESI, GSA 2GIT, and NASA SEWP were reviewed and determined unable to meet the requirement.

Market research searches, conducted 04 December 2025, continue to show that the sought Matlab enterprise license product provided via sole source from MathWorks is not available via the DoD ESI BPAs nor GSA 2GIT BPAs.

Additionally, a sources sought was posted to the NASA SEWP V IDIQ site for 10 days on 22 September 2025.

The notice included key characteristics of the requirements of the action and provided the opportunity for all responsible sources to submit a capability statement. There were no responses received from any vendors to this announcement.

An intent to award sole source notice will be posted on SAM.gov for 5 calendar days and close before any award is made. Due to this justification being above the simplified acquisition threshold, it will also (pursuant to FAR 13.501(a)(1)(iii)) be posted on SAM.gov within 14 days of contract award and remain posted there for at least 30 days.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

Fair and reasonable price determination will be made by the Contracting Officer based upon price analysis techniques such as comparison to historical prices paid, parametric analysis, and comparison to published price lists for same or similar products.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market research was conducted IAW FAR Part 10 to identify any available commercial alternatives that could meet AFRL/RQ’s integrated RDT&E requirements for numerical computation, simulation, and validated code bases. A sources sought was posted on the NASA SEWP contract vehicle for a period of 10 days in September 2025, to which no vendors submitted a response, confirming the highly specialized and proprietary nature of the required enterprise solution. Furthermore, throughout the period of the previous ELA, AFRL/RQ conducted targeted research and pilot testing on Commercial Off-the-Shelf (COTS) alternatives. Other software reviewed for consideration included Mathematica, which retains some capability for symbolic calculations but critically lacks the robust numerical computation, integrated simulation environment, and extensive, validated toolboxes necessary to execute AFRL/RQ's core research and engineering tasks. September 2025 did not return any results.

Additionally, the contracting office received a sole source letter from MathWorks in January 2025 that further confirms that MathWorks is the sole manufacturer, publisher, and owner of MathWorks software products and the sole provider of any updates or technical support for these products in North America.
