About this file

This justification and approval document authorizes a sole source contract award to DiSTI Corporation for software updates to the Landing Craft Air Cushioned Family of Trainers system. The Naval Air Warfare Center Training Systems Division requires updates to match revised LCAC safe operations manuals, including changes to the training system, software, and curriculum. The estimated value is $320,000 to be funded from FY2020 to FY2024 budgets. DiSTI is the incumbent contractor and possesses the necessary expertise, knowledge, and data to perform the updates without extensive analysis. The agency published a sources sought notice and synopsis but received no responses other than from DiSTI, indicating they are the only qualified source. Upon proposal submission, the contracting officer will review pricing and if necessary perform cost analysis to determine fair and reasonable pricing before award.

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity Naval Air Warfare Center Training Systems Division (NAWCTSD) Orlando, FL

2. Description of Action Being Approved This Justification and Approval (J&A) authorizes and approves the issuance of a firm-fixed-price contract, on a sole source basis, to DiSTI Corporation (DiSTI) for the System Baseline Configuration (SBC) 4 Block Cycle (BC) 7 Variant 1.0 update to the Landing Craft Air Cushioned (LCAC) Family of Trainers (FoT) located in San Diego, CA; and Virginia Beach, VA. This update is in accordance with revised LCAC Safe Engineering and Operations (SEAOPS) manual.

3. Description of Supplies/Services This proposed contract action will procure software updates to the LCAC FoT console functionality as detailed in the annual SEAOPS update. Activities performed under the contract action includes changes to the training system and applicable changes in configurations to match Craft changes. This effort will also include software updates to the classrooms, revisions to the associated curriculum, and correction of identified deficiencies. The contract action follows the last major LCAC training system update which was performed by DiSTI under Contract N6134018C0018.

The estimated total value of this J&A is $320K and will be funded as set forth in the table below.

4. Statutory Authority Permitting Other Than Full and Open Competition 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority As the incumbent to the last major LCAC training system update, DiSTI uniquely possesses the necessary engineering capability, resources, expertise, intricate knowledge, and data to satisfy the Government’s specialized requirement for follow-on software updates to the LCAC FoT console functionality.

Specifically, DiSTI possesses intimate knowledge of the highly specialized software coding which allows them to perform the required software updates under the subject contract action without performing a front-end analysis (FEA) of the existing software. If another source were awarded this requirement, such source would need to perform a FEA of the existing software, such as the Instructor Operator Station (IOS), the host, and the classrooms software coding, in order to identify and understand the required SBC 4 BC 7 updates to be performed under the subject contract action. Based on historical data associated

J&A NUMBER: 20-0405

J&A Number: 20-0405 with a similar sized FEA and independent review performed by subject matter experts, the Government reasonably anticipates that it would cost approximately $295K and require 6 months for a company to perform a FEA of the IOS, the host, and the classrooms software coding, in order to identify and understand the required SBC 4 BC 7 updates required under this effort. Accordingly, if this requirement were competitively awarded to a source other than DiSTI, the Government anticipates that such selection would result in an additional $295K cost and require an additional 6 months for project completion due to the required FEA. Award of this contract to any other source would result in a substantial (approximately $295K) duplication of costs that is not reasonably anticipated or expected to be recovered through competition.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable Per PGI 206.302-1, the Government published a Sources Sought notice for the LCAC FoT update on the Beta SAM domain website on 22 May 2020 with a closing date of 8 June 2020. This notice was issued in order to determine the capabilities of potential offerors to successfully perform the follow-on LCAC FoT updates. The Government received only one (1) response to the Sources Sought. Such response was submitted from the incumbent, DiSTI.

In addition, in accordance with FAR 5.201, the Government posted a synopsis to the Beta SAM domain expressing an intent to sole source the LCAC FoT update requirement to DiSTI on 22 June 2020 with a closing date of 7 July 2020. No responses or comments were received to the synopsis.

The lack of a response or comment to the Government’s outreach efforts from organizations other than DiSTI demonstrates that DiSTI is the uniquely capable and qualified firm to produce and deliver the LCAC FoT updates without a substantial duplication of cost and/or at least 6 month additional project completion time. Any additional responses or comments will be evaluated and considered by the Contracting Officer prior to award.

No additional market research was conducted because it is not practicable, for the reasons stated in paragraph 5 above, for any source other than DiSTI Corporation to provide the required supplies and services without a substantial duplication of cost.

7. Determination of Fair and Reasonable Cost In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. Upon request, the contractor will submit a formal price proposal with data other than certified cost or pricing data and sufficient information to support the accuracy and reliability of the proposal. The proposal will be reviewed by experienced technical analysts, cost analysts, and contract specialists with the aid of necessary field pricing support. The Contracting Officer may utilize price analysis, and if necessary, cost analysis, as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition For the reasons set forth in Paragraph 5, NAWCTSD has no plans at this time to compete future contacts for the types of supplies covered by this document. If another potential source emerges, NAWCTSD will assess whether competition for future requirements is feasible.
