About this file
This is a Justification and Authorization (J&A) document for other than full and open competition for a commercial item procurement under FAR 12.102.
The Naval Research Laboratory (NRL) seeks to procure one Keysight Technologies UXG Agile Signal Generator system on a brand name basis, valued above the Simplified Acquisition Threshold but below $9.0 million and funded with FY25 Research, Development, Test & Evaluation funds. The complete system includes the base UXG Agile Signal Generator with numerous optional components and licenses: KeysightCare First Year Support Warranty, frequency range 10 MHz to 40 GHz, 0.001 Hz frequency resolution, modulation capabilities (AM, FM, phase, pulse, wideband and narrowband chirp), enhanced phase noise, mechanical and solid state attenuator assembly, 10 Gigabit Ethernet I/O interface with 14 trigger ports, a Value Discount Bundle combining multiple options, and Signal Studio software for MESG with a node-locked perpetual license. Delivery is required approximately eight weeks after order receipt.
The justification for brand name procurement centers on compatibility and interoperability requirements with existing Keysight equipment and infrastructure at NRL's Tactical Electronic Warfare Division. The Contracting Officer determined that alternative equipment would necessitate substantial additional labor to rewrite existing software, retrain personnel, and address synchronization incompatibilities, resulting in estimated delays of one-quarter to one-half man-year (approximately $215,000) and approximately one year of schedule delay. Additionally, proceeding with an alternative vendor would forfeit a $120,000 negotiated cost-savings discount. Market research confirmed that Keysight's authorized resellers, Tevet and Technical Communities (TestMart), have no active GSA schedules for this equipment, precluding procurement through Federal Supply Schedules. The acquisition does not qualify for small business set-aside due to Keysight's large business status and the absence of an SBA waiver to the Non-Manufacturer Rule. The Contracting Officer approved this justification on June 8, 2026, with legal sufficiency review completed the same date.

Justification for Other than Full and Open Competition Under Simplified Procedures For Certain Commercial Items In Accordance With Federal Acquisition Regulation (FAR) 12.102
On the basis of the following, I, as the Contracting Officer, hereby approve the use of a brand name contractual action pursuant to the authority of: 41 U.S.C. 1901 41 U.S.C. 1903
1. Contracting Activity
The U.S. Department of Navy, Naval Research Laboratory (NRL) Contracting Division, Code proposes to include brand name specifications for the procurement of a UXG Agile Signal Generator system, which will be issued utilizing the procedures described in FAR Subpart 12.2.
2. Description of the Action Being Approved
This action requests approval for the use of other than full and open competition, on a brand name basis, as implemented by FAR 12.102 for the procurement of a Keysight Technologies, Inc.
(Keysight) UXG Agile Signal Generator system.
3. Description of Supplies/Services
The NRL Tactical Electronic Warfare Division (TEWD), Surface Electronic Warfare Systems Branch, Code , is seeking one UXG Agile Signal Generator system, comprised of the following:

Delivery is required approximately eight-weeks after receipt of the order. The Government’s minimum needs have been verified by the certifying technical and requirement personnel. The estimated dollar value is , which will be funded by the FY25 RDT&E funds.
4. Statuary Authority Permitting Other than Full and Open Competition
The authority for permitting other than full and open competition is 41 U.S.C. 1901(e)(2), implemented by FAR 12.102.
41 U.S.C. 1901 41 U.S.C. 1903
5. Rationale Justifying Use of Cited Authority
The UXG device will be used to generate complex signal environments in support of communications, radar, electronic warfare (EW), and antenna testing applications. It is capable of producing advanced, high-fidelity waveforms that accurately replicate real-world operational conditions. These items are required to ensure full compatibility with established Keysight programming commands, enable seamless interoperability with similar equipment previously procured by the laboratory, and support efficient integration with the existing test infrastructure. This approach allows for incorporation into the current system architecture without requiring software redevelopment or modification.
The source for the specific instrument listed in Paragraph 3 has been selected to ensure the overall system meets TEWD’s configuration and compatibility requirements. This equipment has been identified as the only solution possessing the necessary form, fit, and function to satisfy Government requirements. Use of any alternative brand or equipment would require additional labor to rewrite existing software, retrain end users, and resolve likely technical challenges associated with synchronization incompatibilities. These impacts would result in unacceptable delays estimated at one quarter to one half of a man-year, or approximately $215,000.00 and approximately one-year of delay. Additionally, failure to complete this purchase through the selected provider will result in the forfeiture of a $120,000 negotiated cost-savings discount. These costs could not be recovered through full and open competition.
The Contract Specialist has determined through market research that the required products offered by Keysight are commercial in nature, valued greater than the SAT, but less than $9.0 million, and as such, this action permits the use of FAR 12.201-1.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
Market research was performed through contacting knowledgeable individuals in Government, conducting internet searches, and contacting the original equipment manufacturer (OEM), Keysight.
The Contract Specialist, , contacted the Account Manager at Keysight supporting the NRL, via email on 15 May 2026. confirmed that Keysight utilizes two authorized resellers, Tevet and Technical Communities (dba TestMart), for its equipment.
Technical Communities (dba TestMart) was the only vendor authorized to sell the required equipment via GSA; however, the Contract Specialist confirmed with from Testmart on 21 May 2026, that they do not currently have an active GSA schedule for the UXG Axile Generator system. In accordance with FAR 8.104, agencies are encouraged to consider satisfying requirements from or through non-mandatory sources, which includes the use of Federal Supply Schedules (e.g. GSA), before considering commercial sources in the open market. Since there are no vendors presently authorized to resell Keysight’s equipment via GSA, the Government intends to procure the required equipment on a brand name basis via SAM.gov.
This acquisition does not meet the requirement at FAR 19.104-1(a), and therefore will not be set-aside for small businesses. Additionally, the Non-Manufacturer Rule (NMR) requires small businesses to either manufacture the product itself, supply a product manufactured by another small business if it is a nonmanufacturer, or supply the product of any sized manufacturer if the Small Business Administration (SBA) has granted a waiver to the NMR. Keysight, the OEM, is a large business, and the SBA has not granted a waiver under NAICS 334515.
7. Determination of Fair and Reasonable Cost
The Contracting Officer has determined the anticipated cost to the Government for the equipment covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
For the reasons set forth in Paragraph 5, NRL has no plans at this time to compete future contracts for the type of equipment covered by this document. Code routinely monitors the commercial marketplace using the internet and publications to stay informed on current state-of-the-art laboratory equipment alternatives that could be used to further work at NRL. If another potential source emerges, NRL will assess whether competition for future requirements is feasible.
In accordance with FAR 12.202(b)(1)(iii) this justification, redacted as necessary, will be made publicly available with the solicitation.
