About this file

This Justification and Approval (J&A) document is for a sole-source contract awarded by the United States Air Force to Eaton for the remanufacture of KC-135 Refueling and Submerged Pumps. The contract is a 3-year requirements contract from 6 April 2025 to 5 April 2028, with a total estimated value that is not fully disclosed. The pumps are critical components for the KC-135 aircraft, providing double-suction, hydraulically driven fuel transfer with a special feature that separates air and bubbles from fuel.

Eaton is identified as the only qualified source capable of remanufacturing these specialized pumps, with unique technical capabilities and process controls. Market research, including a Sources Sought Synopsis posted on 25 Sept 2023, identified two interested vendors (Teya Enterprises LLC and D. Gillette Industrial Services), but no alternative sources have been approved. The contract will use Working Capital Funds (97X4930), and the government may invoke surge capabilities in case of unexpected demand. The previous contract with Eaton was awarded on 6 April 2022 with a value of $1,199,941.00 and is set to complete on 5 April 2025.

Total Estimated Dollars: Not Separately Priced

The estimated total of $ was derived based on historical usage from 2022 order, FA8118-22-D-0014, using the unit repair history from 2024 line item. This was the baseline used to estimate current remanufacture cost for the subject NSNS.

For this requirement, the Government may elect to invoke surge in the event that the Department of Defense experiences an unplanned spike or sudden increase in demand, due to major theater warfare or national emergency (also known as surge, reference DFARS 217.208-70 and DFARS 252.217.7001). In the event surge is invoked, the contractor may be required to meet and sustain demands for quantity levels above and beyond normal peacetime requirements. The potential to invoke the surge capability is within the scope of this contract.

For surge information please reference 1.15 SURGE, in performance work statement titled Remanufacture of KC-135 Refueling and Submerged Pumps.

The Contract Line-Item Number (CUN) structure will not include separately priced CUNs for intellectual property (IP) or IP rights. The proceeding IP rights strategy is consistent with the acquisition strategy as approved by the appropriate authority.

This J&A covers all contract actions including options, task orders and deliver orders for all CUNs detailed in the CUN table above. At this time, due to the circumstance described in Section IV below, there are no immediate actions that can be taken to develop competition beyond synopsizing the requirement to encourage contractors to request approval consistent with the FAR Part 9 qualification requirements (QR) in operation. Therefore, it is considered appropriate to seek approval for more than one year of requirements. If another source submits a SAR and is approved as a qualified source for the identified NSN during the life of this contract, the government will immediately pursue full and open competition and discontinue use of this Class J&A for the identified NSN upon a competitive award.

Total Estimated PR Dollars : $

IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above.

The anticipated contract is to support the remanufacture of the refueling and submerge pumps for the KC-135.

The refueling and submerge pumps provide the double-suction, hydraulically driven fuel transfer pump. It has a special feature that separates air and bubbles from the fuel being delivered. The remanufacture of the refueling and submerge pumps is a highly specialized supply due to the need for process control with respect to the quality of equipment and tooling, shop practices, and quality assurance surveillance necessary to satisfy the Air Force's need. These items are critical application items, as defined in the Aviation Critical Safety Item Management Handbook. As such, they are highly specialized components on major weapon systems unique to the USAF. Eaton is identified as the only source capable of providing necessary remanufacture, in addition to being the only company with the personnel and technical data to satisfy the Air Force's requirement. Eaton has met all of the Government defined QRs for this requirement. Therefore, this acquisition will be a follow-on for the continued production of a major system.

The Government has defined pre-award QRs. The QRs identify the requirements a prospective vendor must satisfy in order to become a qualified source for future acquisitions. This item requires engineering source approval in order to maintain its quality and technical baseline. Due to complexity, critical application, urgent need, and low likelihood of a positive return on investment, this requirement was not deemed to be a candidate for reverse engineering. The 423 Supply Chain Management (SCMS) has determined Eaton is the OEM, is the only source that has met the defined QRs at the time and has been listed as the only approved source on the Contract

August2023 APPROVED FOR PUBLIC RELEASE Page 4 of7

Repair Screening Analysis Worksheet (CRSAW).

The 423 SCMS has determined that award to any other source would result in unacceptable delays in fulfilling the Air Force's requirements. The development of additional sources to upgrade/remanufacture this item is not feasible within allowable time frames. The Government does not expect that any other source could become qualified in time to avoid unacceptable delays. Any interested sources would be required to submit a SAR for review by the cognizant engineering authority. Interested vendors would need to submit a SAR package demonstrating capacity to access the necessary data, independently develop maintenance, remanufacture procedures, or other proof of capability. As of 23 August 2024, there have been no SAR packages submitted for approval even through there was one source that indicate interest in this acquisition, discussed in section V and VII. Once a source has been identified and has submitted a SAR package, it can take In excess of two years to qualify the potential source. During this time the Government must review and approve the SAR package, complete any potential site visits, and validate/verify any developed technical requirements. This would not include administrative and procurement lead times.

Accordingly, Eaton is the only firm capable of providing the service described in section II above without the USAF experiencing unacceptable delays in fulfilling the Government's requirement.

423 SCMS has determined that award to any other source would result in unacceptable delays in fulfilling the AF's requirements thereby leaving the government unable to meet critical KC-135 mission requirements. Delays in procurement will disrupt the availability of parts to the KC-135 resulting in a Mission Incapable Awaiting Parts (MICAP) situation.

V. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under FAR 5.202 applies.

A Sources Sought Synopsis (555) for PR number FD20302500280 was posted to sam.gov on 25 Sept 2023, with a response date of 6 Nov 2023. There were two interested vendors to the 555.

IAW FAR 5.201, this requirement shall be synopsized, and the Request for Proposal will be posted to the sam.gov website.

VI. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer will ensure that the items described herein are negotiated at a fair and reasonable price to the government. lAW FAR as supplemented, the contractor will be required to submit Certified Cost or Pricing

Data. A detailed cost analysis and/or price analysis will be performed. The Contracting Officer may request a technical evaluation from the Defense Contract Management Agency (DCMA) to aid in the evaluation of the contractor's proposal. The Contracting Officer will seek audit assistance from the Defense Contract Audit Agency

(DCAA), if necessary.

VII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

As described in section V above, market research, IAW FAR Part 10.001 (b)(2), was conducted by a 555 of the proposed acquisition advising industry of the pending acquisition and soliciting inquiries from interested parties.

Additionally, a multi-functional team consisting of the Engineer, Contracting Officer, and Supply Planner conducted further research by Internet searches for refueling and submerged pumps remanufacture sources, completed in 14 November 2023 to inquire whether any qualified subcontract vendors exist. This research was

August2023 APPROVED FOR PUBLIC RELEASE Page 5 of7 conducted using standard contract repair screening process. Additionally, market research techniques are including Internet websites and databases (including Google.com, Thomas Register, Haystack, DSB, SAM and

FPDS) were queried 14 November 2023 for potential sources. Searches include the part number, nomenclature, and like items. Other sources manufacture similar items, but none have shown interest in submitting a Source

Approval Request (SAR). As of 23 August 2024, no SAR packages have been submitted to the Tinker Small

Business Office. A source sought synopsis (SSS) was posted on 25 Sept 2023 and closed 6 Nov 2023 and was opened for 30 days. Two vendors showed interest.

VIII. Any other facts supporting the use of Other Than Full and Open Competition.
