About this file
This is a Justification and Approval (J&A) document for a sole source contract issued by the Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst. The contract is with AMPEX Data Systems Corporation for the manufacture and delivery of thirty-seven (37) E-2 Combined Data Loaders (ECDL) P/N 4094AS0100-1, supporting the E-2D Advanced Hawkeye Aircraft for the US Navy, Foreign Military Sales (FMS) France, and FMS Japan. The total estimated value is $707,700, with quantities distributed across different cases: 20 for APN-1 (domestic), 6 for FMS Japan, 8 for FMS France (FR-P-SBM), and 3 for FMS France (FR-P-GXM).
The J&A justifies the sole source award based on AMPEX being the original equipment manufacturer (OEM) with exclusive design, development, and technical rights for the RSM/CRSM Interface Device. Market research and sources sought notices confirmed no alternative vendors could meet the Navy's requirements within an acceptable timeframe. Attempts to identify other potential sources, including inquiries from BPHE, LLC and Bloomberg Research, were unsuccessful. The document emphasizes that alternative sources would require approximately 36 months to design, test, and integrate a new ECDL, which would unacceptably delay mission readiness for the E-2D Advanced Hawkeye program.

Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst, NJ
2. Description of the Action Being Approved.
This Justification and Approval (J&A) authorizes and approves the issuance of a sole source contract to AMPEX Data Systems Corporation in Redwood City, CA 94063, the Original
Equipment Manufacturer (OEM) of the E-2 Combined Data Loader (ECDL) P/N 4094AS0100-1 in support of the US Navy (USN), FMS France FR-P-SBM & FR-P-GXM, and FMS JASDF JA-
P-SCQ E-2D Advanced Hawkeye (AHE) Platforms.
3. Description of Supplies/Services.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 3204(a) (1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
The Government holds ownership of the End Item drawing 4094AS0100-1, which pertains specifically to the technical drawings for the E-2 Combined Data Loader (ECDL) Case, excluding its internal components. The case contains two commercial off-the-shelf (COTS) items and one
RSM/CRSM Interface Device (2820250-010). Ownership and data rights for the RSM/CRSM
Interface Device reside with AMPEX, and the Government does not hold proprietary rights to this component.
As the OEM for the RSM/CRSM Interface Device, AMPEX is the sole designer, developer, and manufacturer of the E-2 Combined Data Loader, and therefore is the only contractor with the requisite knowledge, proprietary rights, experience, and technical data that can meet the
Government’s requirements. Any other source would need to possess the drawings/technical data for this PSE to be able to meet this requirement.
Award to any other source would require the need to design, test and integrate a new E-2 Combined
Data Loader with the E-2D AHE. It would take approximately thirty-six (36) months for another source manufacture the ECDL. This includes 12 months to design, 12 months to test and 12 months to integrate a new ECDL with the E-2D Advanced Hawkeye (AHE). This amount of time would present an unacceptable delay in fulfilling the agency’s requirements to provide Operational and
Depot-level maintenance support for the E-2D AHE which would be a direct impact on mission readiness for the E-2D. Specifically, the E-2D Delta System Software Configuration DSSC-5 pre-mission configuration of flight media and post-mission data analysis would be negatively impacted. The ECDL is used as the interface to the mission computer media that flies on the aircraft. The Navy cannot execute the E-2D mission without configured mission computer media.
Subsequent missions could also be impacted due to lack of ability to analyze mission data and make corrections based on performance. Based on this information, award to any other source would result in an unacceptable delay to the capabilities needed to support the United States Navy
(USN) E-2D Advanced Hawkeye Program.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Market Research and internet searches were conducted by the Government’s technical team to determine whether any other vendor could satisfy the U.S. Navy’s requirements. The Federal
Procurement Data System, Dynamic Small Business Search, and Google internet search engines were queried for potential sources. Results indicated that AMPEX was the only known source capable of meeting the Government’s requirements.
The Sources Sought Notice required by Defense Federal Acquisition Regulation Supplement
206.302-1(d) was published in the SAM.gov website on 30 July 2024 through 05 August 2024.
There was one inquiry to the Request for Information (RFI) from BPHE, LLC (No Cage) who wanted to participate in this project and provided their information and abilities. This RFI inquiry was provided to the Government technical team for review and consideration. The Government
Technical Team affirmed BPHE could not technically perform this requirement, as they do not own the data rights, have the technical knowledge, specific drawings and/or designs to develop, integrate, test, and field the ECDL for the E-2D Fleet Squadrons. The Contract Specialist responded back to RFI Respondent BPHE with the above reasoning in writing on 05 August 2024;
no additional inquiries were received. In accordance with FAR 5.201(b) (1), this requirement was synopsized on the SAM.gov website on 06 August 2024 through 21 August 2024. There was one inquiry to the synopsis from Bloomberg Research (No Cage). Bloomberg Research submitted an email stating they were conducting Market Research. This Synopsis inquiry was provided to the
Government technical team for review and consideration. The Government Technical Team reviewed the Bloomberg Research submission and affirmed they could not technically perform this requirement, as they do not own the data rights, have the technical knowledge, specific drawings and/or designs to develop, integrate, test, and field the ECDL for the E-2D Fleet
Squadrons. The Contract Specialist responded back to Bloomberg with the above reasoning in writing on 15 August 2024; no additional inquiries were received. Any future responses received prior to contract award will be evaluated by the Contracting Officer.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in paragraph 5, at this time, only AMPEX can meet the Navy's requirement. The NAWC-AD Lakehurst has no plan at this time to compete future contracts for the type of supplies covered by this document. If another potential source emerges, the Navy will assess whether competition for future requirements is feasible.
