Justification for other Than Full and Open Competition

“Source Selection Information- see FAR 2.101 and 3.104”

2. Nature and/or description of the action being approved.

This is a class Justification & Approval (J&A) in accordance with 6.302-2, Unusual and Compelling Urgency for the below group of contract actions supporting the 2019 Novel Coronavirus (COVID-19). The COVID-19 is not influenza but has similarities to an influenza outbreak. The annual Flu season typically occurs many months and has an approximate 90-day peak period. Because COVID-19 is an emerging disease, and there are no vaccines or approved treatments, it is prudent to have adequate flexibility to address this public health emergency for a somewhat longer time period of 120 days. This class J&A is essential to respond to urgent requests for immediate support over the next

120 days to respond to the expanding outbreak of COVID-19 which was just declared a pandemic on March 11, 2020.

Requests for emergency aid often originate from locations of need such as the States, fourteen of which have issued emergency declarations, and those racing to repatriate, treat, and quarantine individuals who have been exposed in international locations and on the various cruise ships that have been directly impacted.

Requirements that arise, and are received by the SNS Contracts Branch, within 120 days of approval of this class J&A, can be processed under the authority of the J&A, if covered in the J&A. Requirements must be processed as quickly as possible but do not have to be awarded within the 120-day window. A copy of the J&A must go in the award file for all requirements processed under the authority of this class J&A.

a. Acquisition purposes and objectives.

The requirement is to purchase critically needed pharmaceuticals, medical supply products & equipment, personal protective equipment (PPE), no touch thermometers, antimicrobials, warehousing and related logistical services, surge support services, transportation services, reconstitution and maintenance of caches & kits, and decontamination/cleaning services to respond to the COVID-19 global outbreak. On March 11, 2020, the World

Health Organization (WHO) declared the COVID-19 outbreak a global pandemic while on March 13, 2020, the

United States issued a proclamation declaring the COVID-19 outbreak to be a national emergency. As of March

10, 2020, fourteen (14) States have issued an emergency declaration due to the COVID-19 outbreak: California, Colorado, Florida, Kentucky, Maryland, New Jersey, New York, Ohio, Oregon, Pennsylvania, Utah, Massachusetts, North Carolina, and Washington state. On January 30, 2020, the International Health Regulations

Emergency Committee of the WHO declared the outbreak a “Public Health Emergency of International Concern”

(PHEIC). On January 31, 2020 Health and Human Services Secretary Alex M. Azar II declared a Public Health

Emergency (PHE) for the United States to aid the nation’s healthcare community in responding to 2019-nCoV.

Also, on January 31, the President of the United States signed a presidential “Proclamation on Suspension of Entry as Immigrants and Nonimmigrants of Persons who Pose a Risk of Transmitting 2019 Novel Coronavirus”. These measures were announced at a press briefing by members of the President’s Coronavirus Task Force.

Furthermore, subsequent to the repatriation of U.S. citizens from abroad due to the COVID-19 outbreak, a cruise ship, the Grand Princess, was allowed to dock in California on March 9, 2020 and the passengers have begun to be transported to multiple locations in CA, TX, and GA for quarantine and testing. Today, CDC indicated plans to quarantine all cruise ships returning to the U.S. for the immediate future due to the COVID-19 public health emergency. Additionally, States are requesting Federal Assistance for pharmaceuticals, MedSurge items, PPE, testing kits, equipment, and support services to help contain further spread and treat patients. The mission to respond to the community spread of COVID-19 throughout the United States and the mission to repatriate individuals who have been exposed to the virus, are both ongoing and growing. The COVID-19 outbreak has evolved at a fast pace, resulting in an urgent need for numerous products and services as further detailed above and in the below table. This constitutes an unusual and compelling urgency that demands immediate attention.

Immediate implementation and commencement of services and acquisition of supplies will help ensure that DSNS remains prepared for and capable of responding to a public health emergency in the necessary and immediate manner that is required.

b. Project background.

This justification for unusual and compelling urgency is due to the public health emergency caused by COVID-

19, which was declared a global pandemic by the WHO. The first confirmed case of COVID-19 in the United

States was announced on January 21, 2020. As of March 11, 2020, there have been 938 confirmed cases and 29 deaths due to COVID-19 in the United States. 115 Countries and Territories around the world have reported a total of 118,418 confirmed cases and 4,292 deaths from the virus that originated in Wuhan, China. More than 60 million people in Italy have been placed under lockdown after the government extended emergency measures across the entire country in an attempt to stop the spread of the COVID-19. Italy is struggling to contain Europe’s worst outbreak, which has claimed 631 lives and infected 10,149 people.

CDC officials confirmed that the virus is spreading in the community — that is, being transmitted from person-to-person with unknown source — and that this was likely to continue in the coming days. This widespread transmission may force large numbers of people to seek hospitalization and other healthcare, which may overload healthcare systems. In addition, a growing list of universities and colleges have decided to suspend in-person classes, including Seattle University, New York University, the University of California, Berkeley, the University of Washington, Stanford, MIT, American University in D.C., Hofstra, Columbia, Barnard, Princeton and Rice.

Changes arrived at many K-12 schools this week as well. The Fulton County school system, which covers the suburbs of Atlanta, did not hold school on Tuesday - Wednesday, March 10 - 11, 2020, becoming the largest U.S.

school district to suspend in person classes in the U.S. In the Seattle area, which is experiencing a severe outbreak, a suburban school became the first in the area to move all of its classes online due to COVID-19 pandemic.

The COVID-19 outbreak has rattled consumers around the globe in recent weeks, putting one of the largest drivers of the economy at risk. Consumer confidence fell in the US, Japan, Germany, the UK, and France over the past three months. The declines came as the number of confirmed cases of the respiratory illness COVID-19 escalated.

Consumer confidence has been on the decline for six weeks in the US, falling nearly 2.5% to 111.36 since January

1, 2020. Consumer confidence drives more than two-thirds of activity in the largest economy, so it can have sweeping effects across sectors.

Using data from the SARS experience, economists at the World Bank have estimated that if a pandemic occurred today, it could cost the world economy billions of dollars over the course of a year. A pandemic likely would also result in a sizeable loss of business production and provision of services because of illness and death in the world’s workers. (CDC Pandemic Influenza Update Newsletter dated January 5, 2006) The deaths from the 1918-1919 influenza pandemic caused a severe disruption in the U.S. economy.

The ultimate spread, length of time, and severity of the COVID-19 outbreak is unknown as this time, but it is anticipated that COVID-19 will spread exponentially, which is the typical pattern for an epidemic. As a point of reference, the 2009 H1N1 Pandemic was declared a public health emergency of international concern by WHO on

April 25, 2009 and WHO announced the end of the 2009 H1N1 influenza pandemic on August 11, 2010.

According to CDC, while seasonal influenza (flu) viruses are detected year-round in the United States, flu viruses are most common during the fall and winter. The exact timing and duration of flu seasons can vary, but influenza activity often begins to increase in October. Most of the time flu activity peaks between December and February, although activity can last as late as May. The overall health impact (e.g., infections, hospitalizations, and deaths) of a flu season varies from season to season.

This duration of almost 16 months for the H1N1 influenza pandemic occurred even though there are effective vaccines and treatments for influenza. In contrast, there are currently no known treatments or vaccines for COVID-

19. COVID-19 is a betacoronavirus, like MERS and SARS. While COVID-19 is a different virus than flu, what is known about the pattern of influenza outbreaks is instructive in anticipating the pattern of the COVID-19 outbreak.

The risk to individual during outbreaks of novel virus infections is dependent on exposure. Some people will have an increased risk of infection, for example healthcare workers caring for COVID-19 patients and other close contacts. The goal of the ongoing U.S. public health response is to respond to and mitigate sustained spread of

COVID-19 in this country.

The Division of Strategic National Stockpile (DSNS) has a requirement to provide medical and pharmaceutical related material to various locations across the US during this public health emergency and response effort. DSNS anticipates receiving Mission Assignments from HHS to purchase and distribute required product and equipment.

Any delay in providing critical medical supplies and equipment could cause irreparable harm and put American citizens at an increased risk of transmission and exposure. Every effort must be made to provide products and services to the locations of need in the most expedient manner.

b. Project Description:

The ASPR/DSNS is working in tandem with HHS, CDC, and other Federal Agencies which, among others, are providing disaster medical assistance teams to provide medical relief and assistance to areas impacted by

COVID-19. In support of these efforts, the DSNS has an urgent need to obtain supplies and services to ensure the delivery of potentially lifesaving and preventative medical supplies and services in support of the response to the COVID-19 pandemic.

The Program Office also has a critical need for additional transportation assets, including air transportation, from various sources. ASPR/SNS will utilize the current contracts with UPS, FedEx, and Panther, to the fullest extent possible before using C.H. Robinson, Estes, other vendors. ASPR/SNS has been challenged with timely responses from UPS, FedEx and Panther as well as a lack of existing contract mechanisms for expedited air transportation. The Program must have a redundancy capability built into the ground transportation requirement. Estes Express, C.H. Robinson, and other potential partnerships provide the

ASPR-SNS with enhanced transportation capabilities to support mission critical movement of life sustaining products to impacted communities nationwide.

Further, the Program Office has a dire need for pharmaceuticals, MedSurge, medical equipment, PPE, antimicrobials, and testing kits from multiple sources. DSNS is the designated provider, sending daily deliveries of these items to quarantine and repatriation locations. Additionally, States are requesting Federal

Assistance, and DSNS will be supplementing those requests with existing stockpile inventory and the items listed above that are immediately available for procurement by the U.S. Government. For MedSurge and

Pharmaceutical items, the ASPR/SNS will utilize current contracts with McKesson and LogMet to the fullest extent prior to using other vendors such as Medline, AmerisourceBergen, and Grainger. Due to this outbreak, the supply chain for such items has been nearly depleted and oftentimes items must be sourced directly from the manufacturer or distributors with existing stock. LogMet has a small warehouse inventory and oftentimes dropships orders directly from manufacturers; they also have indicated little to no current inventory of the items being requested. McKesson, through their current contract with ASPR/DSNS, has been the primary provider of such products to ASPR/DSNS thus far in the response, and their inventory of such items is dwindling. The shortages LogMet and McKesson are experiencing is not limited to these vendors but a representation of the current supply chain for the entire industry. It is also not limited to pharmaceutical and

MedSurge items but includes various medical supply products, equipment, PPE, antimicrobials, and test kits.

These factors increase the need for multiple vendors to provide such products.

The estimated value of these supplies and services is $1,850,000,000.00 based upon the estimates shown above and historical information from the first 6 weeks of the emergency COVID-19 response, and previous federal presidentially declared responses for similar public health emergencies such as Zika and H1N1.

Supplemental appropriations were recently approved for immediate purchases to mitigate the further spread of COVID-19. The needs and extent of services will continue to evolve as the virus spreads across the nation.

In the face of a potential public health disaster, the exact needs and locations can change rapidly and therefore the planned emergency acquisitions under this Class J&A takes this into account in estimating the value. This class J &A is for all supplies and other related services described under Section 2- Nature and/or description of the actions. The exact length and breadth of this response cannot be determined at this time and therefore, the period of performance for COVID-19 supplies and services will vary from immediate to longer term support but is not to exceed 12 months. This is consistent with FAR 6.302-2(d)(ii).

This acquisition is conducted under the authority of 41 United States Code (U.S.C.) 253(c)(1) as set forth in Federal Acquisition Regulation (FAR) 6.302- 2 Unusual and compelling urgency.

b. Nature of the acquisition and proposed unique qualifications of the contractor(s).

Estes Express Inc was identified by the SNS-Atlanta Contracting Team as a prospective contractor to provide transportation and logistics services. Estes Express is one of the largest privately held less-than-truckload carrier in the U.S. that controls and owns over $3B in company assets. Additionally, they have seventeen (17) years of experience in national disaster and emergency response missions with federal, state, and local entities. The company was awarded federal and state emergency response contracts in excess of $500M supporting national responses for both Conus and OCONUS operations. They have complete CONUS coverage with over 200 Estes Terminals and OCONUS operations and capabilities to AK, HI, PR and territories. Estes Express Inc.’s experience with emergency response will aide in ASPR-SNS requirements to provide trucks, assets, and personnel to a mission critical incident.

Moreover, Estes has a full range of services including LTL, TL, Time-Critical, and Dedicated delivery, final-mile delivery, LCL/FCL marine shipments, air-forwarding and Disaster Response Logistics. Asset ownership and inventory includes over 7500 tractors & trucks, and over 25,000 trailers—all company owned. Trailers include dry “53 vans, 28 pups, reefers, flatbeds, box trucks to meet different cargo requirements. Preferred carrier with the largest commercial retailers in the U.S and they has a wide range of ways to electronically connect with clients using EDI, API, and FTP. Below are additional support requirements offered during a Disaster Response:

• Executive-level support for and involvement in Disaster Response Work.

• Estes Forwarding Worldwide Services for Domestic and International Services to include International Air Freight Services, Ocean Freight Services, Customs Brokerage Services and Consular preparation and automated shipment status updates.

• Dedicated Software System to manage drivers and record all relevant mission information.

• Cross dock operations to transload supplies from vendor onto a rental trailer. Shuttle drive fleet, set up a dedicated fleet for shuttling loads from cross dock facility to client designated staging area

• Delivery Driver Fleet. Setup a dedicate fleet for delivery supplies to designated locations.

• Yard Operation. Manage the movement and organization of trailers to various client staging locations.

McKesson Medical Supply has the largest chain of distribution centers for quick and efficient delivery of over 4000 medical supplies within their inventory supply chain systems. Additionally, they have a nationwide network of 37 distribution centers, have the capacity to ship 77 million lines of inventory per year, and to track shipments utilizing state-of-the-art scanning and inventory management technology. Moreover, they have a comprehensive staff of 900+ delivery professionals, and exclusive partnership agreements with common shipping carriers. They offer flexible delivery services which includes same, next day and two day shipping available nationwide. They deliver 5 days a week for customers in support of disaster response. McKesson Medical Supply have dedicated supply chain staff that consists of professionals that provided 7 by 24-hour technical support for catalog online ordering of medical supply requirements.

Agiliti HealthCare Corporation Agiliti is a company that has over 3,000 medical and surgical equipment management experts nationwide. The firm’s primary line of business is providing maintenance and repair work on medical equipment to include infusion pumps, ventilators, imaging devices and clinical engineering services. Agiliti Health Care Corporation has the expertise to manage and provide maintenance services on ASPR/DSNS medical and non-medical equipment.

C.H. Robinson was identified by the technical office as the prospective contractor because they are a transportation and logistics vendor with the largest broker market share in the industry at more than 25%. Market research, discussions, and previous contract performance during the Hurricane Dorian response indicate they have an unprecedented ability to source transportation assets through their existing agreements with over 3,000 small and local transportation subcontractors. These factors allow the Government access to additional transportation assets not currently available under the existing contracts or any other known vendor. In addition, C.H. Robinson developed a proprietary asset tracking platform that will allow the Government real-time access and updates to the product being shipped.

Navisphere® is a proprietary, global TMS technology platform that provides a virtual network, connecting people, customers and service providers across all regions they do business, enabling improved processes, greater visibility to shipments and comprehensive business intelligence. This is critical when providing updates to leadership, states, hospitals, and interested parties. Unlike Estes Express, C.H. Robinson does not own their assets, trucks or personnel.

However, they are an excellent company that can augment the SNS Transportation capability.

UPS is a multi-billion-dollar corporation by clearly focused on the goal of enabling commerce around the globe.

Today, UPS is a global company with one of the most recognized and admired brands in the world. They have become the world's largest package delivery company and a leading global provider of specialized transportation and logistics services. Every day, they manage the flow of goods, funds, and information in more than 200 countries and territories worldwide through their vast network of both organic and outsourced air, ocean, and ground freight assets.

FedEx is one of the leading freight providers in the world with a diverse portfolio of transportation, e-commerce, and business solutions. Their networks reach more than 220 countries and territories, linking more than 99 percent of the world’s GDP and have more than 450,000 team members around the world.

Medline is the largest privately held manufacturer and distributor of medical supplies uniquely positioned to provide products, education and support across the continuum of care. Their ability to bring best practices from one care setting to another — from large healthcare systems and independent physician practices to home health patients and their families, is what makes them a unique and extremely capable vendor. Their team is made up of clinicians, researchers, engineers, financial experts and 1,200 direct sales representatives with outstanding expertise. They know the healthcare business from the bottom up and top down.

Cardinal Health provides medical products and services to many of America’s medical institutions. Most U.S.

hospitals (95%) use Cardinal products and services to provide care for their patients. With nearly 100 years of experience in wholesale distribution of medical products and numerous distribution centers strategically located across the Nation, Cardinal Health is one of the leading providers of medical supplies in the United States. Their network delivers more than 95% of all orders to health systems within 24 hours. They operate 24 hours a day, 365 days a year, and ensure the delivery process is accurate, on time and responsive to specific requirements. They also have a formalized disaster preparedness plan to support the healthcare supply chain in an emergency. Through their

Pharmaceutical Supply Chain business, Cardinal Health consolidates product orders from hundreds of manufacturers into pharmacy-specific deliveries for retail, hospital and alternate-site customers.

Life Science Logistics offers a wide range of customizable solutions, including warehousing, distribution, order-to-cash management, quality assurance and regulatory support. 6. Description of the efforts made to ensure that offers are solicited from as many potential sources as practicable. Indicate whether a FedBizOpps notice was or will be publicized as required by FAR Subpart 5.2 and, if not, which exception under FAR 5.202 applies.

It is unlikely that the ASPR/SNS would receive any benefit from advertising or competing the requirement. Due to the urgent nature of this class of requirements and the uncertainties of the current environment, in accordance with

FAR 5.202(a), exception 2, this requirement will not be synopsized. Complying with the time periods specified for synopsis in FAR 5.203 would seriously injure ASPR/SNS and American Citizens.

Due to the unusual and compelling urgency of this requirement, expedited procedures will be utilized. These are commercial items, therefore in accordance with FAR Part 12 and 13, simplified procedures may be utilized for some actions, including informally requesting quotes via telephone or email, or other electronic means.

When the agency’s need for the supplies or services is of such an unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals, full and open competition need not be provided for.

7. Determination by the Contracting Officer that the anticipated cost/price to the Government will be fair and reasonable.

The Contracting Officer will use appropriate and available information to help assess the proposed price and determine that it is fair and reasonable. Such information may include review of pricing data contained in the GSA Acquisition

Gateway Pricing Portal. The GSA Acquisition Gateway portal captures and provides detailed pricing on federal contracts worldwide. Other information that may be used includes Independent Government Cost Estimates (IGCE), historical information, contractor’s invoice payments and commercial pricing that have been determined to be fair and reasonable. Additionally, the Contracting Officer may review commercial pricing for similar products to determine price reasonableness.

8. Description of the market research conducted (see FAR Part 10) and the results, or a statement of the reasons market research was not conducted.

The contracting officer and SNS Operation Logistics team performed market research utilizing the internet, GSA Advantage, Veterans Administration Schedules, and other GWAC vehicles to determine if vendors could meet the overall requirement. The Market Research revealed that the aforementioned contract vehicles could not meet the demand and response time requirements needed to support the COVID-19 Mission.

Competing this requirement would result in unacceptable time delays in fulfilling the agency's urgent needs in addressing a global pandemic public health emergency and jeopardize ASPR/SNS’ public health mission in a way that would result in unacceptable risks to the health of the general public in the United States. Delays in award of critical contracts would result in serious injury, financial or other, to the Government due to the unacceptable jeopardy that would be posed to the health of the general public.
