JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

Naval Air Warfare Center Aircraft Division (NAWCAD), Lakehurst, NJ

2. Nature and/or Description of the Action Being Approved

This Justification and Approval (J&A) authorizes and approves, on a sole source basis, a Cost-Plus- Fixed-Fee contract for the procurement of Non-Recurring Engineering (NRE), manufacturing, and test support for the Navy Research Laboratory (NRL) P-3 test aircraft to Compass Systems, 21471 Great Mills Rd, Lexington Park, MD 20653 (CAGE Code 08AL5), in order to integrate and test developmental Intelligence, Surveillance and Reconnaissance (ISR) systems for the Maritime Interdiction Development and Support Program. The required engineering include Compass Systems proprietary software to provide timely response to integrate these developmental systems.

3. Description of Supplies/Services

This acquisition will provide developmental ISR payloads and integration into the NRL P-3 test aircraft.

These systems include Radar, Electro Optical / Infrared, Command and Control, Data Link and Processing and Exploitation Software. The tasking includes platform integration design and analysis to meet flight clearance approval. In addition, manufacturing, installation and training support for operation of the systems is also required. Current architecture on the aircraft is centered around the Operational Mapping and Network Intelligence (OMNI) technology which allows rapid prototyping and integration of ISR sensors into a command, control and communications architecture.

This J&A will permit the award for a thirty-six (36) month period of performance, which includes twenty-four (24) months of NRE and twelve (12) months for flight test and engineering assistance during regression testing with the NRL P-3 aircraft. The period of performance for this effort will run through January 2024. The estimated value of this effort is XXXX and will be funded as set forth in the table below.

5. Rationale Justifying Use of Cited Statutory Authority

Compass Systems is the sole designer, developer, manufacturer and owner of the OMNI technology that is a critical part of integrating all these aircraft systems together in a developmental platform. OMNI is currently the existing Command Control, Computers, Communications, Cyber Intelligence Surveillance and Reconnaissance collaboration system on the NRL P-3. OMNI collects precise, long range, standoff, targeting, identification and location capability for collecting and processing critical ISR data. As the sole designer of this software, Compass Systems has the corporate knowledge needed to integrate developmental systems into this platform for the NRL P-3. The Government would incur significant duplication of costs to build a similar capability. This incurred cost is estimated at XXXX based on the software lines of code, procurement of sensors needed to integrate, and the operational experience research that was conducted to bring forth this package, a cost that would not be recovered through competition. In addition, the program would see a schedule impact by at least two (2) years if another party would develop a similar system.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable

In accordance with Defense Federal Acquisition Regulation Supplement 206.302-1, a Sources Sought Notice/Request for Information was posted on the Beta System Award Management (SAM) website on 24 March 2020 for fifteen (15) days and no responses were received by the Government. In accordance with Federal Acquisition Regulation 5.201, this procurement was synopsized on the Beta SAM website on 22 July 2020 and closed on 6 August 2020. There were no responses received.

7. Determination of Fair and Reasonable Cost

In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. An analysis of Compass System’s proposal will be performed by technical analysts and the Contract Specialist, with the assistance of Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) auditors, as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actuals from previous procurements, if applicable. The Contracting Officer will use Government expertise, including DCMA, DCAA, and other Government resources, to evaluate the proposed material, labor and subcontract positions. A detailed report developed as part of the Government evaluation will be utilized to establish a NAVAIR position. As discussed in this paragraph, the Contracting Officer will use cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies and support covered by this J&A.

8. Actions to Remove Barriers to Future Competition

The Government is phasing out the P-3 assets. When a replacement candidate is determined, the Government will integrate that aircraft with a fully open system to keep open competition. At this time, there is no schedule for a replacement aircraft.
