JUSTIFICATION AND APPROVAL (J&A)

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

2. Description of the Action Being Approved

The action being approved is the use of other than full and open competition to award an Indefinite Delivery, Indefinite Quantity (IDIQ) type contract on a sole-source basis to Ultra Electronics, Advanced Tactical Systems Inc., (Ultra Electronics) 4101 Smith School Road, Building IV, Suite 100, Austin, Texas 78744 for the procurement of lifecycle support activities needed to sustain and upgrade the virtual Air Defense System Integrator (vADSI) software application within the Common Aviation Command

Manager (DLM).

3. Description of Supplies/Services

The proposed contract action provides the lifecycle support activities needed to upgrade and sustain the vADSI application within the CAC2S software baseline and requirements. These activities include providing engineering services for software updates to sustain the CAC2S cybersecurity posture and Authority to Operate (ATO), implementing software upgrades to meet emerging requirements, providing associated testing, and providing required software documentation. Additionally, this action accounts for the procurement of software licenses, software maintenance, and modifications to support CAC2S integration onto shipboard platforms and within the Marine Corps Ground Based Air Defense (GBAD) program.

Although vADSI has been modified to meet equirements, the core components of the vADSI were developed and are sustained by the Original Equipment Manufacturer (OEM) at private expense. Ultra Electronics retains exclusive rights needed to modify the vADSI core source code and remains the only source available to provide full software lifecycle support. Thus, the Government has only limited rights in key technical data relating to the software developed or modified to meet the CAC2S requirements. As a result, Ultra Electronics remains the OEM of the ADSI and vADSI commercial off-the-shelf software applications and retains exclusive rights to the vADSI core source code.

Due to the extent of development, integration, and testing of the vADSI application within the CAC2S software baseline, replacement or use of other applications to meet the CAC2S Increment I requirements is not practicable. Award to another contractor or use of an alternative software product would result in duplication of costs that would not be recovered through competition. Additionally, transition to another contractor/product would result in unacceptable delays to meeting the CAC2S software sustainment requirements. The estimated time required to conduct a competition for replacement of the vADSI software, select a source, make engineering changes, modify, test, certify, and field the alternative software, and train personnel on a different application is estimated to be 3 years and would require additional funding. A 3-year delay is unacceptable because it would result in the failure of the data link management function provided by the vADSI software, rendering the CAC2S inoperable. The use of an alternative software product is estimated to cost an increase of over , which includes procurement of new licenses, engineering, logistics updates, developmental tests, operational test, and Joint certification. The of duplicated costs could not be recovered through competition. In addition, during the competition period MCSC would also be required to sustain the current ADSI baseline.

Continued use of the vADSI application within CAC2S will require continued support by the OEM provider, Ultra Electronics, updates are required to reduce cybersecurity vulnerabilities and maintain the CAC2S authority to operate. Additionally, the vADSI application must maintain interoperability with associated information systems as these systems continue to upgrade and refresh over time.
