About this file

This document is a Sole Source Justification for a new Firm Fixed Price contract between the Office of the Secretary of Defense, Defense Microelectronics Activity (DMEA) and Cliosoft, Inc. for annual maintenance and support of Cliosoft SOS Virtuoso software. The contract has a base year and four option years, with the base year valued at $157,142. Cliosoft SOS Virtuoso is proprietary software used by DMEA in their integrated circuit (IC) design flow. Cliosoft is the only vendor that can provide the required software support and maintenance, including a unique "Visual Design Diff" feature that DMEA uses to verify layout and prevent errors in new IC designs. Market research determined Cliosoft was the only vendor with this capability. No actions will be taken to increase competition, as this is a sole source procurement.

DMEA # 23-18

Defense Microelectronics Activity 4234 54th Street, McClellan, CA 95652

SOW/PWS #23-3C3

Sole Source Justification

1. Agency and Contracting Activity: Office of Secretary of Defense, Defense Microelectronics Activity (DMEA).

2. Nature/Description of Action: This is a new Firm Fixed Price contract in the amount of $157,142.00 for a base year and four option years (with pricing TBN) for Cliosoft SOS Virtuoso.

3. Description of Supplies/Services: The Defense Microelectronics Activity (DMEA) uses Cliosoft SOS Virtuoso in the integrated circuit (IC) design flow. Annual maintenance is required through Cliosoft for continuous updates and support for this Cliosoft SOS Virtuoso.

4. Authority Cited:

FAR 13.106-1(b)(1)(i) Soliciting from a single source; 41 U.S.C. 1901.

5. Reason for Authority Cited: Only Cliosoft can provide software support and maintenance for Cliosoft products. Cliosoft products are proprietary, and thus, no one else but Cliosoft can provide the required software support and maintenance. Cliosoft is the only vendor to provide a feature like Visual Design Diff (VDD), which visually highlights different versions of schematic and layout design files. VDD a feature provided by Cliosoft significantly reduces the time to debug errors and/or prevent error laden designs from being manufactured by DMEA. When using existing IP on new products, DMEA has a process requirement using VDD to verify the layout of the IP on new products and prevent mismatches and verify the layouts match will fulfill process requirements. This software is also an annual requirement.

6. Efforts to Obtain Competition: N/A; previously competed under 22-2B3 with award made to Cliosoft via HQ072722P0009

7. Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable.
