About this file
This is a Justification and Approval (J&A) document for use of other than full and open competition issued by the Naval Sea Systems Command Portsmouth Naval Shipyard (PNS) Contracting Division in Kittery, Maine on April 16, 2026.
The document authorizes a sole-source modification to Firm-Fixed-Price Contract N3904025P1011 with Machine Tool Research (MTR) valued at $40,066.00. The modification addresses emergent work discovered during the original contract's period of performance: in-place re-grinding of the headstock spindle tapered bore for an FSN shaft lathe that exhibited excess runout of .0008 inches. Engineering analysis determined this correction is necessary to ensure proper support and machining of submarine drive shafts. The work was not identifiable prior to initial disassembly and evaluation under the original contract. Funding will come from Fiscal Year 2026 Operation and Maintenance, Navy funds (OM&N). The Period of Performance will be extended through May 18, 2026, with a new CLIN 0004 added to complete the headstock repair work alongside the original three CLINs (0001-0003).
The justification for sole-source procurement is based on 10 U.S.C. § 3204(a)(1), citing only one responsible source and no other supplies or services will satisfy agency requirements. MTR is the Original Equipment Manufacturer (OEM) for the FSN shaft lathe and sole owner of proprietary data, specialized equipment, and factory-trained personnel required for this maintenance. The Contracting Officer will determine the final cost as fair and reasonable through price analysis comparison to the Independent Government Cost Estimate and similar tasks under the original contract. The Government acknowledges future dependency on MTR as the OEM for the equipment's life cycle and will continue monitoring MTR's business structure for potential authorized repair facilities that could enable future competition.

J&A No. Ser: 410-008
DATE: April 16, 2026
JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
The Naval Sea Systems Command Portsmouth Naval Shipyard (PNS)
Contracting Division (Code 410), Kittery, Maine.
2. Description of the Action Being Approved.
This Justification and Approval (J&A) authorizes and approves a sole-source modification to Firm-Fixed-Price (FFP) Contract N3904025P1011 with
Machine Tool Research (MTR). This modification is a follow-on to address emergent work discovered during the contract's period of performance. The estimated value of this modification is $40,066.00.
Due to the funding arising after the Period of Performance concluded on this contract to complete the repairs that are needed, The Period of
Performance will be extended on the original three CLINS (0001-0003) to allow for a fourth CLIN (0004) to be created for the additional emergent repair.
3. Description of Supplies/Services.
This action provides for the in-place re-grinding of the headstock spindle tapered bore for the Machine Tool Research (MTR)
. During the execution of the original contract for lathe evaluation and repair, MTR discovered a previously unknown issue: the headstock spindle tapered bore exhibited an excess runout of .0008".
Engineering analysis determined that this condition must be corrected to ensure the proper support and machining of submarine drive shafts. This work was not and could not have been identified prior to the initial disassembly and evaluation performed under the original contract. The estimated value of this new requirement is $40,066.00 and will be funded with Fiscal Year (FY) 26 Operation and Maintenance, Navy funds (OM&N).
Due to a lapse in federal appropriations, funding was received after the initial CLINS expired. As this work is necessary to complete the original scope of work, these CLINS will all be aligned through the 5/18/26 date.
CLIN 0004 will be added to complete the additional FSN Headstock repair.
J&A No. SER: 410-008
4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. § 3204(a)(1) Only one responsible source and no other supplies or services will satisfy agency requirements.
This statute is further implemented by Federal Acquisition
Regulation 6.302-1.
5. Rationale Justifying Use of Cited Statutory Authority.
MTR is the Original Equipment Manufacturer (OEM) for the FSN shaft lathe.
As such, MTR is the sole owner of the proprietary data, specialized equipment, and factory-trained personnel required to perform delicate maintenance on this critical machinery.
The newly required task of re-grinding the headstock spindle in place is an intricate process that is subject to the same proprietary restrictions as the original contract work. MTR is the only vendor with access to the
OEM engineering specifications, processes, and procedures required to perform this work. Utilizing any other vendor without this technical knowledge would create an unacceptable risk of incorrect repairs that could lead to future damage or improper operation.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
Market research was conducted for the original contract award, which identified MTR as the sole source for these services. Due to the proprietary nature of the equipment and the requirement for OEM-specific data and processes, soliciting offers from any other source for this emergent work would provide no tangible benefit to the Government. No other vendor is authorized by MTR to perform this maintenance or has access to the necessary technical data. Therefore, competition for this requirement is not available.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer will determine the final cost of this modification to be fair and reasonable. This will be accomplished by conducting a price analysis of the proposed costs and comparing them to the Independent Government Cost Estimate (IGCE) and the pricing of similar tasks under the original contract.
8. Actions to Remove Barriers to Future Competition.
The Government is dependent on MTR as the OEM for the life of this equipment. For future requirements of this nature, the
Government will continue to be limited to the OEM. The
Government will continue to communicate with MTR regarding any alterations to their business structure in which authorized repairs facilities outside of MTR might be available, however until this is identified future requirements will remain a sole source to MTR.
