Justification and Approval (J&A) for Other Than Full and Open Competition

I. Agency and Contracting Activity.
The contracting organization that is responsible for the proposed contract action is the Air Force Test Center (AFTC), Directorate of Contracting, Specialized Contracting Division, AFTC/PZZ, 5 South Wolfe Avenue, Edwards AFB, CA 93524-1185. The Contracting Officer for this acquisition is Mrs. Melissa Ethridge This is a Justification for Other than Full and Open Competition. The requiring activity is the United States Air Force Test Pilot School (USAF TPS).
II. Nature and/or description of the action being approved.
The proposed contract action will result in a new Firm Fixed Price (FFP),Cost Plus Fixed Fee (CPFF), and Cost Reimbursable (CR) Indefinite Delivery/Indefinite Quantity (ID/IQ) contract to provide Variable Stability In- Flight Simulator and Test Aircraft (VISTA) Support services for USAF TPS. This acquisition will be procured under the purview of FAR Part 6.302-1(a) (2); only one responsible source and no other supplies or services will satisfy agency requirements. The proposed source is: Calspan Corporation, 4455 Genesee Street, Buffalo, New York 14225. Calspan Corporation is a large business with a CAGE Code of 34GD3. The period of performance will be 01 Jul 2022 - 30 Jun 2027. A six-month option will be made available on the acquisition.
The option could be exercised at any time, with the possibility that the requirement could extend from 01 Jul 2027 to 31 Dec 2027, if exercised.
III. Description of supplies/services required to meet agency needs (including the estimated value).
The requirement is to directly support the X-62A VISTA aircraft. The VISTA supports curriculum for the USAF TPS at Edwards AFB, CA, and flight experimentation and research done by TPS.
Support services for the VISTA include: program management, aircraft maintenance, operations, and specific back shop support, curriculum (classroom and flight) support, logistical support, on and off site engineering, safety procedures support, modification and inspection support, flight sciences simulator hardware and software support, hot bench (HIL) and hot bench lite (SIL), Test Management Projects, configuration control and modifications, quality and safety procedures, Special Projects, maintenance of simulations and travel for support and technical advocacy. This support will provide mission essential information and support for the X-62A Variable Stability In-Flight Simulator Test Aircraft (VISTA) and TPS curriculum. The estimated value of the contract is $45,298,057.00 for five (5) years.
This is a non-commercial service effort. Support will include the following:
CLIN 0001 - VISTA Support Services Anticipated support for Project Management (1), Pilots (2), Engineer Support (2), Aircraft Maintenance (6), Aircraft Operations Support (2 additional MX support for new IDIQ contract), Back shop Support, Curriculum Support, Logistical Support, Safety Procedures Support, Modification and Inspection Support, all VISTA simulation support to include: Hot Bench, Hot Bench Lite, Researcher's Development Kit, and DAST maintenance and support.
CLIN 0002 - Unique Support Unique support/overtime/misc-expendable equipment. Overtime charges for support from CLIN 0001 labor categories. Misc-expendable equipment will be for equipment purchases to support the VISTA aircraft as well as simulator lab support, such as tool boxes, wiring and connectors, specific computer equipment to support VISTA or the simulator laboratory.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
The market research effort failed to identify another source capable of satisfying this requirement, as Calspan Corporation owns a portion of the VSS proprietary data to support the government requirement for VISTA. Alternate sources / substitutes do not exist in the industry, based on the rationale provided in other paragraph sections of this document. A comprehensive market research report is available upon request.
IX. Any other facts supporting the use of Other Than Full and Open Competition.
The Variable Stability System is proprietary to Calspan Corporation. The costs to obtain this data are prohibitive.
The Government requested a ROM for the data rights in Jan 2022. Calspan responded to the Government's request, stating that although the data rights are not for sale, they estimate the value of the source code, hardware drawings, and data rights for the VISTA Simulation System (VISTA VSS) at . At this time, the amount quoted is not a feasible amount for the Government to purchase the data rights. Special Projects to support the school's curriculum will be identified in Task Orders on a case by case basis. The lack of adequate acquisition data to provide for full and open competition does form the basis for this justification. Because of the conditions cited in paragraph V., full and open competition is not practical or in the best interest of the Government.
X. List of any sources that expressed, in writing, an interest in the acquisition.
See Section VI above.
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
The TPS Program Office will continue to monitor the industry through trade journals, technical symposia, and contacts with industry representatives to evaluate changing contractor capabilities and new offerings to determine if they have the capabilities to meet Government requirements. Future requirements will be synopsized as applicable and market surveys will be conducted as practical to determine feasibility of competition.
The requirements of the USAF TPS in the area of engineering, documentation, logistic support and special projects, are critical and mission essential to support the curriculum established for test pilot training.
Attempts to overcome competition were conducted via industry inquiry on a sources sought synopsis posted on FBO, as specified in paragraph VIII of this J&A. No responses, other than the incumbent, were technically acceptable.
As the manufacturer of the VSS Calspan has evolved the NF-16D VISTA, into a one-of-a-kind research aircraft. Calspan is the only company that has the intellectual property rights to support VISTA.
