About this file
This is a Justification and Approval (J&A) for non-competitive procurement submitted by the Naval Sea Systems Command, Surface Systems Contracts Division (SEA 025) for the Department of the Navy.
The J&A requests approval to modify existing contract N00024-22-C-5520 on a sole-source basis to increase Level-of-Effort (LOE) and Other Direct Costs (ODC) for Fiscal Years 2026 and 2027. The contractor is Northrop Grumman Systems Corporation (NGSC) located in Lithium Heights, Maryland. The modification supports Surface Electronic Warfare Improvement Program (SEWIP) Block 3 Design Agent functions, specifically providing engineering support for the Electronic Warfare (EW) system and Electronic Attack (EA) subsystem of the AN/SLQ-32(V)7 system. Required services include Technical Data Package (TDP) management, obsolescence management, software troubleshooting and baseline updates, system engineering support, software development and modification, hardware design and modification, installation support, integration support, safety support, test support, logistics product data updates, and system configuration management. The estimated dollar value and funding breakdown are redacted in the document. The statutory authority for sole-source award is 10 U.S.C. 3204(a)(1), justified on the basis that NGSC is the only responsible source capable of satisfying Navy requirements without causing unacceptable delay. The Government determined that award to any other source would result in delays of at least eighteen months and would prevent critical software fixes and performance improvements required to support fleet fielding schedules. The J&A notes that the Government has pursued competitive alternatives, including releasing an industry Source Sought Notice on December 18, 2023, conducting industry days on April 1, 2024 and February 27, 2025, and is developing a SEWIP Family of Systems (FoS) Indefinite Delivery Indefinite Quantity (IDIQ) Multiple Award Contract (MAC) under full and open competition with planned release and award dates redacted. The proposed sole-source modification was synopsized on November 20, 2025, with no responses received. The document is marked as Controlled Unclassified Information (CUI) with Limited Dissemination Control (FEDCON).

J&A Number: 55,602 significant infrastructure investments in order to be competitive for high complexity Design Agent engineering delivery orders.
Since receiving industry feedback, the Government has taken action to reduce these barriers to competition. Further accelerating the SEWIP FoS IDIQ MAC and first delivery order award dates for SEWIP Design Ag ot feasible. The Government cannot delay award of a new • I • I I , •
Design Agent contract nd meet the Navy's current fielding plans.
The proposed sole source contract modification was synopsized on 20 November 2025 and no responses were received.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated cost to the Government for the supplies/services covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers to Competition
The Government has unlimited data rights to all technical data for the SEWIP Block 3, the EA subsystem of the larger AN/SLQ-32(V)7 system.
Based on market research and industry feedback, the Government has taken action to reduce barriers to competition and is moving forward with the SEWIP FoS IDIQ MAC, under full and open competition. The Government has held industry days and conducted industry one-on-one meetings to better align award expectations. Additionally, the Government has released a draft RFP and is maintaining a GFI library, allowing industry to familiarize itself with the TDP. If further market research demonstrates that there are portions of requirements that cannot be reasonably competed, the Government may pursue awarding multiple contracts to allow for competition of as many requirements as possible, while reducing the scope of future sole source awards.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DF ARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DF ARS PGI 206.304(a)(S-70)(ii).
