About this file

This is a Justification for Other than Full and Open Competition for an emergency bridge contract. The General Services Administration (GSA) Public Buildings Service is awarding a sole-source, firm fixed-price contract to Kleane Kare Team LLC (incumbent contractor) for janitorial and related services at the Sioux City Federal Building and US Courthouse, located at 320 6th Street, Sioux City, Iowa 51101. The contract period runs from April 1, 2026 through March 31, 2027 (approximately one year), with an estimated value of $254,400.36 ($21,200.03 monthly). The pricing was calculated by adding 10 percent to the current six-month extension monthly rate of $19,272.75 to account for anticipated Consumer Price Index increases and procurement risk. The bridge contract contains no additional option periods.

The justification cites RFO 6.103-2 (Unusual and Compelling Urgency) and 41 U.S.C. 3304 as statutory authority for the noncompetitive procurement. GSA determined that sole-source award to the incumbent is necessary because the current contract (47PG0120D0003) expires October 1, 2025, and ongoing revisions to PBS's national scope of work prevent timely issuance of a competitive solicitation. The procurement team requires a minimum of six months from receipt of the finalized scope to issue an award, with anticipated award date of February 1, 2027 for the subsequent competitive procurement. Only the incumbent contractor has the ability to continue services without requiring additional site visits, employee phase-in, and equipment setup. GSA will post the justification to the Government Point of Entry within 30 days of award and will conduct the re-procurement using full and open competition with set-asides for small business concerns on sam.gov during the bridge contract performance period. No market research was conducted, and no sources expressed written interest in this acquisition.

Emergency Bridge Contract

Janitorial and Related Services

Sioux City Federal Building and US Courthouse 320 6th Street Sioux City, IA 51101

Justification for Other than Full and Open Competition

RFO 6.103-2, Unusual and Compelling Urgency

Nature and/or description of the action being approved.

This justification is for an emergency, sole source bridge contract to provide janitorial and related services at the aforementioned location for a period of approximately 1-year, with services April 1, 2026 through March 31, 2027.

This bridge contract will be a firm fixed-price, commercial item, performance-based contract, and will contain no additional option periods.

Description of the supplies or services required to meet the agency's needs (including the estimated value).

The General Services Administration (GSA) has determined there is a continued need for the provision of janitorial and related services at the subject location.

The Contractor shall provide all management, supervision, labor, materials, supplies and equipment necessary to provide custodial and related services as described herein. The Contractor shall plan, schedule, coordinate, and assure effective performance of all services. The contractor will provide janitorial and related services in accordance with the requirements of the solicitation.

Period of Performance for Bridge Contract: April 1, 2026 - March 31, 2027

Estimated Value of Bridge Contract: *$254,400.36 ($21,200.03/month)

*This value was calculated by adding 10% to the current six month extension monthly price ($19,272.75). GSA believes 10% is a fair estimate considering that the Consumer Price Index increased 25% over the last 5 years according to data from the Bureau of Labor Statistics. Therefore, it is reasonable to assume the CPI will increase 5% over the next year plus the added risk of 5% due to the urgency of the emergency sole source procurement.

Statutory authority permitting other than full and open competition.

RFO 6.103-2, Unusual and Compelling Urgency 41 U.S.C. 3304, Use of Noncompetitive Procedures

Demonstration the nature of the acquisition requires use of the authority cited.

The current contract (47PG0120D0003) for janitorial and related services with Kleane Kare Team LLC (KKT) expires on October 1, 2025. The procurement team intends to issue a six month extension per FAR 52.217-8 to ensure continuity of services and allow enough lead time for a new procurement. Procurement planning for the new contract was underway but is now on hold due to ongoing revisions to PBS's national scope of work. Until a definitive scope of work is finalized, the procurement team is unable to proceed with soliciting bids or issuing an award.

It is anticipated that the new national scope of work will be issued before the start date of the bridge contract, but too late to practically issue a solicitation, evaluate offers, determine fair and reasonableness, issue award, and begin https://www.bls.gov/data/inflation_calculator.htm transition services. The procurement team would need six months at minimum to issue an award from the time of receiving the new scope of work. Once the scope of work is received, the team will resume procurement activities with an anticipated award date of February 1, 2027 for services to start April 1, 2027.

This unavoidable delay necessitates the swift issuance of a bridge contract to the incumbent contractor to ensure uninterrupted janitorial and related services at the Sioux City Federal Building and US Courthouse. Given the uncertain timeline for receiving the new scope of work, a sole-source procurement, under the authority of RFO 6.103-2, Unusual and Compelling Urgency, represents the only viable course of action to maintain critical services without interruption.

Efforts made to ensure that offers are solicited from as many potential sources as is practicable,_ including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under 5.202 applies.

Due to the circumstances under which this bridge contract is required, it is impracticable for the Government to request offers from as many potential sources as possible (see above). Only the incumbent vendor has the ability to continue services without the need for additional site visits, interstate travel, and phase-in of new employees, equipment, and other items necessary to provide the requested services.

No synopsis is required for this contract action in accordance with the exception identified under RFO 5.3. This bridge contract must be awarded as soon as possible, which does not give the Government time to comply with the time periods specified in RFO 5.3. By synopsizing the requirement, the Government would be seriously injured as required services would not be offered at the Sioux City Federal Building and US Courthouse for an extended duration.

However, in accordance with 41 U.S.C §3304 and RFO 6.104 the justification for non-competitive procedures will be posted to the Government Point of Entry (GPE) within 30 days of award of the bridge contract.

Determination that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer has determined the anticipated cost of this bridge contract to be fair and reasonable. The determination is based on the following facts: (1) this bridge contract is being issued to the current janitorial vendor who is familiar with the building and the scope of work and has a track record of good past performance and reasonable pricing; (2) the Government developed an IGE which accounts for the unusual nature of this bridge contract; and (3) the labor rates for productive personnel are set by the Department of Labor Wage and Hour Division and are applicable to all Service Contract Labor Standards Act. These factors allow the Contracting Officer to determine the cost for this bridge contract to be fair and reasonable.

A description of the market research conducted.

No additional market research has been conducted for this bridge contract.

Any other facts supporting the use of other than full and open competition.

As stated above, the procurement team does not have the necessary documents (a finalized scope of work) to issue a solicitation and award using RFO Part 15 procedures. Therefore, an extension to the current contract followed by a one-year bridge contract is essential for ensuring continuity of services.

Failure to award this bridge contract will lead to an immediate cessation of all janitorial services at the Sioux City Federal Building and US Courthouse. This lapse will have a severe and detrimental impact on the cleanliness and overall health of the building, rendering it unfit for tenant occupancy and directly violating our occupancy agreements with vital tenant agencies. The consequences of a lapse include critical delays in essential services such as trash removal, restroom sanitation, floor maintenance, window cleaning, and snow removal, posing significant health and safety risks.

A listing of the sources, if any, that expressed, in writing, an interest in the acquisition.

N/A

A statement of the actions, if any , the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required.

The re-procurement of janitorial and related services for the Sioux City Federal Building and US Courthouse will be posted to contract opportunities at sam.gov, using full and open competition after exclusion of sources in accordance with RFO 6.102-2, set-asides for small business concerns. This re-procurement will be conducted during the period of performance of this bridge contract and will be conducted in accordance with the GSA Procurement Instruction Bulletin (PIB) 15-01, which will provide ample time for small business participation. Based on prior market research sources sought submissions, we anticipate this solicitation will attract enough qualified small businesses to determine price reasonableness.

I, Thomas Prince, Contracting Officer, hereby certify that this justification is accurate and complete to the best of my knowledge and belief.
