COST AND BILLING PROCEDURE

See IPRO. Download the Excel spreadsheet titled “Bid Schedule” found in the Question Section of the related ITB on IPRO. Complete the spreadsheet, upload it back into the appropriate Question Section on IPRO.

Part 1. COST:

The Contract resulting from this ITB will be a FIXED UNIT COST/INDEFINITE QUANTITY with COST REIMBURSEMENT Contract. The Department will pay up to the total amount as outlined in the matrices proposed by the successful bidder for all goods and services satisfactorily delivered and completed under the Contract for each year of the Contract.

The Bidder must provide a fully-burdened rate which must include, but not be limited to, all operating and personnel expenses, such as: overhead, salaries, administrative expenses, profit, supplies, implementation and quality control.

The cost matrix located on the Bid Schedule includes the Department’s best estimate of number of units for one (1) year and is not to be considered a guarantee of actual number of units to be experienced under the Contract. Estimated quantities are for evaluation and award purposes, based on the Department’s best estimate, and are not binding on the Department.

In the cost matrix, Bidders must enter the cost per unit in the column labeled “Cost Per Unit.” If there is no cost to the Department, enter a zero (0) in the box. The “Estimated Number of Units” will automatically be multiplied by the Cost Per Unit and entered into the Total Cost of Service column.

In the Parts Budget, Bidders must enter the percent markup in the column labeled “Percent (%) Mark Up.” The formula will automatically multiply the “Estimated Parts Cost” by the “Percent (%) Mark Up” and the result will show in the “Cost of Percent (%) Markup. The “Total Parts Cost” is the sum of the “Estimated Parts Cost” and the “Cost of Percent (%) Markup”, (Example: 5% x $10,000.00 = $500.00 = $10,500.00). The sum of the column “Total Cost of Parts” will appear on the line for “Total One (1) Year Parts Budget Total”.

This is the total amount bid for all goods and services satisfactorily delivered under the Contract for one (1) year of the initial three (3) year term.

All Bidders must utilize the Cost Matrix and Parts Budget to submit their cost proposal. Bidders must not alter or change the format of the matrices, the estimated number of units or the estimated dollars. Bids not complying with this requirement will be found non-responsive and will receive no further consideration for an award.

There will be no Administrative Fee to the Contract Purchase Order (CPO) resulting from this solicitation per Paragraph 5 of the State of Idaho Standard Contract Terms and Conditions.

The Cost Per Unit rates quoted must remain fixed for the initial term. The Department may consider rate negotiations at the time of the Contract’s renewal, based on verifiable cost increases submitted by the Contractor and approved by the Department. Any such changes will be formalized in a signed amendment to the Contract.

Part 2. Billing Procedure:

The Contractor must provide a completed invoice with itemized parts and labor pricing at the time the vehicle is returned to the Department facility. The Contractor must provide an invoice for each vehicle detailing services provided and submit with the Monthly Statement of Invoices. All services over two hundred dollars ($200) MUST have a pre-approved Work Order.

1. The invoice must be signed by an authorized Department employee acknowledging receipt of the vehicle and services.

2. The invoice must consist of an original and one (1) copy which will be distributed with the Department receipting signature as follows:

a. Original from Contractor must be submitted with a Monthly Statement of Invoices; and

b. One (1) copy to be provided to the Department’s designated Car Coordinator when the vehicle is returned to the Department facility as noted above.

The Contractor must provide the following information with each invoice:

1. Contract number.

2. Plate number of each vehicle.

3. Identification of billing period.

4. Total amount billed for the billing period detailed by vehicle.

5. Detailed description of services/products provided and associated number of hours/dollar amounts, as appropriate.

6. If requested; an invoice from the Contractor’s supplier showing actual cost of any and or all parts billed on any Work Order.

7. Vehicle mileage recorded by Contractor on invoice at time of service.

8. Contractors name, address and contact information.

Invoices and reports are to be submitted to: [INFORMATION WILL BE PROVIDED IN THE RESULTING CONTRACT]

The final invoice must be submitted to the Department no later than thirty (30) calendar days after Contract expiration. Final invoices received without backup/supporting documentation or with errors will be returned to the Contractor for resubmission.

If coverage is not available on an occurrence basis, coverage must be provided on a claims-made basis. For claims made policies the retroactive date must be shown and must be before the date of the Contract or the beginning of Contract work; insurance must be maintained and evidence of insurance must be provided for at least five (5) years after completion of the Contract of work; if coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a retroactive date prior to the contract effective date, the Contractor must purchase “extended reporting” coverage for a minimum of five (5) years after completion of Contract work.

State of Idaho as Additional Insured: The liability insurance coverage required for performance of the Contract shall include the State of Idaho, the (agency) and its divisions, officers and employees as additional insured, but only with respect to the Contractor's activities to be performed under this Contract.

The Contractor must provide proof of the State of Idaho, the (agency) and its divisions, officers and employees being additional insured by providing endorsements to the liability insurance policies showing the State of Idaho, the (agency) and its divisions, officers and employees as additional insured. The endorsements must also show the policy numbers and the policy effective dates.

If a liability insurance policy provides for automatically endorsing additional insured when required by Contract, then, in that case, the Contractor must provide proof of the State of Idaho, the (agency) and its divisions, officers and employees being additional insured by providing copies of the policy pages that clearly identify the blanket endorsement.

Notice of Cancellation or Change: Contractor shall ensure that should any of the above described policies be cancelled before the expiration date thereof, or if there is a material change, potential exhaustion of aggregate limits or intent not to renew insurance coverage(s), that written notice will be delivered to the Division of Purchasing (if the Contract was issued by the Division) or to the Purchasing Activity (contracting state agency) in accordance with the policy provisions.

Contractor shall request that all policies of insurance are endorsed to read that any failure to comply with the reporting provisions of this insurance, except for the potential exhaustion of aggregate limits, shall not affect the coverage(s) provided to the State of Idaho, and its divisions, officers and employees.

Acceptable Insurers and Deductibles: Insurance coverage required under the Contract shall be obtained from insurers rated A-VII or better in the latest Bests Rating Guide and in good standing and authorized to transact business in Idaho. The Contractor shall be financially responsible for all deductibles, self-insured retention's and/or self-insurance included hereunder. The coverage provided by such policy will be primary to any coverage of the State on or related to the contract and shall provide that the insurance afforded applies separately to each insured against whom a claim is made, except with respect to the limitation of liability.

Waiver of Subrogation: All policies shall contain waivers of subrogation. The Contractor waives all rights against the State and its officers, employees, and agents for recovery of damages to the extent these damages are covered by the required policies. Policies may contain deductibles but such deductibles will not be deducted from any damages due to the State.

Prior to performing any services, the Contractor must provide certificates of insurance to the Department. The Contractor is also required to maintain current certificates on file with the Department and to provide updated certificates upon request. Failure to provide the required certificates of insurance shall constitute a default under this Contract and upon such failure the Department may, at its option, terminate the Contract. Insurance required by this section must be policies or contracts of insurance issued by insurers approved by the Department. Should any of above described policies be cancelled before the expiration date thereof, notice must be delivered in accordance with the policy provision.

The Purchasing Authority may accept a price increase during a term or upon renewal as provided in Contract or upon submission of evidence by Contractor that Contractor’s costs have increased by causes beyond the control and without the fault or negligence of Contractor, and that Contractor could not have included in its offered price because they were unforeseeable or because the Solicitation did not contemplate future pricing.

1.4. Termination and Remedies

1.4.1. Termination for Contractor Default. The State may terminate the Contract, any order issued pursuant to the Contract, or both when the Contractor has been provided written notice of default or non-compliance and has failed to cure the default or non- compliance within a reasonable time, which time shall be determined in the sole discretion of the Purchasing Authority. If the default or non-compliance is not capable of cure or if the cure requires more than thirty (30) calendar days, the Purchasing Authority may provide notice of termination without a cure period. The State shall not be required to provide advance written notice or a cure period and may immediately terminate this Contract in whole or in part if the State, in its sole discretion, determines that it is reasonably necessary to preserve public safety or prevent immediate public crisis. These remedies are cumulative to the extent the remedies are not inconsistent, and the State may pursue any remedy or remedies singly, collectively, successively or in any order whatsoever.
