The parties agree as follows:
1 Statement of Work Contractor shall provide the services described in the Statement of
Work attached as Exhibit A (the “Services”).
2 Consideration
2.1 As payment in full for the Services and subject to the terms of this contract, SAIF shall pay Contractor as set forth in Exhibit A. SAIF shall reimburse Contractor for travel-related and other expenses only to the extent provided in Exhibit A.
2.2 SAIF is not required to pay Contractor for any Services, unless the Services are complete, conform to the specifications in the Statement of Work and otherwise conform to the warranty and other terms of this contract.
2.3 The maximum, not-to-exceed amount payable to Contractor under this contract is $
<<Maximum Payment>>. Contractor shall not submit invoices for, and SAIF is not required to pay, any amount in excess of this amount, unless the contract is amended to permit additional compensation. If this maximum amount is increased by amendment of this contract, the amendment must be signed by both parties before Contractor performs any Services subject to the amendment.
3 Term This contract is effective when it has been signed by both parties and expires on
<<Contract End Date>>, unless otherwise extended under section 17 or terminated under section 12 or section 15.
4 Confidentiality
4.1 Contractor shall protect confidential information from unauthorized disclosure and use. “Confidential Information” means any information about an injured worker, a SAIF-insured employer, a SAIF employee or SAIF’s information and security systems obtained by

The limited disclosure right granted in the preceding sentence does not constitute a grant of ownership or license rights in any Confidential Information.
4.2 Contractor acknowledges that the disclosure by Contractor of any confidential information will immediately give rise to continuing irreparable injury to SAIF and others that is inadequately compensable in damages at law. Accordingly, and without prejudice to any other remedy available to SAIF, SAIF may seek injunctive relief for Contractor’s disclosure of confidential information.
4.3 Contractor’s obligations with respect to confidentiality survive termination of the contract.

Contractor must ensure its staff is trained annually in the proper use of personal protective equipment, and safe materials handling.
Contractor shall schedule all Services in advance with SAIF’s Facilities Services

Examples of prohibited products implicated in this policy include, but are not limited to, cigarettes, cigars, pipes, e-cigarettes, vaporizers, and smokeless tobacco.
Contractor and Contractor’s employees shall not use SAIF’s telephones for personal use except in the event of an emergency.

• Only use the ADA (Americans with Disabilities Act) door operator, when necessary, not as a tool of convenience.
Contractor’s employees or agents, while on SAIF premises, must wear a SAIF-issued vendor identification badge, or an item of clothing or apparel that clearly identifies the name of the Contractor’s business (e.g. hat, shirt, coat, or company uniform).

Contractor Employees. Contractor agrees to allow SAIF to audit Contractor’s criminal background check process to ensure compliance with this section. Additionally, all
Contractor Employees have the responsibility to self-disclose any of the criminal conviction types noted above that occur during this contract. Any such disclosures must occur within three business days of the conviction. Failure of the Contractor to comply with the terms of this section shall be a material breach of the contract, and may result in the immediate termination of this, or any other, contract with SAIF.

COVID Protocol
Esteemed SAIF vendors and business partners:
As COVID-19 continues to affect our daily lives, SAIF extends its deepest sympathies to anyone who the virus has impacted negatively, either directly or indirectly. Along these lines, as a leader in Oregon Workers’ Compensation Insurance, SAIF strives to protect the health and safety of our employees, policyholders, and business partners. SAIF is proud of the steps we have taken to protect one another and our customers from COVID-
19 exposure. Unfortunately, it remains a top priority that these efforts continue.
In this regard, it is paramount that SAIF vendors and business partners do not visit SAIF facilities in person if you or an employee are feeling ill, exhibiting symptoms from, or similar to, COVID-19, or have recently tested positive for COVID-19. Likewise, if you or one of your employees has tested positive for COVID-19 after a recent in-person visit to
SAIF facilities, or with SAIF employees, it is essential that you immediately notify SAIF of the positive result so that we can take the necessary precautions to avoid further spread of COVID-19.
Thank you for your concern and cooperation. By working together, we can help diminish the spread of COVID-19 and limit the deleterious effects of its associated symptoms and illness.
Feel free to contact us with any questions or concerns. SAIF greatly appreciates your services and cooperation.
