About this file

This Insurance Requirements Exhibit, revised April 9, 2025, establishes mandatory insurance coverage specifications for contractors performing work with the City of Palo Alto, California. The City of Palo Alto seeks multiple vendors to supply sand, compost, top dressing mix, baseball infield mix, and decomposed granite on an as-needed basis for parks operations. A blanket purchase order will be issued to the lowest bidder for an initial one-year term with two optional one-year renewal periods. Material quantities are estimated and subject to significant variation from bid quantities. All contractors must obtain and maintain comprehensive insurance coverage throughout the contract term, including workers' compensation, employer's liability, general liability with minimum limits of $1,000,000 per occurrence and aggregate, automobile liability with equivalent limits, and professional liability insurance with $1,000,000 in all damages coverage. Insurance carriers must maintain an AM Best's Key Rating of A-:VII or higher and be licensed to transact business in California. The City of Palo Alto must be named as an additional insured on all policies except workers' compensation, employer's liability, and professional insurance.

Pricing shall include all applicable fees, transportation, delivery, freight charges, fuel charges, environmental fees, and incidentals necessary to fulfill the contract requirements, with no additional fees permitted. Initial pricing is firm for the contract term, with noted pricing for years two and three of optional renewal periods. The City will consider annual price adjustments to specific products or in aggregate based on Consumer Price Index changes, economic climate, and market conditions, provided that adjustment requests include manufacturer-provided written justification and are submitted at least 120 days prior to contract term expiration, with increases not to exceed five percent annually. Contractors must submit certificates of insurance evidencing required coverage to PurchasingSupport@PaloAlto.Gov and must provide the City with 30 days' written notice of policy cancellation for any reason other than non-payment of premium, or 10 days' notice if cancellation results from non-payment. Award is contingent on full compliance with all insurance requirements.
