INTRODUCTION AND BACKGROUND INFORMATION SECTION

Introduction:

Purpose: This document constitutes a request for competitive, sealed proposals for the provision of consulting services for the Department of Commerce and Insurance (hereinafter referred to as “state agency”) of Missouri licensed insurance companies in the areas of Accounting, Auditing, and Financial Examination; Investments; Reinsurance; Actuarial Review; Information Technology as set forth herein.

Minimum Experience Qualifications: There are minimum experience qualifications in the RFP (See Section 2.2, Minimum Experience Requirements in Section 2: Scope of Work).

Titles: Titles of paragraphs used herein are for the purpose of facilitating reference only and shall not be construed to infer a contractual construction of language.

Background and Historical Usage Information:

The Department of Commerce and Insurance (DCI) is statutorily responsible for the financial examination and regulation of domestic life and health and property and casualty insurance companies.

On occasion, DCI needs to utilize external specialists to perform services or evaluate insurance company financial transactions where DCI does not have adequate resources or expertise to perform these services or evaluations. The contracts awarded as a result of this RFP will be used to accomplish this goal. These services may or may not be performed in conjunction with a financial examination of an insurer.

For purposes of this solicitation, the property and casualty, reciprocal, life and health, fraternal, and prepaid dental insurance companies, health maintenance organizations, rating organizations, advisory organizations, title companies, and other miscellaneous licensed entities identified herein shall be referred to as “insurance companies”.

For information purposes, the type of services that may fall under the Reinsurance category are work that would entail the examination and/or analysis of an insurer’s reinsurance program in accordance with the requirements of the National Association of Insurance Commissioners’ (NAIC) Accounting Practices and Procedures Manual and Missouri statutes and regulations.

Current Contract Information:

Current contracts exist for the products and/or services being obtained via this RFP. A copy of the contracts can be viewed and printed from the Division of Purchasing Awarded Bid & Contract Document Search System located on the Internet at: https://purch.oa.mo.gov/bidding-contracts/awarded-bid-contract-document-search. In addition, all proposal and evaluation documentation leading to the award of the contracts may also be viewed and printed from the Division of Purchasing’s Awarded Bid & Contract Document Search System. Be sure to read the information provided in the site information and disclaimer links: https://mapyourtaxes.mo.gov/MAP/Help/MapExpendituresHelp.htm and https://mapyourtaxes.mo.gov/MAP/Help/MapExpendituresHelp.htm#disclaimer. Then search by the contract numbers shown above when searching for the financial information.

RFP Questions:

Buyer is Single Point of Contact for Solicitation: Vendors and their agents (including subcontractors, employees, consultants, or anyone else acting on their behalf) must direct all of their questions or comments regarding the RFP, the evaluation, etc., to the buyer indicated on the first page of this RFP. It is preferred that questions be emailed to the buyer.

Except as noted herein, vendors and their agents are instructed not to contact any other state employee regarding any of these matters during the solicitation and evaluation process. Inappropriate contacts are grounds for suspension and/or exclusion from specific procurements. Vendors can be sanctioned for unauthorized contact with any evaluator under 1 Code of State Regulation (CSR) 40-1.060(8)(G) and (H) available at http://www.sos.mo.gov/adrules/csr/csr.asp.

Minority Business Enterprise/Women Business Enterprise (MBE/WBE) and Service Disabled Veteran Enterprise certification or subcontract questions should be directed to the Office of Equal Opportunity (OEO) at http://oeo.mo.gov.

Vendor is Responsible for Asking Questions About the RFP: It is the vendor’s responsibility to ask questions, request changes or clarifications, or otherwise advise the Division of Purchasing if the vendor believes that any language, specifications, or requirements are: (1) ambiguous, (2) contradictory or arbitrary, (3) violate any state or federal law or regulation, (4) restrict or limit the requirements to a single source, or (5) restrict or limit the vendor’s ability to submit a proposal.

Vendor Question Deadline: Every attempt shall be made to ensure that the vendor receives an adequate and prompt response. However, in order to maintain a fair and equitable procurement process, all vendors will be advised, via the issuance of an amendment to the RFP, of any relevant or pertinent information related to the procurement. All questions and issues should be submitted no later than ten (10) calendar days prior to the proposal closing date and time of the proposals. If not received prior to ten (10) calendar days before the proposal closing date and time, the Division of Purchasing may not be able to fully research and consider the respective questions or issues.

State’s Response to Vendor Questions: Upon the Division of Purchasing’s consideration of questions and issues, if the Division of Purchasing determines that changes are necessary, the resulting changes will be included in a subsequently issued RFP amendment(s); absence of such response indicates that the questions and issues were considered but deemed unnecessary for an RFP amendment. All vendors will be advised of any change to the RFP’s language, specifications, or requirements by a formal amendment to the RFP. There will be no posted written records of the questions/communications (i.e., formal question/answer document).

RFP is State’s Only Official Position: The only official position of the State of Missouri shall be that which is contained in the RFP and any amendments thereto.

Amendments:

If the Division of Purchasing determines that changes to the RFP are necessary, the resulting changes will be included in a subsequently issued RFP amendment(s) prior to the proposal closing date and time.

The written request must include the reason for the modification and must detail the contractor’s proposed changes to the letter of engagement, including any resulting changes in the timeline, amount to be paid to the contractor, and any other changes. The contractor shall agree and understand that the state agency will review the written request of the contractor and the contractor shall be notified in writing by the state agency of approval or disapproval of the request.

0. The contractor shall agree and understand that the state agency shall have the final approval of all individual components of the revised letter of engagement as specified herein and reserves the right to require modifications, including changes in the price, completion date, and any other changes, deletions, and/or additional elaboration to the written letter of engagement. The contractor shall agree and understand that the decision by the state agency shall be final and without recourse.

0. The contract and the request for letter of engagement shall govern in the event of a conflict between the contractor’s letter of engagement and the contract or the contractor’s letter of engagement and the request for letter of engagement.

0. The contractor shall not proceed with implementation of services related to the modifications until final written approval of the state agency is obtained.

Termination of Letter of Engagement - The state agency shall have the right to terminate any consulting service project at any time at the sole discretion of the state agency, without penalty or recourse, by giving written notice to the contractor at least five (5) working days prior to the effective date of such termination. In the event of termination pursuant to this paragraph, all documents, data, reports, and accomplishments prepared, furnished, or completed by the contractor pursuant to the terms of the contract shall, at the option of the State of Missouri, should be returned to and become the property of the State of Missouri. The contractor shall be entitled to receive just and equitable compensation, at the firm, fixed hourly rate specified on the Pricing Page, for work completed in accordance with the letter of engagement prior to the effective date of the termination.

· The contractor must also provide the state agency with a narrative summary of the detailed assumptions supporting such report or the contractor’s findings.

The state agency shall have the right to modify and require additional elaboration of the final report as it deems necessary to ensure a comprehensive and thorough written report of all services provided and work performed in the completion of the consulting service project.

The contractor shall be available to verbally discuss the final report with state agency personnel or other persons or organizations as deemed necessary by the state agency.

Miscellaneous Requirements:

The contractor shall ensure that there is no real or perceived conflict of interest with any insurance company or organization on which the contractor may be requested to perform reviews at any time throughout the effective period of the contract.

0. Immediately following contract award, the contractor shall provide to the state agency a complete list of those insurance companies and organizations for which there exists a real or perceived conflict of interest or for which the contractor has any reason to believe that a conflict of interest, either real or perceived, may exist.

The contractor must keep such list updated and current at all times throughout the effective period of the contract.

0. With sufficient justification, the contractor may refuse to provide services related to a specific insurance company. However, the state agency shall make the final determination as to what constitutes sufficient justification.

Other Requirements:

Contract Monitoring: The state agency reserves the right to monitor the contract throughout the effective period of the contract to ensure financial and contractual compliance. If the state agency determines the contractor to be at high-risk for non-compliance, the state agency shall have the right to impose special conditions or restrictions. Written notification will be provided to the contractor of the determination of high-risk and of any special conditions or restrictions to be imposed. The special conditions or restrictions may include, but are not limited to, those conditions specified below:

Requiring additional, more detailed financial reports or other documentation;

Additional contract monitoring;

Requiring the contractor to obtain technical or management assistance; and/or

Establishing additional prior approvals from the state agency.

Records: The contractor must maintain financial and accounting records and evidence pertaining to the contract in accordance with accepted standard accounting principles or International Financial Reporting Standards (IFRS).

Once annually, or otherwise as reasonably required by the state, the contractor shall make all such records, books, and other documents relevant to the contract available to the state, its designees, and the Missouri State Auditor in a commercially reasonable format acceptable to the state at all reasonable times during the term of the contract and for five (5) years after the cancellation, expiration, or termination of the contract or for any longer period of time required by law. The state will provide a minimum of fourteen (14) calendar days’ notice and will coordinate with the contractor regarding the scope of the audit.

If any litigation, claim, negotiation, audit, investigation, or other action involving the records has been started before the expiration of the five (5) year period, the contractor shall retain the records until completion of such action and resolutions of all issues that arise from it or until the end of the regular five (5) year period, whichever is later.

If the state agency is subject to any litigation, claim, negotiation, audit, or other action involving the records, the state agency will notify the contractor in writing to extend the contractor’s retention period.

The contractor shall permit the Missouri State Auditor’s Office, federal auditors and authorized representatives of the State of Missouri to perform an independent audit or examine, copy, or investigate any of the contractor’s records, procedures, books, documents, papers, and records recording receipts and disbursements of any of the funds paid to the contractor only for services performed under the contract. Failure to retain adequate documentation for any service billed may result in recovery of payments for services not adequately documented. Any audit exception noted by auditors shall not be paid by the state and shall be the sole responsibility of the contractor. However, the contractor may contest any such exception by any legal procedure.

The state shall not designate any individual, entity, or firm to conduct the audit that is a competitor of the contractor. Any audit conducted or records reviewed under this provision shall be limited to services provided to State of Missouri and shall not require the contractor to disclose information pertaining to any other customer or client of the contractor.

Electronic Funds Transfer, Invoicing, and Payment Requirements and Travel Expenses:

Electronic Funds Transfer (EFT): The State of Missouri will submit contract payments to the contractor at the remittance address listed in the contractor’s MissouriBUYS (WebProcure/Proactis) vendor registration. However, the contractor understands and agrees the state reserves the right to make contract payments to the contractor through electronic funds transfer (EFT). Therefore, prior to any payments becoming due under the contract, the contractor must verify and update, if applicable, their vendor registration with their current remittance address and ACH-EFT payment information at https://MissouriBUYS.mo.gov.

Invoicing: On a monthly basis, and for each consulting service review performed as approved in the contractor’s letter of engagement, the contractor shall submit invoices to the state agency and detailed actual time and expense information in accordance with the firm, fixed hourly prices on Exhibit C, Pricing Page, including travel, meals, etc., supporting the invoiced amount. The contractor shall not include any payment terms on the invoice. The contractor shall perform the services prior to invoicing the state agency.

For each consulting service review performed as approved in the contractor’s letter of engagement, the invoice shall include the guaranteed not-to-exceed total price stated on the contractor’s approved letter of engagement and the dates and amount of any previous invoices as well as the current billing amount. Unless the contractor has received the state agency’s written preapproval to do otherwise, the contractor shall discontinue invoicing the state agency once the contractor has invoiced the state agency for 65% of the guaranteed not-to-exceed total price stated on the contractor’s approved letter of engagement. Upon successful completion of the Insurance Company reviews and consulting services, which includes issuance of the final report and review of the final report by the state agency, the contractor shall invoice the remainder of the guaranteed not-to-exceed total price stated on the contractor’s approved letter of engagement.

The contractor must identify each individual’s actual hours spent working on the assigned review and the appropriate hourly price for the individual’s personnel classification as shown on Exhibit C, Pricing Page.

The contractor shall invoice only for services performed by the individuals listed on the contractor’s awarded Pricing Page or by the individuals approved by the state agency as described in section 2.6.1 above.

The contractor shall neither invoice nor be paid for time spent traveling or for travel expenses, unless otherwise stated herein.

The contractor must support all hours invoiced with detailed time sheets indicating the hours worked each day.

The contractor shall invoice the state agency on the contractor’s original descriptive business invoice form and submit the invoice via email to the applicable state agency’s Chief Examiner or their designee OR to the following applicable address:

Director of Insurance Company Regulation Department of Commerce and Insurance P.O. Box 690 Jefferson City, MO 65102-0690

Each contractor invoice must be on the contractor’s original descriptive business invoice form and must contain a unique invoice number and the remittance address included in the contractor’s MissouriBUYS (WebProcure/Proactis) vendor registration. The invoice number will be listed on the state’s EFT addendum record to enable the contractor to properly apply state payments to invoices. The contractor must comply with all other invoicing requirements stated in the RFP.

The statewide financial management system has been designed to capture certain receipt and payment information. For each purchase order received, an invoice must be submitted that references the purchase order number and should be itemized in accordance with items listed on the purchase order. Failure to comply with this requirement may delay processing of invoices for payment.

The contractor shall not invoice federal or state taxes unless otherwise required under statute or regulation.

Payment:

Payments are due upon receipt of a valid invoice, payable in 30 calendar days. All invoices for equipment, supplies, and/or services purchased by the State of Missouri shall be subject to late payment charges as provided in section 34.055, RSMo.

Final invoices are due by no later than thirty (30) calendar days after the expiration of the contract. The state agency shall have no obligation to pay any invoice submitted after the due date.

The State of Missouri does not pay state or federal taxes unless otherwise required under statute or regulation.

The State of Missouri assumes no obligation for equipment, supplies, and/or services shipped or provided in excess of the quantity ordered. Any unauthorized quantity is subject to the state's rejection and shall be returned at the contractor's expense.

Inspection and Acceptance Specifications: For purposes of acceptance, no equipment, supplies, and/or services received by the state pursuant to a contract shall be deemed accepted until the state has had reasonable opportunity to inspect said equipment, supplies, and/or services.

All equipment, supplies, and/or services which do not comply with the specifications and/or requirements or which are otherwise unacceptable or defective may be rejected by the state. In addition, all equipment, supplies, and/or services which are discovered to be defective or which do not conform to any warranty of the contractor upon inspection (or at any later time if the defects contained were not reasonably ascertainable upon the initial inspection) may be rejected.

The State of Missouri reserves the right to return any such rejected shipment at the contractor's expense for full credit or replacement and to specify a reasonable date by which replacements must be received.

The State of Missouri's right to reject any unacceptable equipment, supplies, and/or services shall not exclude any other legal, equitable or contractual remedies the state may have.

Attendance and/or Testimony at Hearings or Other Required Travel Expenses:

The contractor shall invoice the state agency at the firm, fixed price per hour as stated on Exhibit C, Pricing Page for time in attendance and/or testimony at depositions, trials or hearings or other travel when such is required by the state agency to provide the services required under the contract. The contractor must have the prior written approval of the state agency for any travel related expenses.

The contractor shall invoice and be reimbursed for actual and reasonable travel expenses either at the Contiguous US Per Diem Rates (CONUS) or the travel reimbursement rates set by the contractor’s internal written policy, whichever is lower.

The CONUS can be found by clicking on the link for “Per Diem Rates” at the following Internet address: http://www.gsa.gov.
