Justification and Approval for Other Than Full and Open Competition

This is a FAR Part 6 Justification and Approval document (Control No. PFA-J&A23-1588) for a sole-source contract award to Lockheed Martin Missiles and Fire Control (LMMFC) for the Precision Strike Missile (PrSM) Increment 2 program. The total estimated contract value is $1,211,234,988 covering fiscal years 2026 through 2030. The contracting activity is Army Contracting Command-Redstone Arsenal (ACC-RSA), and the award is justified under Title 10 U.S.C. 3204(a)(1) as implemented by FAR 6.302-1(a)(2)(ii)(A) and (B), citing "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements."

The contract is structured as an Indefinite Delivery, Indefinite Quantity (IDIQ) with Cost-Plus-Fixed-Fee (CPFF) and Firm-Fixed-Price (FFP) line items, spanning 60 months. The procurement encompasses Engineering Manufacturing Development (EMD) and Early Operational Capability (EOC) production activities, including multiple delivery/task orders: maturation and integration of Increment 2 sensor prototypes (2QFY26-1QFY30, RDT&E funded); production of EOC missiles across three lots (3QFY26-4QFY31, MIPA funded); and EMD activities (4QFY26-1QFY30). Major tasks include technology maturation, software development, cyber security implementation, flight testing, user demonstrations, production qualification testing, systems integration, and tooling development. LMMFC is identified as the sole capable source based on its five-plus years as prime contractor, unique technical expertise, proprietary work instructions, specialized production infrastructure in Grand Prairie, Texas, and existing hardware-in-the-loop testing facilities. Market research and source sought notices posted in April 2023, January 2024, and May 2024 confirmed no other contractors can deliver a mature, safety-qualified system meeting the FY28 EOC fielding timeline. The justification notes that competition would require 8 years and unrecoverable duplication costs exceeding the contract value to establish an equivalent alternative source.

Senior Contracting Official, Army Contracting Command-Redstone Arsenal:

FAR Part 6 Justification and Approval for

Other than Full and Open Competition

1. Contracting Activity: Army Contracting Command - Redstone Arsenal (ACC RSA), CCAM-PFA Division, Redstone Arsenal, AL 35898.

2. Description of Action: The Strategic and Operational Rockets and Missiles (STORM) Project Office (PO) requests approval of a J&A to award a contract for the Precision Strike Missile (PrSM) Program. Award is to Lockheed Martin Missiles and Fire Control (LMMFC), 1701 W. Marshall Drive, Grand Prairie, Texas 75051, Commercial and Government Entity Code 64059. The contract type is Indefinite Delivery, Indefinite Quantity (IDIQ) with Cost-Plus-Fixed-Fee (CPFF) and Firm-Fixed Price (FFP) contract line item numbers. Task/Delivery orders will be funded to procure services in support of development efforts and to procure material in support of both development and production efforts. The contract will include multiple phases of the PrSM process. The contract will also include the design and integration of PrSM Inc 2, Early Operational Capability (EOC) production activities to support Engineering Manufacturing Development (EMO), and options to produce up to■ EOC missiles in the 2QFY26 through 4QFY31.

EMD/EOC development will be funded with Research, Development, Test and Evaluation (RDT&E) funds and the EOC options with Missile Procurement, Army (MIPA) funds. Additionally, funds may be used as appropriate and available for the PrSM production and follow-on production, developmental, and obsolescence management efforts.

The over $ Independent Government Estimate (IGE) value encompasses all of the above potential requirements,

3. Description of Supplies/Services:

a. The Army have a requirement for a long range, surface-to-surface missile system to replace the aging Army Tactical Missile System. The PrSM program fills this need with a new missile system for the Multiple Launch Rocket System (MLRS) family of munitions.

b. The Army have a requirement for PrSM Increment 2 to provide military commanders with the means to suppress, delay or destroy moving maritime and relocatable land targets that have an immediate impact on the battle or those that can appreciably impact future operations. PrSM Increment 2 complements other attack assets to include ground forces, cruise missiles, and manned and unmanned aircraft, by degrading threat anti-access and area-denial

(A2AD) capability and capacity. The ability to provide 24/7 all-weather capability to engage moving maritime and relocatable land targets using munitions fired from the

M270A2 MLRS and M142 High Mobility Artillery Rocket System make PrSM

Increment 2 a highly viable and versatile weapon system to support combined arms and Joint operations. The increased capability enables the attack of operational and strategic high value targets for the Brigade Combat Team, division, corps, Marine Air Ground Task Force or Joint Task Force commander.

c. The STORM Project Office requires an EMD/EOC contract to continue developmental and integration efforts, to field EOC missiles, to procure long lead hardware and support EMO activities. This EMD/EOC contract will support procurement of up to■ missiles beginning in FY26, conduct safety specific qualification, and user demonstration in FY29. Additionally, the EMD/EOC IDIQ development contract will fund the required seeker suppliers (a seeker is designed to track and follow targets on both land and sea) for the ROTE effort in FY26-29 to support the development and transition of seeker prototypes to the PrSM program of record, which includes design of the seeker into the PrSM form factor, production of seekers for flight tests, and further maturation of the seeker.

d. The Capabilities Development Document (COD) Annex A, Army Requirements Oversight Council, validated on 4 December 2020, expands the requirements provided in the PrSM Increment 1 COD and defines the capability for long range surface-to surface missile to strike critical moving and stationery/relocatable land-based targets.

The Joint Requirements Oversight Council Memorandum, dated 4 June 2021, approved the Increment 1 COD while also acknowledging the developmental growth to address complex maritime and land-based targets, increase lethality, and extended range to support strategic engagement.

The EMD/EOC IDIQ development and production contract ordering period is 60 months.

4. Authority Cited:

Title 10 U.S.C. 3204(a)(1) as implemented by FAR 6.3021 (a)(2)(ii)(A) and (B), "Only One

Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements". Supplies may be deemed to be available only from the original source in the case of a follow-on contract for the continued development or production of a major system or highly specialized equipment, including major components thereof, when it is likely that award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition; and unacceptable delays in fulfilling the agency's requirements. The PrSM is a highly specialized munition that will be used in the Multiple Launch Rocket System (MLRS) family of munitions.

5. Reason for Authority Cited:

a. LMMFC is the only responsible source capable of executing the EMD/EOC IDIQ development in the required timeframe and is the only contractor that has conducted the requisite testing to support an EOC production decision. As the prime contractor and system integrator for the PrSM Increment 2 missile, LMMFC is integrating the

U.S. Government furnished seeker into the PrSM baseline missile under a task order awarded from a Broad Agency Announcement entitled "Utilizing New and Innovative

Technologies for Long Range Fires Technology Development," which expires in FY

26. The EMD/EOC Increment 2 contract will continue the seeker integration effort which will have to meet key parameters which require work involving redesign of key hardware elements to meet required technical specifications and hardware survivability in the PrSM system. LMMFC developed a missile design with a high level of technical maturity resulting in a successful prototype configuration that met all performance test criteria. As the PrSM Increment 1 prime contractor, LMMFC qualified sub-assemblies and completed a system level Critical Design Review. Other contractors would require a minimum of three years of missile development and testing to be postured where LMMFC is currently. EOC testing requires the missile system design to be mature and stable and the design shown to be safe, suitable, and effective. As evidence from Market Research under Section 8, there are no other contractors that can produce a mature, capable system with all required safety testing complete and deliver the EOC assets in the FY28 timeframe.

b. LMMFC has been the prime contractor of PrSM EMO EOC for more than five years. As a result of this experience, LMMFC has acquired unique EMO EOC technical expertise, proprietary work instructions and corporate knowledge that is not contained in the Technical Data Package (TOP) and therefore, cannot be transferred to another potential contractor. LMMFC is the only available source with the appropriate special tooling, production infrastructure and trained workforce to perform production and services described in paragraph 3 above. Development of a second source would require bringing all required TDPs into compliance to allow for competitive sourcing and qualification of a new prime integrator.

c. On 4 December 2020, the Army Requirements Oversight Council approved the

PrSM COD which included accelerated fielding of Increment I EOC in FY23. The Army

Futures Command issued a directed requirement dated 6 July 2022 for delivery of an Increment 2 initial operational capability in FY27.

d. For the PrSM Increment 1 baseline missile Systems and

LMMFC were awarded competitive agreements via the Department of Defense

Ordnance Technology Consortium (DOTC) Other Transaction Authority in FY16, FY17, and FY19. Both contractors conducted preliminary design reviews, and the final agreements culminated with the demonstration of three prototype missile system flight tests. LMMFC conducted a successful prototype flight test meeting all required

Enhanced Technology Maturation and Risk Reduction (E-TMRR) entrance criteria.

In a 14 April

2020 Acquisition Decision Memorandum (ADM) the Army Acquisition Executive (AAE) approved a PrSM expedited approach and award of E-TMRR to a single vendor. The

Army awarded in contracts prior to EMO to LMMFC. Design and development are conducted primarily in LMMFC's Grand Prairie, TX facility where extensive hardware and software laboratories and development equipment are in place. This includes the PrSM hardware-in-the-loop (HWIL) facility for testing the missile full functionality and to aid in software development. Competition would require duplicative expense greater than $ to establish an equivalent infrastructure that is already in place with LMMFC. These costs are derived by comparing current PrSM contracts for

EMO EOC requirements and current material, labor, fees and labor hours. LMMFC is the only source that can support delivering a PrSM Increment 2 capability in support of the directed requirement, and continued production and fielding of PrSM Increment 1 systems to the warfighter. Any investments to establish an additional source for the

EOC and Low-Rate Initial Production (LRI P) contracts would be unrecoverable through competition. Since the contract is now in the production phase, if the Government competed at the integration level it would take an estimated 8 years to take the

Technical Data Package and establish a production facility and supply chain and then produce and test hardware to ensure the system is validated before going into full rate production. This unacceptable delay would not meet the Government's requirements to maintain deliveries of the PrSM Increment 2 system to the warfighter and to complete the follow-on development effort identified above.

e. The Government has adequate rights to the TOP for PrSM EMO EOC. However, if the Government does not use the current suppliers, new production lines would have to be validated at different suppliers in order for the new suppliers to be an alternate source.

f. The table below from the Second Source IGE shows the expected duplication of cost and time from developing a second source for the PrSM program rather than sourcing from LMMFC. The duplication of cost and time is derived from the incurred costs of materials, labor and fees of a new requirement. The PrSM EMO EOC costs in the amount of $ -- listed in the table below are based on the costs to qualify a second source on for EMO EOC. The total cost to compete legacy and requalify Milestone A was estimated to be $ --- and would require an unacceptable delay of 5 years from contract award to qualify an alternate source for EMO and EOC production 3 years for development and 2 years for qualification). The historical data assumed an analysis period through FY31.

d. Alternatives: There are no known feasible alternatives to support the proposed acquisition period of performance currently.

6. Efforts to Obtain Competition:

TOTAL

a. Effective Competition. Based on reasons cited in paragraph 5, LMMFC is the only source possessing the total system knowledge, expertise, and technical data necessary to complete PrSM development, qualification, and production to support fielding an Increment 2 EOC in FY28. The AAE approved ADM dated 26 May 2022 confirms this assertion. This requirement will be synopsized on the U.S. Government-wide point of entry (https://www.SAM.gov) upon J&A approval, as required by FAR 5.201 and any responses will be considered.

a. Subcontracting Competition. LMMFC is expected to compete subcontracts in accordance with FAR 52.244-5 (Competition in Subcontracting) when it is reasonable to the intent that competition is feasible and will achieve equal or better performance with components at lower prices. All applicable FAR and DFARS subcontracting clauses will be included in the solicitation and resultant contract. LMMFC participates in the Small Business Comprehensive Subcontracting Test Program Agreement, under the DoD Test Program, as described in DFARS 219.702, and as such, is required to submit an approved Small Business Subcontracting Plan in accordance with FAR 19.705-4 and DFARS 252.219-7004. LMMFC'S current Comprehensive Small Business Subcontracting Plan is under review.

7. Actions to Increase Competition:

Competition is not a viable alternative for this acquisition for reasons stated in paragraph 5. LMMFC is the only source with the knowledge, experience, technical expertise, and infrastructure necessary to meet the PrSM requirements without incurring significant duplicative costs and excessive time delays.

8. Market Research:

a. In support of the market research, the STORM Project Office discussed personal knowledge in procuring supplies/services of this type with subject matter experts, reviewed results of market research for similar supplies/services, reviewed pertinent databases for relevant information and published a formal source sought notice (SSN) in April 2023, updated it January 2024 and again in May 2024. The market research for this requirement identified LMMFC as the only source possessing the expertise, experience, and in-depth knowledge to support the PrSM requirements. Results of the research determined that the supplies are not commercial. Additionally, there are no commercial or non-developmental substitutes that can be used to satisfy the requirement. The components required are unique to the PrSM product.

b. The SSN was updated and reposted to SAM.gov on 9 May 2024 and closed on

16 May 2024. There were responses to the SSN: LMMFC, . To provide a thorough review, STORM PO requested additional information from each respondent. ACC-RSA provided questions to the respondents and results were provided and evaluated by the STORM team. The STORM PO provided an evaluation of the responses to ACC-RSA on 26 June 2024. The market research for this requirement identified LMMFC as the only source possessing the expertise, experience, and in-depth knowledge to support the PrSM program requirements as a whole.

The

Market Research that was performed included seeker/sensor alternatives from industry that have adequate technology readiness levels for meeting the PrSM Inc 2 requirement. Due to cost and schedule constraints, breaking the seeker portion out is not a feasible option. The Government (Army Future's Command (AFC)/Army Combat Capabilities Development Command (DEVCOM)/Combat Capabilities Development Command Aviation and Missile Center (AvMC)) has provided Government off-the-shelf

(OTS) alternatives as well. The PrSM Program Manager (PM) has narrowed these alternatives down to two that meet the criteria for technology readiness while also minimizing cost and schedule impacts. These two alternatives are: 1) Government OTS imaging infrared (IIR) sensor and radio frequency (RF) sensor developed under an AvMC science and technology (S& T) program, or, 2) An OTS Lockheed Martin RF sensor in conjunction with the AvMC OTS IIR sensor from the first alternative. Results of the Market Research indicate that these two alternatives are the only alternatives that satisfy the PM's cost and schedule objectives. Utilizing any other alternate sources of seeker technology and components will cause the PM to expend additional funds for sensor development and adaptation. It will also cause rework of PrSM platform modifications needed to integrate the seeker/sensor/component. This is not just a cost impact, but also a significant schedule impact. The STORM PO anticipates that changing to a different seeker supplier at this point in the program will cause a 6 - 9 month delay to align contracts followed by another year of LMMFC rework in conjunction with the sensor adaptation and ruggedization activities. An additional $

- is estimated to be needed to fund LMMFC rework of PrSM Inc 2 hardware and software (HW/SW) interfaces, retest software interfaces, and make necessary changes to LMMFC development environments (e.g., Laboratories) to incorporate a different seeker/sensor solution than currently planned. These additional costs also include seeker/sensor supplier development and test of sensor housing, sensor HW/SW interfaces, and sensor ruggedization changes needed to adapt to the PrSM Inc 2 flight environment.
