SUPPLEMENTAL PROVISIONS

1. Certificate of Compliance:

A “Certificate of Compliance” (Attachment 6) will be required with each purchase order issued and will be due upon receipt of first article of each color and line item delivered certifying that the materials used in the manufacturing of the part fully conform to the contract’s requirements.

2. Contract Dollar Value:

i. CALPIA is not obligated to purchase any particular quantity of any goods or services from the contractor. Quantities shown for each line item are estimated and are the anticipated contract purchase pattern. CALPIA will not be obligated to purchase the Contractor’s excess inventory of any line item if actual purchases vary from the anticipated purchase pattern. CALPIA reserves the right to order more or less of any line item provided the total monetary amount of the contract is not exceeded.

ii. Any contract resulting from this bid will expire three (3) years from its effective date or when the contract dollar value has been expended. However, in the event the ordering agency’s requirements are curtailed because of reducing requirements, cancellation of State programs, lack of fiscal appropriations, etc., CALPIA shall be excused from purchasing any outstanding balances.

iii. Only bids quoted on CALPIA’s own Cost Sheet will be considered. Bids submitted referencing supplier attachments, which include legal terms and conditions that conflict with CALPIA’s general bid provisions shall be considered non-responsive and such bids shall be rejected. On the Cost Sheet if there is a discrepancy between the unit price and the extension price, the unit price shall prevail.

3. Contract Quantity:

The estimated quantities listed on the Cost Sheet are the anticipated needs for the life of the three (3) year contract. Actual quantities purchased of each line item are dependent on choices made by CALPIA customers.

4. Corrective Action Plan:

Should there be any issue with quality and/or damage to the final product, CALPIA can request a written Correction Action Plan (CAP) from the Contractor. A CAP will be provided no later than three (3) business days from time that the incident is reported to the Contractor. The CAP will contain the nature of the reported issue, what immediate actions are taking place to correct the problem, and actions implemented to prevent the problem from reoccurring. The CAP can also contain any other relevant information that the Contractor deems necessary to explain the situation. Depending on the circumstances, CALPIA may issue a Vendor Performance Report.

5. Cost to Cover:

Any failure to perform its obligations under the contract by the Contractor shall, in addition to any other remedies available to CALPIA, entitle CALPIA to recover from the Contractor the difference between the Contractor’s price and an alternate supplier’s higher price in the event that CALPIA must pay an alternate supplier a higher price for goods or services that the Contractor fails to provide in a timely manner.

6. Delivery:

i. The items are to be delivered as requested, within 30 calendar days after notification by the ordering factory or as otherwise stipulated on the Cost Sheet by the bidder, Monday through Friday, 8:00 a.m. to 2:30 p.m. Weekend or holiday deliveries cannot be accepted without prior approval in writing by ordering factory. Ordering factory must be notified of incomplete or partial delivery prior to delivery. Upon the receipt of the Purchase Order (P.O), if it is determined the P.O cannot be met within the delivery date; the Contractor must notify the ordering factory immediately.

ii. It shall be the Contractor’s responsibility to obtain proper clearance for delivery drivers prior to any and all deliveries. Contact the institution listed for the driver clearance procedure. Clearance requests shall be completed immediately upon award of contract and any time a new driver is added to the Contractor’s staff.
