About this file

This is an Invitation for Bid (IFB) No. BAR-25-01 issued by the California Department of Consumer Affairs (DCA), Bureau of Automotive Repair (BAR) for the Consumer Assistance Program (CAP) Vehicle Retirement Program. The solicitation seeks licensed auto dismantlers to purchase and retire eligible high-polluting vehicles across multiple California cities, with an estimated annual workload ranging from 250 to 3,300 vehicles per location. The contract will run for 36 months, starting July 1, 2025, with a total funding allocation of $204,663,000 ($68,221,000 per fiscal year). Auto dismantlers must meet specific qualifications, including holding a current DMV auto dismantler license, maintaining a line of credit between $100,000 and $400,000 depending on the city, and having on-site equipment capable of crushing vehicles.

The program will reimburse auto dismantlers $1,350, $1,500, or $2,000 per vehicle, with the state contribution based on available funds and potentially subject to changes during the contract term. Contractors will receive an administrative fee for each vehicle processed, with the fee to be specified in their bid. The program aims to reduce emissions by retiring older, high-polluting vehicles and will be funded through two distinct sources: Vehicle Retirement (VR) and Enhanced Fleet Modernization Program (EFMP). Bidders must submit comprehensive documentation, including business licenses, references, environmental permits, and a line of credit letter. The solicitation includes provisions for small business preferences and disabled veteran business enterprise (DVBE) participation, though DVBE requirements are currently being waived for this contract.

SECTION I – INVITATION FOR BID – INTRODUCTION/BACKGROUND

A) PURPOSE AND DESCRIPTION OF SERVICES

Introduction The Department of Consumer Affairs/Bureau of Automotive Repair (DCA/BAR) oversees the Vehicle Inspection and Maintenance Program (commonly known as the Smog Check Program) for the State of California. BAR administers the Consumer Assistance Program (CAP) which allows the State to purchase eligible vehicles for scrappage through the CAP Vehicle Retirement Program (VRP). Eligible vehicles include passenger vehicles, trucks, sports utility vehicles and vans with a gross vehicle weight rating of up to 10,000 pounds. CAP reviews and approves applications for vehicle retirement. DCA/BAR directs this IFB to licensed auto dismantlers for services to retire eligible vehicles purchased through CAP.

Background and Purpose Federal regulations require the State to meet certain emission reduction targets. The State established the CAP Vehicle Retirement Program as one way to meet these targets. This program provides an opportunity for California residents to retire certain registered and/or operable, high-polluting vehicles. Vehicles may be eligible if they meet registration and other program requirements. Based on available state funding, CAP will purchase eligible vehicles for $1,350, $1,500 or $2,000 for each vehicle from California residents who voluntarily participate in the vehicle retirement option of CAP. Vehicles will be purchased under this contract through licensed auto dismantlers. The State contribution will be based on available funds and program requirements and may be subject to changes during the term of the contract.

Contractors will be given 30 days written notice of a change in the State contribution.

Authority Health and Safety Code Sections 44090-44096 describe the CAP VRP. Health and Safety Code Sections 44124-44127 describe the Air Resources Board (ARB) Enhanced Fleet Modernization Program.

Copies of the California Health and Safety Code can be found in local libraries and on the Internet at https://leginfo.legislature.ca.gov/faces/codesTOCSelected.xhtml?tocCode=HSC&tocTitle=+Health+and+S afety+Code+-+HSC

Objectives of IFB The DCA/BAR intends to award contracts to licensed auto dismantlers geographically distributed as specified in the List of Cities (Appendix A, pages 42-43) for the purpose of purchasing and disposing of CAP qualified vehicles and obtaining the most cost-effective method of retiring vehicles under the contract agreement. See Scope of Work (Exhibit A, pages 27-32), for a description of Contractor responsibilities.

B) BIDDER MINIMUM QUALIFICATIONS AND REQUIREMENTS

Must be in good standing and registered with the California Secretary of State and licensed to do business in the State of California.

License Bidder shall hold a current auto dismantler license in good standing through the Department of Motor Vehicles (DMV). Bidder must include a copy of the license with the bid.

Vehicles shall only be purchased and crushed at licensed auto dismantler(s) as specified in the bid. A letter signed by the owner or person who is authorized to bind the company contractually must be included with the bid specifying the primary Contractor and any subcontractors.

Line of Credit Bidders must submit an original or photocopied letter of Line of Credit (LOC) from a bank. The LOC letter MUST state that the bidder has an approved "Line of Credit" for no less than $400,000 for each specific site being bid on with the following exception:

Bidders for cities with an estimated annual workload volume [see Section D, Workload Volumes] of 750 or less (such as Chico, Merced, Palm Springs, Victorville, Lompoc, San Luis Obispo, Milpitas, Redding, Santa Rosa, any City in San Mateo County, and any city in San Francisco County) must submit a letter from a bank stating that they have an approved “Line of Credit” for no less than $100,000 for each specific site being bid on.

History of Violations The bidder’s business shall be clear of any fines, suspensions, and liens. DCA/BAR reserves the right to contact the appropriate authorities to verify that the business and license(s) are valid and in good standing and have no outstanding enforcement actions or unresolved issues concerning violations of environmental and/or business permits within the last twelve (12) months. The bidder shall note any pending enforcement actions or notices of violation with an explanation. A bidder may be disqualified if information is received which indicates their business is not in good standing and/or because of bidder's failure to identify and/or explain any such outstanding actions or unresolved issues.

Program Requirements A bidder’s auto dismantler site must be located within the specified mile radius from the center of an intersection located within a city as listed in Appendix A. The specified mile radius will provide a greater amount of choice for consumer convenience.

mailto:amanda.mays@dca.ca.gov

c. All bids shall include the documents identified in the Required Attachment Checklist (Attachment

1, pages 13-14). Bids not including the proper “Required Attachments” shall be deemed non-responsive. A non-responsive bid is one that does not meet the basic bid requirements and is justification for rejection.

d. All documents requiring a signature must bear an original signature of a person authorized to bind the bidding firm. It may be signed by an authorized agent of the Bidder only if the agent is properly authorized by a power of attorney or equivalent document. Such authorization must be submitted with the bid. The name of the individual signing the proposal must be typed immediately below the signature.

The DCA Contracts Unit will verify the date and time received on all bids. The DCA Contracts Unit will not accept bids received after the deadline. It is DCA’s policy to make every effort to ensure that all bids have been received and properly time stamped; however, bidders are ultimately responsible for ensuring timely receipt of their bids. Bidders may verify receipt of their bids by contacting Amanda Mays at amanda.mays@dca.ca.gov.

e. Bids must be submitted for the performance of all the services described herein. Any deviations from work specifications shall not be considered and shall cause a bid to be rejected.

f. A bid may be rejected if it is conditional or incomplete, or if it contains any alterations of form or other irregularities of any kind. The DCA/BAR may reject any or all bids and may waive any immaterial deviation in a bid. The DCA/BAR waiver of an immaterial defect shall in no way modify the IFB or excuse the bidder from full compliance with all requirements if awarded the agreement.

g. Costs incurred for developing bids in anticipation of award of the agreement are entirely the responsibility of the bidder and shall not be charged to the DCA/BAR.

h. An individual who is authorized to bind the bidding firm contractually shall sign the Bid/Bidder Certification Sheet (Attachment 2, pages 15-16). The signature must indicate the title or position that the individual holds in the firm. An unsigned bid may be rejected.

i. A bidder may withdraw a bid by submitting a written withdrawal request to DCA/BAR at amanda.mays@dca.ca.gov signed by the bidder or an authorized agent in accordance with Section 3(h) above. A bidder may thereafter submit a new bid prior to the bid submission deadline. Bids may not be withdrawn without cause subsequent to bid submission deadline.

j. DCA/BAR may modify the IFB prior to the date fixed for submission of bids by the issuance of an addendum to all parties who received a bid package.

k. DCA/BAR may cancel this IFB process at any time prior to awarding the contracts if the bids are determined to be too costly to the state.

1. DCA/BAR reserves the right to reject all bids. DCA/BAR is not required to award any agreements.

mailto:Amanda%20Mays%20at%20amanda.mays@dca.ca.gov

m. Bidders are solely responsible for any defects or errors in their submitted bid documents.

Bidders should carefully proof bids for errors and adherence to the IFB requirements.

n. DCA/BAR does not accept alternate contract language from a prospective contractor. A bid with such language will be considered a counter proposal and will be rejected. The State’s General Terms and Conditions (GTC) are not negotiable.

o. No oral understanding or agreement shall be binding on either party.

p. The State of California seeks to realize the potential benefits of GenAI, through the development and deployment of GenAI tools, while balancing the risks of these new technologies.

Bidders/Offerors must notify the State in writing if it: (1) intends to provide GenAI as a deliverable to the State; or (2), intends to utilize GenAI, including GenAI from third parties, to complete all or a portion of any deliverable that materially impacts: (i) functionality of a State system, (ii) risk to the State, or (iii) Contract performance. For avoidance of doubt, the term “materially impacts” shall have the meaning set forth in State Administrative Manual (SAM) § 4986.2 Definitions for GenAI.

Failure to report GenAI to the State may result in disqualification. The State reserves the right to seek any and all relief to which it may be entitled to as a result of such non-disclosure.

Upon notification by a Bidder/Offeror of GenAI as required, the State reserves the right to incorporate GenAI Special Provisions into the final contract or reject bids/offers that present an unacceptable level of risk to the state.

Government Code 11549.64 defines “Generative Artificial Intelligence (GenAI)” as an artificial intelligence system that can generate derived synthetic content, including text, images, video, and audio that emulates the structure and characteristics of the system’s training data.”

4. Term and Amount of Agreement

The DCA/BAR anticipates that the agreement will begin on July 1, 2025, for a term of 36 months.

The funding allocation for the 36-month contract period is a maximum of $204,663,000 ($68,221,000 for Fiscal Year 2025/2026), ($68,221,000 for Fiscal Year 2026/2027), and ($68,221,000 for Fiscal Year 2027/2028). The funding allocation may change depending on the budget appropriation and increase in vehicle retirement workload volumes. The agreement may be amended based upon increased workload volume. (See Section II, Exhibit B, page 34)

D) WORKLOAD VOLUMES

Workload volumes as shown below should be used for estimating purposes and are not binding on DCA/BAR. Bidders must propose a network of one or more sites (site locations, days, and hours of operation) that will meet the following estimated annual workload volumes by cities. For estimating purposes, the Contractor should use 30-minute vehicle processing intervals. The specific sites and days and hours of operation must be shown in the Bid Application (Attachment 3, pages 17-18).

Workload volumes are estimates based on State Fiscal Year 2022/2023 and 2023/2024 data, as well as anticipated increased program participation. The State Fiscal Year begins on July 1 and ends on June 30.

Workload volumes may change based on future program changes, budget appropriation, average administrative fees, and State disbursement amount. At DCA/BAR request, Contractors must have the ability at proposed sites to increase up to 350 percent of the original agreement amount to handle possible increases in vehicle retirement workload volumes.

Vehicle Retirement participation is somewhat variable in nature and fluctuates from month to month. Based on the State's appropriation in each fiscal year, participation will be affected by the State’s disbursement of $1,350, $1,500, or $2,000 for each vehicle and the average administrative disbursement fee. The State has no control over the volume of consumers that apply to the Vehicle Retirement Program and which site those consumers may choose to use to retire their vehicle. Consumers will be provided a geographical list of approved auto dismantler sites.

E) EVALUATION AND SELECTION PROCESS

1. Each bid will be checked for the presence or absence of required information in conformance with the submission requirements of this IFB.

2. The DCA/BAR shall evaluate each bid to determine its responsiveness to all IFB requirements.

All bidders must meet the minimum qualifications in order to be considered responsive.

3. Bids that contain false or misleading statements, or which provide references, which do not support an attribute or condition claimed by the bidder, may be rejected. If in the opinion of the DCA, information submitted by the bidder was intended to mislead the DCA in its evaluation of the bid and the attribute, condition, or capability is a requirement of the IFB, it will be the basis for rejection of the bid.

4. The review of requirements is a two-stage process: Stage 1) Bid Completeness Review, and Stage

2) Cost Sheet/Administrative Fee Bid Schedule (Attachment 7, page 22).

5. The DCA/BAR shall award a contract to all bidders who advance to Stage 2 and are the lowest responsible bid within each city area. A bid lower than zero (negative amount) will be accepted and can be considered as the lowest bid. In the event of a tie for the lowest responsible bid, the winning bid shall be decided by a coin toss observed by witnesses. Affected bidders will be invited to witness the coin toss.

6. The DCA/BAR will compile a geographical listing of all awarded auto dismantlers and locations and provide this to consumers whose vehicles have been approved by CAP.

7. Award and Protest

a. Whenever an agreement is awarded under a procedure which provides for competitive bidding, but the agreement is not to be awarded to the low bidder, the low bidder shall be notified by telegram, electronic facsimile transmission, overnight courier, or personal delivery five (5) working days prior to the award of the agreement.

b. If any bidder, prior to the award of agreement, files a written protest on the grounds that the protesting bidder is the lowest responsible bidder, the agreement shall not be awarded until either the protest has been withdrawn or the DGS has decided the matter; protests shall be submitted by the bidder to the Department of General Services (DGS), Office of Legal Services (OLS), 707 Third Street, 7th Floor, Suite 7-330, West Sacramento, CA 95605 and the Department of Consumer Affairs (DCA), Business Services Office/Non-IT Contracts Unit, 1625 N. Market Blvd., 1st Floor, Suite S-103, Sacramento, CA 95834, Attention: Amanda Mays.

c. Within five (5) days after filing the initial protest, the Protestant shall file with the DGS and the DCA a detailed written statement specifying the grounds for the protest. The written protest must be sent to the DGS, OLS, 707 Third Street, 7th Floor, Suite 7-330, West Sacramento, CA 95605 and the DCA, Business Services Office/Non-IT Contracts Unit, 1625 N. Market Blvd., 1st Floor, Suite S-103, Sacramento, CA 95834, Attention: Amanda Mays.

A copy of the detailed written statement must be mailed to the DCA. It is suggested that bidders submit any protest by certified or registered mail.

8. Required Documents Subsequent to Award

Upon award of the agreement, the Contractor shall submit to the DCA proof of the following documents:

a. Payee Data Record (STD 204)- Contractor must complete and submit to DCA the Payee Data

Record. No payment can be made unless a completed STD 204 has been returned to DCA.

b. Payee Data Record Supplement (STD 205)– This form is optional. The Contractor may complete and submit to DCA the Payee Data Record Supplement if the remittance address information is different than the mailing address on the STD 204. This form is to provide additional remittance addresses and additional Authorized Representatives of the Payee not identified on the STD 204.

c. Contractor Certification Clauses (CCC 04/2017)– Contractor must sign and submit to DCA, page one (1) of the current Contractor Certification Clauses.

d. Darfur Contracting Act Certification (DGS PD1)– Effective January 1, 2009, all Invitations for Bid (IFB) or Requests for Proposals (RFP) for goods or services must address the requirements of the Darfur Contracting Act of 2008 (Act) (Public Contract Code sections 10475, et seq.;

Stats. 2008, Ch. 272). The Act was passed by the California Legislature and signed into law by the Governor to preclude State agencies generally from contracting with “scrutinized” companies that do business in the African nation of Sudan (of which Darfur region is a part), for the reasons described in Public Contract Code section 10475.

A scrutinized company is a company doing business in Sudan as defined in Public Contract Code section 10476. Scrutinized companies are ineligible to, and cannot, bid on or submit a proposal for a contract with a State agency for goods or services (Public Contract Code section 10477(a)).

Therefore, Public Contract Code section 10478 (a) requires a company that currently has (or within the previous three years has had) business activities or other operations outside of the United States to certify that it is not a “scrutinized” company when it submits a bid or proposal to a State agency (See Attachment 4, #1).

https://www.documents.dgs.ca.gov/dgs/fmc/pdf/std204.pdf https://www.documents.dgs.ca.gov/dgs/fmc/pdf/std205.pdf https://www.dgs.ca.gov/-/media/Divisions/OLS/Resources/CCC-042017.pdf?la=en&hash=4DE3E4DC414511AE378794200BA43EBF91C758EE https://www.documents.dgs.ca.gov/dgs/FMC/GS/PD/PD_1.pdf

A scrutinized company may still, however, submit a bid or proposal for a contract with a State agency for goods or services if the company first obtains permission from the Department of General Services (DGS) according to the criteria set forth in Public Contract Code section 10477(b) (See Attachment 4, # 2).

9. Disposition of Bids

a. Upon bid opening, all documents submitted in response to this IFB will become the property of the State of California and will be regarded as public records under the California Public Records Act (Government Code Section 7920.0000 et seq.) However, the contents of all proposals, draft bids, correspondence, agenda, memoranda, working papers, or any other medium, which discloses any aspect of a bidder’s proposal, shall be held in the strictest confidence until the award is made.

b. Bid packages may be returned only at the bidder’s expense unless such expense is waived by the awarding agency.

10. Agreement Execution and Performance

a. Service by Contractor shall commence on the date set by the DCA/BAR and the Contractor, after all approvals have been obtained and the agreement is fully executed.

b. All performance under the agreement shall be completed on or before the termination date of the agreement.

c. The State does not accept alternate contract language from a prospective Contractor. A bid with such language will be considered a counter proposal and will be rejected. The State’s General Terms and Conditions (GTC) are not negotiable. The GTC may be viewed at Internet sitehttps://www.dgs.ca.gov/OLS/Resources/Page-Content/Office-of- Legal-Services- Resources-List-Folder/Standard-Contract-Language.

d. No oral understanding or agreement shall be binding on either party.

e. DCA reserves the right to amend the contract, if at any time, circumstances are such that the cumulative cost of dismantling services exceeds the original contract amount. Any amendment executed pursuant to this paragraph must comply with Public Contract Code section 10335 and is of no force or effect until signed by both Parties and approved by the Department of General Services, if required.

F) PREFERENCE PROGRAMS

1. Small Business Preference Calculations Certified small businesses or micro businesses can claim the five percent preference when submitting a bid on a state contract. The five percent preference is used only for computation purposes, to a maximum amount of $50,000 to determine the winning bidder and does not alter the amounts of the resulting contract. A business must be formally certified by the Office of Small Business and Disabled Veteran Business Enterprise Services (OSDS) for the small business or micro business preference.

https://www.dgs.ca.gov/OLS/Resources/Page-Content/Office-of-Legal-Services-Resources-List-Folder/Standard-Contract-Language https://www.dgs.ca.gov/OLS/Resources/Page-Content/Office-of-Legal-Services-Resources-List-Folder/Standard-Contract-Language https://www.dgs.ca.gov/OLS/Resources/Page-Content/Office-of-Legal-Services-Resources-List-Folder/Standard-Contract-Language

If there are any certified small businesses identified within each city area, then the evaluation team will calculate the Preference as described in the following example.

Of the four (4) bidders for this city area, only one (1) of them is a certified small business.

Bidder Bid Amount Bid after preference calculation Small Business status

1 $41.00 $41.00 Claims small business status but is not certified by OSDS

2 $35.00 $35.00 Does not claim to be a small business

CALIFORNIA DISABLED VETERAN BUSINESS ENTERPRISE (DVBE)

PROGRAM REQUIREMENTS

(Revision Date 10-2021)

PLEASE READ THE REQUIREMENTS AND INSTRUCTIONS CAREFULLY BEFORE YOU

BEGIN.

AUTHORITY

The Disabled Veteran Business Enterprise (DVBE) Participation Goal Program for State contracts is established in Public Contract Code (PCC), §10115 et seq., Military and Veterans Code (MVC), §999 et seq., and California Code of Regulations (CCR), Title 2, §1896.61 et seq.

DVBE PARTICIPATION

The minimum percentage of DVBE participation is 3% for this solicitation unless another percentage is specified in the solicitation, or the solicitation is exempt from DVBE participation.

DVBE INCENTIVE

An incentive will be given to bidders who provide DVBE participation, unless stated elsewhere in the solicitation the DVBE Incentive has been exempted.

INTRODUCTION

The bidder must complete the identified form(s) and fully document that the mandatory minimum percent of DVBE participation will be met in order to comply with this solicitation’s DVBE program requirement or the bid may be considered non-responsive.

Information submitted by the Bidder to comply with this solicitation’s DVBE requirements will be verified by the State. If evidence of an alleged violation is found during the verification process, the State shall initiate an investigation, in accordance with the requirements of PCC §10115, et seq., and MVC §999 et seq., and follow the investigatory procedures required by 2 CCR §1896.91. Contractors found to be in violation of these provisions may be subject to suspension from doing business with the State of California, contract termination, civil penalties, and loss of State certifications.

Only State of California, Office of Small Business and DVBE Services (OSDS), certified Disabled Veteran Business Enterprises (hereafter called “DVBE”) who will perform a commercially useful function (CUF) shall be used to satisfy the DVBE requirements. The term “DVBE contractor, subcontractor or supplier” means any person or entity that satisfies the ownership (or management) and control requirements of §1896.81, is certified in accordance with §1896.84, and provides services or goods that contribute to the fulfillment of the contract requirements by performing a commercially useful function as required in MVC §999(B). Bidders must verify each DVBE subcontractor’s certification status with OSDS to ensure DVBE participation eligibility prior to submitting bids. A DVBE that is not certified at the time of award or does not meet and maintain certification cannot count towards an awarding department’s 3-percent goal. {MVC §999.5(c)}

COMMERCIALLY USEFUL FUNCTION DEFINITION

As defined in MVC §999(B), a person or an entity is deemed to perform a "commercially useful function" if a person or entity does all of the following:

• Is responsible for the execution of a distinct element of the work of the contract.

• Carries out the obligation by actually performing, managing, or supervising the work involved.

• Performs work that is normal for its business services and functions.

• Is responsible, with respect to products, inventories, materials, and supplies required for the contract, for negotiating price, determining quality and quantity, ordering, installing, if applicable, and making payment.

• Is not further subcontracting a portion of the work that is greater than that expected to be subcontracted by normal industry practices.

(Revision Date 10-2021)

A contractor, subcontractor, or supplier will not be considered to perform a “commercially useful function” if the contractor's, subcontractor's, or supplier's role is limited to that of an extra participant in a transaction, contract, or project through which funds are passed in order to obtain the appearance of disabled veteran business enterprise participation.

DVBE SUBSTITUTION

Bidders must use the DVBE subcontractors or suppliers proposed in the bid.
