Retailer’s Seller’s Permit Number: __________________________________
POSTCONSUMER-CONTENT CERTIFICATION
State agencies are required to report purchases in many product categories. In order to comply with those requirements, bidders are required to complete and return the attached Postconsumer-Content Certification form (CIWMB 74) with their bid response.
BIDDER DECLARATION FORM
All bidders must complete the Bidder Declaration Form GSPD-05-105 and include it with the bid response. When completing the declaration, bidders must identify all subcontractors proposed for participation in the contract; this includes equipment manufacturers, equipment distributors and resellers. A subcontractor is any person, firm, corporation, or organization contracting to perform any part of the prime’s contract. Bidders awarded a contract are contractually obligated to use the subcontractors for the corresponding work identified unless the State agrees to a substitution and it is incorporated by amendment to the contract.
If claiming the non-small business subcontractor preference, the form must list all the California small businesses with which you commit to subcontract in an amount of at least twenty-five percent (25%) of the net bid price. All certified small businesses must perform a “commercially useful function” in the performance of the contract as defined in Government Code Section 14837 (d)(4).
DARFUR CONTRACTING ACT CERTIFICATION
Effective January 1, 2009, all Invitations for Bids (IFB) or Requests for Proposals (RFP) for goods or services must address the requirements of the Darfur Contracting Act of 2008 (Act). (Public Contract Code sections 10475, et seq.; Stats. 2008, Ch. 272). The Act was passed by the California Legislature and signed into law by the Governor to preclude State agencies generally from contracting with “scrutinized” companies that do business in the African nation of Sudan (of which the Darfur region is a part), for the reasons described in Public Contract Code section 10475.
A scrutinized company is a company doing business in Sudan as defined in Public Contract Code section 10476. Scrutinized companies are ineligible to, and cannot, bid on or submit a proposal for a contract with a State agency for goods or services. (Public Contract Code section 10477(a)).
Therefore, Public Contract Code section 10478 (a) requires a company that currently has (or within the previous three years has had) business activities or other operations outside of the United States to certify that it is not a “scrutinized” company when it submits a bid or proposal to a State agency. (See # 1 on the Attachment).
A scrutinized company may still, however, submit a bid or proposal for a contract with a State agency for goods or services if the company first obtains permission from the Department of General Services (DGS) according to the criteria set forth in Public Contract Code section 10477(b). (See # 2 on the Attachment).
PROHIBITION ON TAX DELINQUENTS BIDDING (AB 1424)
Public Contract Code section 10295.4 provides that a state agency shall not enter into any contract for goods or services with a contractor whose name appears on either list of the 500 largest tax delinquencies pursuant to Section 7063 or 19195 of the Revenue and Taxation Code. This section applies to contracts executed on or after July 1, 2012. The Franchise Tax Board (FTB) and the California Board of Equalization (BOE) will post and periodically update lists of the 500 largest tax delinquencies on their websites as required by law. Starting on July 1, 2012 prior to executing contracts state agencies must check the FTB and BOE lists to ensure the proposed awardee/vendor is not on either list. If the proposed awardee is on either list the bid may be considered non-responsive.
CHANGE ORDERS
Any Purchase Order resulting from this bid may be amended, modified, or terminated at any time by mutual agreement of the parties in writing. Change orders amending, modifying or terminating the Purchase Order, including any modifications of the compensation payable, may be issued only by the Department of General Services State Procurement Officer. All such change orders shall be in writing and issued only upon written concurrence of the supplier. Termination, as that term is used in this section, does not include termination for default of the supplier.

Bidders claiming the five percent (5%) preference must commit to subcontract at least twenty-five percent (25%) of the net bid price with one or more California certified small businesses. Completed certification applications and required support documents must submitted to the Office of Small Business and DVBE Services (OSDS) no later than 5:00 p.m. on the bid due date, and the OSDS must be able to approve the application as submitted. Questions regarding certification should be directed to the OSDS at (916) 375-4940.

This solicitation contains the Target Area Contract Preference Act (TACPA) preference request forms. Please carefully review the forms and requirements. If applying for this preference, bidders must submit the preference request forms listed in the Attachments section of this document. The State as part of its evaluation process reserves the right to verify, validate, and clarify all information contained in the bid. This may include, but is not limited to, information from bidders, manufacturers, subcontractors and any other sources available at the time of bid evaluation. Bidder refusal to agree to and/or comply with these terms, or failure to provide additional supporting information at the State’s request may result in the denial of the preference requested.
Contracts awarded with applied preference will be monitored throughout the life of the contract for compliance with statutory, regulatory, and contractual requirements. The State will take appropriate corrective action and apply sanctions as necessary to enforce the preference program.
Any questions regarding TACPA preference should be directed to the Department of General Services, Procurement Division at Tacpa@dgs.ca.gov.

1. PRE-CONSTRUCTION MEETING
Within ten (10) days, the California Department of Fish and Wildlife (CDFW) representative shall schedule a meeting with the supplier’s representative(s), a DGS engineer and the CDFW representative. This meeting will be held over the phone.
During this meeting, CDFW and the supplier shall confirm the product to be constructed and delivered.
There shall be no changes to any requirements or options that may increase the dollar amount of the bid.
CDFW Representative Contact Information:
Max Fish, Environmental Scientist, Lake and Reservoirs Phone: (916) 327-8849 Email: max.fish@wildlife.ca.gov
2. INSPECTIONS
This order will require a two-phase inspection process, the first at the dealer’s location and the second upon delivery in California. For all inspections the unit(s) will be serviced, washed and ready for, as applicable, inspection or delivery. Inspections will begin within two (2) weeks from the date of the inspection request by the supplier. It is the supplier's responsibility to contact the CDFW representative for inspections.
First Inspection Approximately two (2) weeks prior to vessel completion, the supplier will contact the CDFW representative so that the initial evaluation and acceptance can be made by a CDFW representative or authorized representative at or near the supplier's facility. During this inspection, the CDFW representative or authorized representative and a DGS Engineer will determine whether the equipment is within compliance to the specification. Any deviations from the specification will be noted and an action plan to remedy the issues will be developed. A written Inspection Report from CDFW will be submitted to Department of General Services (DGS) and to the supplier within five (5) working days of the inspection.
Unacceptable, non-compliant items and alterations will be listed on the report. If supplier is located outside of California, the supplier will pay for the out of state travel costs of the CDFW representative and DGS engineer. The out of state travel costs will be included with the bid. CDFW shall have the option to waive the First Inspection if convinced that documentation provided by the supplier confirm that the vessel has been built to specifications. If waived, the Purchase Order value shall be reduced by the estimated out of state travel expenses proposed in the bid.
Second Inspection The second inspection shall occur upon arrival in California at the designated delivery location. DGS Fleet, a DGS Engineer and CDFW shall perform a final inspection of the equipment to confirm that nothing was damaged or lost during transit and that all deviations noted during the first inspection have been fixed. Any items requiring attention shall be brought to the supplier’s attention on an Inspection Report within five (5) working days of the inspection. The supplier shall work with CDFW to fix all issues within thirty (30) business days at no cost to the State of California. Once any deficiencies have been fixed by the supplier, a final inspection will be scheduled by CDFW. The final inspection should take place within forty-five (45) calendar days after the previous inspection. All pending items from the Inspection Report must be corrected by the supplier by the time the final inspection takes place, if not, the supplier will be rejected and the Purchase Order cancelled at no expense to the State. Any equipment or goods remaining on state site must be removed within thirty (30) calendar days by the supplier at no cost to the State. If goods are not removed after thirty (30) calendar days, the state will arrange for the items to be shipped at supplier’s expense. Supplier shall cover its own travel expenses for this inspection.
The supplier shall provide a qualified, factory authorized, service representative to be in attendance at the inspections and performance tests to answer all questions regarding construction and system design and function, to demonstrate all operations and functions, and to make any necessary adjustments to the unit.
The cost for this service shall be included in the bid.

The vessel shall float at full load condition with no forward trim or list and the location of the tanks, machinery, piping, etc., shall ensure this condition.
4. WARRANTY
If any defect in materials or workmanship, other than due to normal wear-and-tear or misuse are discovered within twelve (12) months after acceptance of the vessel by the CDFW, such parts or defect shall be remedied by the supplier at a location mutually agreed upon and at the supplier's own cost. The liability of the supplier in this respect shall not extend beyond the actual replacement or remedy of such defective part.
The Hull and Deck shall have ≥5 year’s manufacturer’s warranty on materials and workmanship from date of delivery/acceptance. Paint coatings shall have a ≥1 year warranty from the delivery/acceptance date.
Engines, jet pumps, and transmissions shall include full manufacturer’s warranty from delivery/acceptance date. Equipment, electronics, and miscellaneous shall include manufacturers standard warrantees. For all parts not under warranty by the supplier, supplier shall provide CDFW with all manufacturer’s warranties and receipts for warranted parts. The supplier shall respond to warranty requests within one (1) business day of report of a failure from CDFW and will dispatch a factory representative to the location of the vessel to address any workmanship related issues within seven (7) business days.
Notwithstanding the foregoing paragraphs, in the event of an emergency constituting an immediate hazard to the health and safety of the public or of employees, property, or licensees, the CDFW may undertake -- at the supplier's expense and without prior notice -- all work necessary to correct such hazardous conditions when it was caused by work of the supplier that is not in accordance with the requirements of the contract.
