TERMS AND CONDITIONS
(An agreement including, but not limited to these Terms and Conditions, will be signed by the awarded contractors. Any questions about the contract should be sent to lphelps@frcog.org during the written question period)
1. The period of contract will be from October 1, 2026 through September 30, 2027.
2. The sand shall be rejected if it fails to conform to any of the requirements of the specifications, or if it is delivered in a frozen, lumpy or otherwise unsatisfactory condition. The Participants reserve the right to have the sand tested at Participant expense at a certified testing laboratory at any time. If the sand fails to conform to the specifications, the Vendor will remove the product and replace it with satisfactory product. If Vendor does not have satisfactory product to provide, the
Vendor must purchase and deliver from another source approved by the FRCOG, but charge the
Participant only for the contracted price. The removal of rejected product must occur within one week of notification in order to free up the area in the highway department yard or the product will be deemed abandoned by the supplier.
3. Minimum delivered quantity will be one truck load (approximately 20 tons).
4. The Bid Form lists all Participants in this bid, with expected tonnages for each. The tonnages are best estimates of the Highway Superintendents of each Participant and are listed for informational purposes only. Actual tonnage may be more or less than listed tonnage, depending upon the severity of the winter. Prices for picked up sand will be made available to all participating
Participants.
5. The Participants reserve the right to split their award between the two low bidders for delivered product in order to assure adequate supply.
6. A bidder may bid on all or part of the bid. Distance from the municipal location to the vendor’s source will be considered as an additional cost when calculating the cost of the municipality in picking up the sand. Picked Up Prices, if offered, must be made available to all Participants.
7. Bidders are encouraged to contact the individual Highway Superintendents of each Participant prior to the bid to obtain more specific information about that Participant's needs.
8. All bids must be submitted on the BID FORM and signed by an authorized representative of the bidding company. Please list any additional terms or conditions on the Bid Form or on an attachment thereto.
A bidder will be held to the terms and the prices on the bid form for the duration of the contract period if a contract is signed by both parties within 40 days from bid opening. Extension of this period is only allowable with the express permission of the bidder.
9. Once the bids are opened, the FRCOG Chief Procurement Officer will disburse the information to each Participant. Bids will be awarded based on bid price, past performance and reliability of the bidder, quality of product, and degree of exclusions, exemptions, or restrictions on the Bid Form.
IFB 2026-2191 WINTER SAND Page 6 of 21
A contract (or contracts) will be signed between the awarded bidder(s) and the Franklin Regional
Council of Governments, acting on behalf of the Participants. If a specific Participant is mentioned in the contract, that Participant will be bound by the conditions of the contract. If a Participant has an existing contract for the bid item, the existing contract shall take precedence.
10. The contract shall be canceled by any participating Participant(s) if funds are not appropriated or otherwise made available to the participating Participant(s) to support continuation of performance. Payments will be made for all product received up until that time.
11. Each Participant will be responsible for the placement of its orders and the payment of its bills through due process of the Participant’s warrant. Per MGL Ch7, §22B, the Franklin Regional
Council of Governments will in no way be responsible for the actions of the Participants and each
Participant accepts sole responsibility for any payment due a vendor for product delivery undertaken on their behalf.
12. The awarded vendor is required to file a quarterly report of the total amount of money spent by
EACH PARTICIPATING ENTITY under this contract. Each report shall be filed with the Franklin
Regional Council of Governments Purchasing Department and due twenty-one days following the end of each quarter.
13. Contract execution will be conditioned upon producing an insurance certificate as outlined on the
INSURANCE REQUIREMENTS page.
14. TRANSFERABILITY OF CONTRACT- No assignment of the Contract or any right accruing under this
Contract shall be made in whole or in part by the Vendor without the express written consent of the
FRCOG. In the event of any assignment, the assignee shall assume the liability and duties of the
Vendor, but said assignment shall in no way relieve the Vendor of his/her liabilities or duties pursuant to the Contract.
15. MODIFICATIONS- No modifications, waiver or change shall be made in the terms and conditions of this Contract, except as may be mutually agreed upon in writing by all parties hereto and as may be permitted by MGL C. 30b
16. TERMINATION- The FRCOG may terminate this Contract by providing the Vendor with written notice if the Vendor violates any of the terms of this Contract. Termination of a contract for delivery to any one Participant shall not necessarily invalidate the contract for services with any other
Participant.
In the event of suspension, the FRCOG will set forth the specific grounds for the suspension, any actions the Vendor could take to correct the problems or situations, and a stated period of time for the Vendor to comply with the corrections required. Failure to correct the problems or situations that necessitated the suspension within the stated period of time shall be grounds for termination.
The FRCOG shall have the right to terminate this Contract without cause upon fifteen (15) days notice to the Vendor and all preceding paragraphs herein shall be applicable to this termination.
IFB 2026-2191 WINTER SAND Page 7 of 21

Awarding Authority is party, in a court of competent jurisdiction in the County of Franklin, Massachusetts. The parties agree to pursue Dispute Resolution before proceeding to Court. This section shall not be construed to limit any rights a party may have to intervene in any action, in any court or wherever, pending, in which the other is a party.
18. NOTICES- Any and all notices or other communications required or permitted by this Contract or by law to be served or given to either the Council or Participants or the Contractor by the other party shall be in writing and shall be deemed duly served and given when personally delivered to the party to whom it is directed, or in lieu of such personal services when mutually agreed by EMAIL, otherwise sent by U.S. mail, first-class, postage prepaid.

20. ENFORCEABILITY- The Parties agree that any cause of action brought to enforce this Contract or for damages for breach hereof may be brought by either party or by the acknowledged third party beneficiaries to this Contract, namely the Participants who shall be purchasing the supplies or services which are the subject of this Contract.
21. The Chief Procurement Officer will answer any general questions about bid procedure, etc., but no question will be answered that in any way could give an unfair advantage to a bidder. All inquiries concerning this bid should be directed to:
