Limited Source Justification
1) Identification of the Agency, Contracting Activity, and Document being approved:
Procurement Office: Assisted Acquisition Services (AAS) Region 7 Agency: General Services Administration (GSA) Contract Number: GS35F058DA Bridge Task Order Number: ID07200003 Description of Requirement: Bridge Task Order for Program and Technical Management Support services on behalf of the Defense Health Agency (DHA) Estimated Dollar Value: $4,453,957.25 ($1,781,582.70 for a two-month base period and $890,791.35 for each of the three (3) one-month option periods).
Contractor Name: Technology, Automation & Management, Inc. (TeAM), 8280 Willow Oaks Corporate Drive, Suite 620, Fairfax, VA 22031
2) Description of action being approved:
This Limited Sources Justification is issued to support a bridge task order for a two-month base period of performance (11/22/2019 – 01/21/2020) and three (3) one-month option periods. The previous task order in support of this requirement runs from 11/22/2018 through 11/21/2019. This bridge requirement is needed to provide the required DHA services past 11/21/2019 as the follow-on, long-term task order award was protested before GAO on 09/27/2019 (File Number B-418063.1) and dismissed by GAO on 10/25/21019 based on GSA’s pending corrective action. GSA has decided to continue the stay of performance of the long-term task order pending the corrective action. Once the corrective action is complete in late November or early December of 2019 as projected and a new award decision is made, there is a possibility that a second protest may be received against the new award decision. Therefore, option periods are added so that the government may utilize this bridge task order to fulfil DHA’s requirement if the CICA stay of performance is prolonged resulting from another protest of a new award decision. The extension periods in this justification are necessarily limited in duration in order to accommodate the fluid nature of the GAO bid protest resolution timeline as well as to allow a sufficient time (approximately thirty (30) days) for the awarded vendor to transition smoothly into the project. Option periods will only be exercised if justified for the continuation of services and the bridge task order is anticipated to be ended as soon as practicable. This task order, therefore, needs to be executed on a sole-sourced basis, as only the incumbent vendor is able to provide the required support without a break in the services and on a temporary basis while the GAO protest process is ongoing. This task order, therefore, is necessary in order to allow for the continuance of critical program and technical management support services currently provided by TeAM on the existing bridge task order number 47QFWA19F0004 (also known as
ID07180065).
Below are the anticipated periods of performance on this task and the three (3) proposed one-month extensions:
11/22/2019 – 01/21/2020 (Base) | (2 Months) 01/22/2020 – 02/21/2020 (Option 1) | (1 Month) 02/22/2020 – 03/21/2020 (Option 2) | (1 Month) 03/22/2020 – 04/21/2020 (Option 3) | (1 Month)
3) Description of Supplies or Services Required:
This Limited Sources Justification is issued to support a bridge task order that consists of a two-month base period of performance and three (3) one-month option periods of performance to the incumbent task order vendor, TeAM, in order to provide program and technical management support services on behalf of the Defense Health Agency (DHA).
The objective of the required services is to support the DHA Infrastructure and Operations (I&O) division through the provisioning of program management services, engineering expertise, administrative support, technical support, operational planning, and execution oversight. More specifically, these services provide skilled innovative and integrated resources in support of the administrative, programmatic, and technical service portfolios of the four (4) branches within I&O. The ultimate goal of the support is to assist in implementation of an enterprise-wide execution of shared services within DHA that reduces costs and improves organizational performance. The effort centers on creating and developing bi-directional exchanges of data with the end goal of making healthcare more efficient by complying with the intent of the National Defense Authorization Act (NDAA) to implement electronic health and benefits records. By extending the current bridge task order, the personnel with clearances and knowledge of systems, processes and programs can be maintained in order to prevent breaks in this important mission.
4) Identification of Authority and Supporting Rationale:
This acquisition is conducted under the authority of FAR 8.405-6(a)(1)(B) for orders placed against the Multiple Award Schedule Program where only one source is capable of providing the services at this time.
5) Demonstration that the Acquisition Requires the Use of the Authority Cited:
There exists a need to enable the continuation of existing task order services on a limited source basis. The currently awarded task order number 47QFWA19F0004, under contract number GS35F058DA, is due to expire on 11/21/2019. The award of the follow-on task order was protested on 09/27/19 and a CICA stay of performance was implemented as required by the FAR. GSA determined that it is necessary and appropriate to take corrective action and GAO dismissed the protest based on GSA’s notification of corrective action.
Currently, GSA is taking corrective action and the stay of performance of the follow-on task order is in place until the completion of the corrective action. Meanwhile only the existing task order vendor, TeAM, is able to provide the required services without causing a break in service.
The base period and optional extensions anticipated by this bridge task order will allow work to continue on this critical task under the incumbent vendor, TeAM, without interruption and will allow for an approximate thirty
(30) day time buffer to allow for a transition of the awarded vendor into the project work. The three (3) one-month options are added so that if another protest is filed following a new award decision, the government will be able to continue to utilize this bridge task order to fulfil DHA’s requirement pending resolution of the new protest. The vendor has workers currently in place who can continue to support the program and technical management requirements and provide unbroken service at all locations. As such, the DHA client agency requests that these services be provided by TeAM in order to prevent any degradation in support services.
There is insufficient time to compete a new short-term requirement, allow for competition and vendor selection, as well as time to transition services without incurring a break in service and loss of critical support functions.
Competing a new requirement would result in unacceptable delays and no other vendor (other than TeAM) has a ready pool of in-place, cleared support staff available with the appropriate systems and process knowledge ready to perform these requirements. It is unreasonable to believe that a new short-term contract or task order could be awarded and a vendor brought on in enough time to successfully accomplish this requirement without causing DHA to experience a significant delay in service.
Therefore, it is in the best interests of the government to issue this bridge task order, with award made to the incumbent vendor, TeAM, while the GAO bid protest resolution process proceeds. The decision to award this bridge task order to TeAM on a sole-sourced basis takes into account the Government’s need for continuity of operations and the potential costs of disrupting operations. It was decided that this bridge task order, in order to keep in place the current task order vendor with its support personnel, would be the most advantageous and cost effective option available to the government, price and other factors considered.
6) Description of Efforts to Solicit as Many Offers as Practicable or Exception:
Only the incumbent will be solicited for the continuation of services required under Task Order ID07200003.
The Government is currently responding to the protest of the follow-on long term task order before GAO.
7) Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable and Represents the Best Value:
The total estimated value of this bridge task order is $4,453,957.25 which includes $104,166.70 in Other Direct Costs (ODCs) and was arrived at using the labor rates already in place on the current task order. The CO has determined that, under the circumstances described herein, an FSS task order issued to TeAM represents the best option and the overall best value (including the level of effort and pricing) consistent with FAR 8.404(d).
GSA has already determined the hourly rates, under schedule contracts, to be fair and reasonable. Therefore, ordering activities are not required to make a separate determination of fair and reasonable pricing, except for a price evaluation as required by 8.405-2(d).
8) Description of market research conducted:
The Government intends to make a limited source continuation of services bridge task order award to the incumbent vendor, TeAM. Market research was utilized to ensure that the current prices that will be awarded under the limited sources bridge task order are still considered fair and reasonable. Additionally, this justification shall be posted on FBO.gov, in accordance with the requirements at FAR 8.405-6(a)(2).
9) Other facts supporting the justification:
Not Applicable
10) List of sources that expressed an interest in the acquisition:
Technology, Automation & Management, Inc., 8280 Willow Oaks Corporate Drive, Suite 620, Fairfax, VA 22031
11) Statement of Actions to overcome barriers of competition:
The period of performance for this bridge task order represents the shortest time possible to allow GSA to complete its corrective action following a protest. The option periods were added so the government may utilize this bridge task order to meet DHA’s requirement in case a new protest is received against a new award decision following the corrective action. Options will not be used unless justified and necessary.
I hereby certify as accurate and complete the data provided to GSA, upon which is based and which supports the recommendation in the attached Limited Sources Justification (LSJ).
