Justification for an Exception to Fair Opportunity
National Ground Intelligence Center (NGIC) Modeling and Simulation (M&S) Support
Order # ID3150048 Modification 003
1. Identification of the Agency and the Contracting Activity and Specific Identification of the Document as a “Justification for an Exception to Fair Opportunity”
This document is identified as a Justification for an Exception to Fair Opportunity and is processed on behalf of the National Ground Intelligence Center (NGIC) in Charlottesville, VA.
The contracting activity is GSA/FAS, Region 3, The Dow Building, 100 S Independence Mall West Philadelphia, PA 19106.
2. Nature and/or Description of the Action Being Approved
Task Order GSQ0315DS0041 was issued against GSA's OASIS IDIQ Contract, GS00Q14OADU114 on behalf of National Ground Intelligence Center (NGIC) to provide Modeling and Simulation (M&S) Support in August 2015. This task order was issued as a Firm-Fixed-Price (FFP) task with travel as a cost reimbursable CLIN. The task order consists of an eight (8) month base period and two (2) one-month option periods. The total task order value including all option periods was $1,288,464.57. Task summary is as follows: Base Period- $1,209,087.45, Option Period 1- $39,688.56, and Option Period 2- $39,688.56.
This bridge task order was necessary as GSA Region 3 conducts a competitive acquisition to award the follow-on task order. A Request for Proposal closed on 6/3/16 under the One Acquisition Solution for Integrated Services (OASIS) Large Business (LB) IDIQ and proposals are currently being evaluated.
The purpose of this modification is to add two additional one month option periods (July 1, 2016 – July 31, 2016 and August 1, 2016 – August 31, 2016) consisting of Transition Out Support (Optional Task) only. A Transition Out Support (Optional Task) CLIN was included in the Base Period (September 1, 2015 - April 30, 2016), Option Period 1 (May 1, 2016 – May 31, 2016) and Option Period 2 (June 1, 2016
– June 30, 2016); however, due to delays in the procurement process, was not necessary and was not exercised.
Support for the three previously identified new weapon models, as well as ongoing maintenance and integration of existing models, will end as scheduled on 6/30/2016.
3. Description of the Services Required to Meet the Agency’s Needs (including the estimated value)
At the completion of this task order, the contractor shall support transition of all development products, artifacts, software and tools, which were funded under this task order, to the Government. The Transition-Out Plan shall be based on a thirty (30) day period from the day notice is received from the GSA Contracting Officer to commence transition.
Within five (5) days after notification from the GSA Contracting Officer, the contractor shall submit a written Transition-Out Plan, in accordance with delivery instructions provided by the Government. This
EFO - Order # ID3150048, Mod 003
Transition-Out Plan shall facilitate the accomplishment of a seamless transition from the incumbent to the incoming contractor/government personnel at the expiration of this Task Order. The Contractor shall identify transition activities, schedules and milestones for turnover of work centers/functions and identify how it will coordinate with the incoming and or Government personnel to transfer knowledge regarding the following, as applicable:
a. Project management processes.
b. Points of contact.
c. Location of technical and project management documentation.
d. Status of ongoing technical initiatives.
e. Transition of personnel.
f. Establish and maintain effective communication with the incoming contractor/Government personnel for the period of the transition.
g. Inventory, inspection and transfer of IT software and hardware, licenses, and warranties.
h. Inventory, inspection and transfer of all contractor maintained classified data, equipment and devices, ensuring positive control, accountability, and chain of custody is maintained for all sensitive items.
i. Technical artifacts and configuration baselines.
j. Elevated system privileges, IAW technical direction issued by the COR.
k. Operations, maintenance, helpdesk, engineering and logistics functions
4. Identification of the Exception to Fair Opportunity and Supporting Rationale
In accordance with FAR 16.505(b)(2)(i)(B), only one awardee is capable of providing the services required at the level of quality required because the services ordered are unique or highly specialized.
This exception is justified because no source, other than the incumbent, is presently providing the required support services, or has the current program knowledge and technical expertise required to perform these requirements. With the existing contract expiring on June 30, 2016, adequate lead time does not exist to complete the transition and knowledge transfer activities that are necessary for a non-incumbent contractor to ramp-up, staff and gain the current program knowledge and technical proficiency needed to provide the required support services.
During the transition period, the incumbent will provide support services to allow for a seamless transition to the incoming contractor. These services include transitioning incumbent personnel, providing status of ongoing technical initiatives, and provisioning an inventory and transfer of contractor maintained classified data, equipment and devices. Dynetics is uniquely qualified to provide transition out support, as they have provided M&S services for NGIC since August 2010. As the long-standing incumbent, Dynetics has unique access to technical and project documentation and is thus uniquely positioned to transition to government personnel and the incoming contractor at the expiration of the current Task Order.
No other source has the information access or knowledge of NGIC M&S systems, procedures and equipment to conduct transition activities in the timeframe required. Failure to approve this action would result in insufficient knowledge and data transfer, thereby compromising the new contractor’s ability to support NGIC M&S operations. Without the transition of the incumbent’s development products, artifacts, software and tools, the new contractor will be severely hampered in its ability to support NGIC models and simulations on day one. In turn, these delays will adversely impact NGIC customers that rely on NGIC M&S products, including DARPA, New Tactical System Design Programs, Operational/Tactics Planners, and Forces in the Field.
Based upon the above, Dynetics is the only responsible source that can satisfy the Government’s transition requirements.
5. A Determination by the Contracting Officer that the Anticipated Costs to the Government will be Fair and Reasonable
A price analysis will be performed documented in the Modification Memorandum to File. In accordance with FAR Subpart 16.505, GSA has already determined the prices to be fair and reasonable since they are derived from and reflect the actual prices in the GSA OASIS IDIQ. The Contracting Officer will determine that this effort will result in the greatest overall benefit to the Government in response to the requirement, attaining the best value.
6. Any Other Supporting Facts
Not Applicable.
7. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome Any Barriers that Led to the Exception to Fair Opportunity Before Any Subsequent Acquisition for the Supplies or Services is Made
The Government will only solicit Dynetics under its GSA OASIS IDIQ contract to enable the fulfillment of this requirement. No other firm can provide the necessary services at requisite level of expertise within the timeframe required. In furtherance of competition, the Government is concurrently seeking a competitive award to be in place upon expiration of this short-term bridge task order.
