About this file
This is a Federal Acquisition Regulation (FAR) Part 16 Justification Document for an Exception to Fair Opportunity for a U.S. Army Human Resources Command (HRC) contract. The document seeks to procure annual software maintenance for TOAD enterprise software licenses used to support web-based human resource applications across the Department of the Army. The contract will cover a base period from 15 August 2025 to 14 August 2026, with two additional 12-month option years, totaling three years.
The procurement will include 100 TOAD for Oracle DBA Edition per seat term licenses, 50 TOAD for SQL Server Developer Edition per seat term licenses, and 50 TOAD Data Point Professional Edition named user term licenses. The total contract was solicited through the CHESS ITES-SW2 contract vehicle, with 28 vendors initially invited to provide quotations. Market research showed three vendors expressed interest, and three large vendors ultimately responded with quotes. The justification highlights that not procuring this maintenance could result in potential Category 1 cybersecurity vulnerabilities that might require shutting down applications, with estimated daily shutdown costs potentially reaching hundreds of thousands of dollars.

Control Number: MICC-2025-77
d. Impact if not approved: If this annual maintenance agreement that includes technical and product support is not procured, database management upgrades to the HRC business applications could not happen which would result in Category 1 cybersecurity vulnerabilities requiring application or networks to shut down. It has been determined the cost of a shutdown could cost up to hundreds of thousands of dollars per day.
6. Efforts to Obtain Competition: HRC utilized CHESS ITES SW-2 for Market Research and 28 vendors had the opportunity to provide quotations for this requirement.
a. Effective competition. Action shall be solicited competitively through the CHESS- ITES-SW2 platform. Competition is anticipated since multiple contract holders can support the requirement. Based on market research findings, three of the 28 vendors listed on ITES-SW2 showed interest in this requirement.
b. Subcontracting competition. Per ITES-SW2 Ordering Guide, all subcontracting is handled at the base contract level.
7. Actions to Increase Competition: The products to be acquired through this acquisition support a framework that is not yet at the end of its lifecycle. No other products were considered. HRC will continue to monitor advancements in commercially available information technology products and services, particularly those listed within existing enterprise-related contracts under the Army CHESS Program and the DOD ESI agreements. Upon end-of-life cycle, HRC will consider equipment, software, etc., available under the CHESS platforms as required per Army Federal Acquisition Regulation Supplement (AFARS) 5139 once a thorough assessment of Government need is concluded.
8. Market Research: The items requested fall within the scope of the CHESS ITES- SW2 contract. Per AFARS 5139, all in-scope items must be procured through the CHESS contract vehicle unless a statement of non-availability and ITAS waiver exist for the product or services. The requirement was put out on CHESS 10 April 2025 under Request for Quote 528765 and it closed 17 April 2025. Three large vendors responded with quotes. Eighteen large vendors and six small vendors provided no bid responses and one large vendor provided no response at all. Due to the estimated value of the contract, an effort to promote competition and to meet the requirements of AFARS 5139.101, this requirement will be solicited through CHESS.
